RE: APPROVE LETTER OF AGREEMENT FOR SUBCONTRACT OF STEPS GRANT AND
AUTHORIZE CHAIR TO SIGN - NORTH COLORADO HEALTH ALLIANCE
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Letter of Agreement for Subcontract of
Steps Grant between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Weld County Department of Public Health and
Environment,and the North Colorado Health Alliance,commencing November 1,2003,and ending
October 31, 2004, with further terms and conditions being as stated in said letter, and
WHEREAS, after review, the Board deems it advisable to approve said letter, a copy of
which is attached hereto and incorporated herein by reference.
NOW,THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County,Colorado,that the Letter of Agreementfor Subcontract of Steps Grant between the County
of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County,
on behalf of the Weld County Department of Public Health and Environment,and the North Colorado
Health Alliance be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be,and hereby is, authorized to
sign said letter.
The above and foregoing Resolution was,on motion duly made and seconded,adopted by
the following vote on the 14th day of January, A.D., 2004, nunc pro tunc November 1, 2003.

Letter of Agreement
Between the Weld County Board of County Commissioners for the County of Weld, State of
Colorado, on behalf of the Weld County Department of Public Health and Environment
(WCDPHE), and the North Colorado Health Alliance.
Name of Contractor:
North Colorado Health Alliance (sometimes hereinafter referred to as "NCHA")
Term for Agreement:
November 1, 2003 —October 31, 2004, with a possibility of four automatic renewals for a term
of one year each, but this Agreement will end, in any event, no later than September 22, 2008.
General Purpose:
The purpose of this Agreement is to foster and facilitate collaboration in cooperative service
delivery. The parties intend to follow the guidelines set forth in the STEPS to a HealthierUS.
Scope of Work:
Steps to a Healthier Colorado (STEPS) is a project meeting the Steps to a HealthierUS
requirements for State-Coordinated Small City and Rural Community Applicants. The Colorado
Department of Public Health & Environment(CDPHE) will coordinate STEPS projects in four
communities: Mesa County, Pueblo County, Teller County, and Weld County.
Community intervention strategies are evidence based and include community level
interventions, environmental interventions, and educational interventions. The Colorado
STEPS project's planned short-term outcomes include: increased exposure of community
members, educators, health care professionals, and school-aged children to education about
disease prevention and self-management, healthy lifestyles, increased availability of health care
services and screening, and increased access to and consumption of healthy foods. Major
planned intermediate outcomes include: increased awareness of the benefits of a healthy
lifestyle, the risks of diseases and the advantages of proper treatment for chronic diseases; more
community residents engaging a healthier lifestyle; increased access to healthier environments;
and increased correct diagnosis of and appropriate care for people with chronic diseases.
Community Intervention Plan:
Objective 1: Increase awareness, among 3,000 adolescents and adults, of health
complications that result from being overweight/obese and work towards decreasing
obesity prevalence in Weld County by September 2004. (Baseline: 2000 residents currently
served)
Actions: 1) Introduce the Colorado on the Move program using pedometers to two large
worksites, per year, in Greeley, with at least 20% of the employees participating at each
company by September 2004 through 2008. 2) Develop and implement a walking program at
both the Greeley and Evans Senior Centers incorporating the pedometers and Colorado on the
Move with at least 20% of the members participating by September 2004 through 2008. 3) Work
with major worksites to encourage the use of local fitness centers and implement overall
wellness programs by September 2004. 4) Work with major worksites to implement point of
decision prompts by September 2004. 5) Provide three 6-week nutrition education and cooking
class on reducing fat and increasing fruits and vegetables into a healthy diet to parents of
participants of the after school nutrition and fitness program, spring and summer semesters,by
September 2005. 6) Develop a mulit-faceted campaign to promote the 5 a Day Model working
with restaurants, the farmer's market, and major worksites by September 2006. 7) Develop and
implement guidelines for encouraging healthful snacks and foods provided in vending machines
in schools, recreation centers and adolescent congregations by September 2007. 8) Work with
local restaurants to provide nutrition and portion information to patrons by September 2008.
Objective 2: Increase both the proportion of diagnosed diabetic adults in Weld County
and provide increased care to at least 1000. (Baseline: 10,218 current adult diabetics)
Actions: 1) Conduct a media campaign to inform residents of the screenings available and to
educate diabetics on the necessity of annual foot and dilated eye examinations by 2004 through
2008. 2) Train at least 70 health care professionals on office-based procedures for foot
screenings, teaching blood glucose monitoring, and insulin administration techniques by 2004
through 2006. 3) Collect data on the number of adult diabetics who currently receive an annual
foot and dilated eye exam by September 2004. 4) Increase the proportion of adults with diabetes
in Weld County who have a foot examination by 300 by September 2005. 5) Increase to at least
20% the proportion of adult diabetics who engage in moderate physical activity for at least 30
minutes, five or more days per week by September 2005. 6) Increase the proportion of diabetic
adults in Weld County who receive at least two A1C measures per year by 250 by September
2006. 7) Provide dilated eye exams for 120 low-income individuals with diabetes in Weld
County, who do not have vision insurance by September 2007. 8) Offer American Diabetes
Association self assessment risk tool "Take the Test, Know Your Score"to senior centers,
worksites and community groups by September 2008. 9) Offer four cooking classes specializing
in healthy menu choices by September 2008.
Objective 3: Increase by 20% the number of Weld County residents who receive education
about treatments, resources, and causes of asthma. (Baseline: To be determined)
Actions: 1) Collect data regarding children and adults form schools, community health centers
and local PCPs by September 2004 through 2008. 2) Increase by 20% over the data collected in
Action #1 the number of persons with asthma who receive formal patient education, including
information about community resources, as an essential part of the management of their
condition by September 2004 through 2008. 3) Provide schools, community health centers and
local PCPs with educational in-service opportunities using best practices to identify appropriate
diagnosis, degree of the disease and the effectiveness of medication control by September 2005.
4) Increase by 150 the number of adult Weld County Smokers making quit attempts by
September 2004 through 2008. 5) By year three, work with at least three community's in Weld
County to have a comprehensive clean indoor air ordinance which protects the public from
secondhand smoke in public places and the workplace by September 2006. 6) Visit at least 50
Weld County tobacco retailers to disseminate educational information about youth access laws
by September 2007. 7) Promote local and state cessation resources to 30 worksite/businesses in
Weld County, with at least five of these sites being Latino businesses by 2008.
School Intervention Plan:
Objective 1: Increase awareness, among 2,000 adolescents of health complications that
result from being overweight/obese and work towards decreasing obesity prevalence in
Weld County by September 2004. (Baseline: approximately 18,000 students in Greeley-Evans
School District 6)
Actions: 1) Introduce the TAKE 10! Program into at least four elementary schools in School
District 6 with at least 50% of the classrooms participating in each school by September 2004. 2)
Implement the Nu-Fit Program in four School District 6 after school programs providing
education and skill building activities on physical activity and nutrition twice a week at each site
by September 2004. 3) Implement the Nu-Fit Program in one School District 6 summer program
providing education and skill building activities on physical fitness and nutrition twice a week by
September 2004. 4) Establish a Nutrition Advisory committee for School District 6 by
September 2005. 5) Provide nutrition services and access to variety of nutritious meals which
reflect the U.S. Dietary Guidelines for Americans in all elementary and middle schools in School
District 6 by September 2005. 6) Establish a school nutrition program that limits the availability
of foods high in fat, sodium, and added sugars in all schools in School District 6 and alter the
food environment in School District 6 by making healthy food an easy, less expensive, and a
desirable choice by September 2005. 7) Serve wheat breads instead of white breads in all School
District 6 Schools by September 2006. 8) Limit the number of a la carte items offered in all
School District 6 Schools to only include foods which reflect the U.S. Dietary Guidelines for
Americans by September 2006. 9) Increase the number and kinds of fresh fruits and vegetables
offered daily at the elementary, middle, and high schools sites to at least three times a week by
September 2007. 10) In year four, implement a marketing campaign on 5 A-Day in all School
District 6 schools the third week of September 2004 for the entire week by September 2007. 11)
Increase knowledge of fruits, vegetables and grains,preparation methods and benefits of eating
five or more servings daily by youth ages 6 — 13 participating in the after school program, the
Nu-Fit Program, by providing nutrition education and food preparation classes by September
2008. 12) Increase knowledge and skills for consuming a diet with less than 30% calories from
fat by providing nutrition education and food preparation classes to the participants, ages 6— 13,
in the after school program, the Nu-Fit Program by September 2008.
Objective 2: Increase both the proportion of diagnosed diabetic students in Weld County
and provide increased care to at least 250. (Baseline: To be determined)
Actions: 1) Conduct a media campaign to inform residents of the screenings available and to
educate diabetics on the necessity of annual foot and dilated eye examinations by September
2004 through 2008, as more particularly set forth in the grant. 2) Train at least 10 school nurses
about blood glucose monitoring and insulin administration techniques by September 2004
through 2008, as more particularly set forth in the grant.
Objective 3: Increase by 20% the number of Weld County adolescents who receive
education about treatments, resources, and causes of asthma. (Baseline: To be determined)
Actions: 1) Identify adolescents who have been diagnosed with asthma from schools,
community health centers and local PCPs by September 2004 through 2008, as more particularly
set forth in the grant. 2) Increase the proportion of adolescents with asthma who receive formal
patient education, including information about community resources, as an essential part of the
management of their condition by September 2004 through 2008, as more particularly set forth
in the grant. 3) Provide schools, community health centers and local PCPs with educational in-
service opportunities using best practices to identify appropriate diagnosis, degree of the disease
and the effectiveness of medication control by September 2004 through 2008, as more
particularly set forth in the grant. 4) Increase smoke-free and tobacco-free environments in
schools, including all school facilities, property, vehicles, and school events by September 2004
by marketing evidence-based tobacco reduction and cessation programs to schools. 5) Conduct at
least five CDC "Got A Minute"presentations at various schools, parent organizations or
community organizations in Weld County by September 2005. 6) Present"Tobacco Free Weld
County"presentation to at least 4 Educational staff development meetings regarding Alternative
to Suspension, Not On Tobacco, video resource library, and other programs at the WCDPHE by
September 2007. 7) Increase to 23% the proportion of Weld County School Districts with one or
more schools offering an Alternative to Suspension program for students facing suspension for
violating their schools tobacco policy by September 2008.
Method of Accountability:
On-going evaluation of the progress and achievements of the STEPS programs will play a key
role in each program implemented within the community. The potential effects of the
HealthierUS grant in conjunction with the `Improving the Health Education and Well-Being of
Colorado's Young People' grant, and School Based Health Center planning grant are
tremendous! In order to ensure open communication the Project Coordinator and the School
Health Coordinator will meet bi-weekly with the North Colorado Health Alliance Director of
Development to share lessons learned and assure collaborative efforts between the Weld County
Department of Public Health & Environment, School District 6 and the North Colorado Health
Alliance.
Personnel for obtaining objectives, and Compensation:
A. Personnel - The North Colorado Health Alliance agrees to provide a the Director of
Development to work towards managing the Steps to a Healthier Colorado grant. As
outlined in the grant, the Director of Development will:
"The Director of Development for the North Colorado Health Alliance will work to finance
the STEPS project through local, state, and national funding sources. The Director of
Development will also be responsible for all grant deliverables as requested by the state."
B. Compensation - The Weld County Department of Public Health &Environment agrees to
pay to the North Colorado Health Alliance approximately$10,000 for the initial term of this
agreement, and for each renewed term thereafter, in a total amount not to exceed $50,000,
contingent upon anticipated funding from the grant. Payments will be in the form of
reimbursement, and will be made in equal monthly payments over the course of the term of this
Agreement, and any renewed terms, not to exceed five (5) years. The North Colorado Health
Alliance shall present a billing statement to Weld County Department of Public Health &
Environment at the end of each month that the Director of Development has provided services
associated with the grant management. If there are no disputes concerning the billing statement,
WCDPHE will pay the reimbursement billed within thirty (30) days of receipt.
In the event of any dispute concerning any billing statement, the parties will use timely and good
faith effort to resolve any such disputes within thirty(30) days.
Default or Termination
If either party is in default under any of the terms and provisions contained herein, the non-
defaulting party shall notify the defaulting party of the default. The defaulting party shall then
have 15 days after such notice in which to cure any default. If any default is not capable of being
cured within the requisite period of time, then so long as the party charged with the default has
diligently pursued such cure of the default within the prescribed period of time, the defaulting
party shall be given the necessary time to cure the default.
If the default continues after the period for cure passes, and the defaulting party has not
diligently pursued a cure of such default, the non-defaulting party may terminate this Agreement
by giving ten (10) days written notice of the non-defaulting party's intent to terminate.
In any case, this Agreement may be terminated by either party by giving the other party written
notice of intent to terminate the Agreement at least thirty(30) days prior to the annual
termination date. Upon termination, WCDPHE shall pay to the North Colorado Health Alliance
any amounts not yet paid which are due and owing as reimbursement for services previously
rendered.
Miscellaneous
(1) No Third Party Beneficiaries. No third party may claim any right or benefit under this
Agreement and the obligations of this Agreement shall be for the benefit of the parties
hereto, their successors and assigns.
(2) Non-Discrimination. The parties agree that all actions and activities of the within
Agreement shall be accomplished without discrimination on the basis of race, creed,
color, national origin, gender, disability or age.
(3) Entire Agreement. This Agreement constitutes the entire agreement between the parties
for the subject matter hereof. This Agreement may be modified only by a writing
executed by the parties.
(4) Independent Contractors. Each party is an independent contractor of the other and
neither shall be liable for the actions of the other. Employees of the Weld County
Department of Public Health & Environment do not become employees of Weld County
School District 6 by reason of this contract and employees of the Weld County School
District 6 do not become employees of the Weld County Department of Public Health&
Environment by this contract.
(5) No Assignment. Neither party shall assign or transfer this Agreement to any third party
without the prior written consent of the other party.
(6) Severability. If any term or condition of this Agreement shall be held to be invalid,
illegal, or unenforceable, this Agreement shall be construed and enforced without such a
provision, to the extent this Agreement is then capable of execution within the original
intent of the parties.
(7) Liability. The Weld County School District 6 shall be solely liable for any and all
claims, costs, and expenses arising of any act or omission of School District employees in
performing services under this Agreement. WCDPHE shall be solely liable for any and
all claims, costs and expenses arising out of any act or omission of employees of
WCDPHE in performing services under this Agreement.
(8) Immunities. No portion of this Agreement shall be deemed to constitute a waiver of any
immunities the parties or their officers or employees may possess, nor shall any portion
of this Agreement be deemed to have created a duty of care with respect to any persons
not a party to this Agreement.
(9) Budget Restraints. No portion of this Agreement shall be deemed to create an
obligation on the part of the County of Weld, State of Colorado, or upon the Weld
County Department of Public Health and Environment to expend funds not otherwise
appropriated in any relevant year.
(10) Law Governing. Except to the extent that the within contract shall be performed in
accordance with the STEPS to a HealthierUS and other applicable federal law, the
interpretation of this contract will be governed by the laws of the State of Colorado,
including its choice of law rules. This contract is executed and will be performed in
Weld County, Colorado.
(11) Notices. Any notice to be given under this Agreement shall either be hand delivered,
with signed receipt, sent by facsimile with confirmed receipt, or mailed to the party to be
notified with return receipt, at the address set forth below, until such time as written
notice of a change is received from the party wishing to make a change of address or
facsimile number. Any notice so mailed, served by facsimile, or any notice served by
personal delivery shall be deemed delivered and effective upon receipt or upon attempted
delivery. This method of notification will be used in all instances, except for emergency
situations when immediate notification to the parties is required.
IN WITNESS WHEREOF, the parties have executed this Agreement this day of
2003.

Subcontract
The WCDPHE was awarded $1.35 million for the funding period of October 1, 2003, through
September 30, 2008. This grant has been awarded and has a five-year project period with the
initial year's funding amount of$269,994.
Enclosed for Board review and signature is the Health& Human Services Steps Gant subcontract
with the North Colorado Health Alliance to support grant management. The subcontract with
NCHA delineates the responsibilities of the NCHA and the maximum funding to be
compensated to the NCHA on a yearly basis - $10,000 per year. Payments will be made in the
form of a reimbursement to the NCHA in equal monthly payments over the course of the
Agreement, and renewed terms, not to exceed five (5) years.
