RESOLUTION
RE: APPROVAL OF MODIFICATION TO ENERGY MINERALS GAS & OIL
LEASE AMENDMENT - R61-T3N-S5
WHEREAS, the Board of CountyCommissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
ip Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS, the Board of County Commissioners entered into a
gas and oil lease amendment dated May 13, 1981, and
WHEREAS, Energy Minerals has presented to the Board of County
Commissioners, a request to modify said amendment, and
WHEREAS, said amendment indicated the drilling of a "J" sand
-- well in the NANW4 of Section 5, Township 3 North, Range 61 West
and Energy Minerals now intends to drill a well in the SE4NW4 of
Section 5 and this well may produce from more than one formation,
and
WHEREAS, the Board of County Commissioners, after reviewing the
modification to said amendment, deems it advisable to approve a more
general location description: The NW4 of Section 5, Township 3 North,
Range 61 West of the 6th P.M. , Weld County, Colorado.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commis-
sioners that the modification to the amendment to the Gas and Oil
Lease between Weld County and Energy Minerals be, and hereby is,
approved.
BE IT FURTHER RESOLVED by the Board of County Commissioners,
that the Chairman of the Board be, and hereby is , authorized to
sign said modification.
The above and foregoing Resolution was, on motion duly
made and seconded, adopted by the following vote on the 28th

MODIFICATION AGREEMENT _
KNOW ALL MEN BY THESE PRESENTS:
THAT, WHEREAS, under date of May 13, 1981, WELD COUNTY BOARD
OF COUNTY COMMISSIONERS (Lessor) , entered into a Lease Amendment
(Amendment) with ENERGY MINERALS CORPORATION (herein "Lessee" ) ,
amending Oil and Gas Lease (Lease) dated January 29, 1977, between
Lessor and predecessor to Lessee, both covering the following
described property in Weld County, Colorado, to-wit:
Township 3 North, Range 61 West, 6th P .M.
Section 5 : N1/2N1/2 (aka Lots 1 through 4 )
which Lease is recorded in Book 786 No. 1708284 , with the Amendment
being recorded in Book 936 No. 1858069, records of said County and
State; and
WHEREAS, Lessee desires to remove all test well depth restric-
tions and specific well locations within the NW' of said Section 5,
and which otherwise possibly could be construed as limitations
under said Amendment, all of which is acceptable to Lessor.
NOW THEREFORE, in consideration of the benfits expected to
accrue, plus the sum of Ten Dollars ($10 . 00) in hand paid by Lessee
to Lessor, the receipt and sufficiency of which is hereby acknow-
ledged, Lessor hereby agrees that any and all depth and well lo-
cation limitations or restrictions created or implied from said
Amendment, so long as Lessee agrees to drill a well upon a pooled
NWa of Section 5-3N-61W, Weld County, Colorado, shall be and are
hereby deleted from said Amendment, with the same effect as if
never contained therein.
EXCEPT as above modified, the terms and provisions of both said
Amendment and the Lease affected thereby, shall remain as previously
written, both of which are still in force and effect .
EXECUTED this 28th day of October, 1981.

To the Clerk:
In reference to the subject oil and gas lease and ammendment to said
lease dated May 13, 1981, Energy Minerals Corporation respectfully
requests the Board's consideration to modify said ammendment. In the
ammendment Energy Minerals Corporation indicated it desired to drill
a "J" sand well in the NW/4NW/4 of Sec. 5-T3N-R61W. It is our intention
at this time to drill a well in the SE/4NW/4 Sec. 5-T3N-R61W, as this
location is geologically speaking superior; and as the possibility
exists that this well may produce from more than one formation we request
the Board's approval to modify said ammendment.
We propose to be more general in the location description and describe
same as the NW/4 Sec. 5-T3N-R61W. As to the formation, we propose to
include all formations.
Upon approval of the above request please review and complete the
attached instrument.
