Agreement on September 30, 2004. Pursuant to the terms and conditions of the Purchase Agreement and First Amendment,the Seller, for good and valuable consideration, the receipt and sufficiency or which is acknowledged,grant, sell and deliver to the Buyer the following described assets and properties,tangible and intangible, used by or useful to the Seller in their operation of, or otherwise relating to, the Systems (the"Assets"): (1) the Personal Property; (2) the Franchises; (3) the Assumed Contracts/Leases; (4) the Accounts Receivable; (5) the Licenses; (6) the System Information, other than items which relate to the Excluded Assets; (7) The Records, subject to the right of the Seller to have the Records made available to the Seller for a reasonable period,not to exceed three years from the Closing Date; The Assets shall not, however,include the Retained Assets.
