Principal Meridian, County of Weld, State of Colorado. Said parcel contains 81.25 acres.

time and location) shall be given 30 days prior to the public hearing to all affected
mineral interest owners. At this time a public hearing has not been scheduled, however,
you will receive a second notice with the date and time of said hearing.
Through deed research, you have been identified as an owner of mineral interests and/or
mineral leasehold owner on the aforementioned property. Although a public hearing will
allow you the opportunity to express any concerns, at this time we would ask that you

Dear Steven:
As per our previous communications, Kerr-McGee Rocky Mountain Corporation
("KM") has a couple of concerns regarding the captioned development, which are as
follows:
1) There are two plugged and abandoned oil and gas wells on the property.
2) KM has the right under the terms of the oil and gas mineral lease covering the
property to drill futures well on the property.
3) Ken-McGee Gathering, LLC currently operates a I0".uaturul gas pipeline
that traverses the property.
KM proposes the following to address these concerns:
1) Locate the exact location of the plugged and abandoned well that falls within the
proposed subdivision and place a permanent marker indicating such.
2) KM would agree to limit its surface use on the property to a 400'x 400' oil and
gas operations area around the plugged and abandoned well located in the
proposed open space portion of the development. Surface Owner would pay KM
the additional cost to directionally drill one well with a bottom hole location
under the proposed development.
3) Surface Owner would provide assurances that KM would have access to its
natural gas pipeline at all times.
Based upon our recent phone conversations about these issues and review of the
proposed development, KM requests that prior to final plat approval of this
development that KM and the surface owner negotiate a surface use agreement
detailing the compatible use of the surface and mineral estates. Without such an
agreement in place before final plat approval, it would be necessary for KM to object
to plat approval to preserve its rights under Colorado law.

Dear Mr. Zadel and Mr. Stencel:
As per our conversations over the past few months, K. P. Kauffman Company,
Inc. (KPK) understands that you are requesting a zoning change for the subject area.
KPK will require the execution of a Surface Ilse Agreement before your approval of
Final Plat for the Distant Thunder P.U.D. The zone change will create the following
concerns from KPK.
For the purpose of zoning changes, and subject, but not limited to the Surface Use
Agreement, KPK is the owner and operator of the mineral estate from the surface to the
base of the Shannon formation within the entire Southwest Quarter of Section 10
Township 1 North - Range 67 West, 6th P. M. KPK will protect all existing drillsite
locations and leasehold fixtures, including but not limited to pipelines, flowlines,
consolidation lines, and tank batteries. KPK will protect the two future drillsites within
the North I lalf of the Southwest Quarter of Section 10 Township I North - Range 67
West, 66 PM. 1f the surface development conflicts with the future drillsite windows,
KPK will directionally drill the subject wells and the developer will pay for all
incremental directional costs.
