I . That Effective September 30, 1988 and with the requisite approval of
their respective shareholders and Boards of Directors, Kersey Development
Corporation d/b/a GB Services, Inc. , a Colorado corporation, was merged into
Golden Buckeye Petroleum Corporation a Colorado corporation, with Golden
Buckeye Petroleum Corporation being the survivor as described in the State of
Colorado, Certificate of Merger attached hereto as Exhibit "A-1".
II . That Effective October 1, 1988, and with the requisite approval of
their respective shareholders and Boards of Directors, Prima Management
Corporation, a Delaware corporation, was merged into Golden Buckeye Petroleum
Corporation, a Colorado corporation, with the survivor changing its name to
Prima Management Corporation, a Colorado corporation, as described in the State
of Colorado, Certificate of Merger attached hereto as Exhibit "A-2".
III . That Effective October 5, 1988, with the requisite approval of its
Board of Directors, Prima Management Corporation changed its name to Prima Oil
& Gas Company as described in the State of Colorado, Certificate of Amendment
attached hereto as Exhibit "A-3".
