RE: APPROVE SCOPE OF WORK TO INSTALL A FORTY-FOOT COMMUNICATIONS
TOWER AT THE NEW FORT LUPTON FACILITY AND AUTHORIZE CHAIR TO SIGN -
ANYWARE NETWORK SOLUTIONS, INC.
WHEREAS,the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS,the Board has been presented with a Scope of Work to Install A Forty-Foot
Communications Tower at the new Fort Lupton Facility between the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the
Department of Communications, and Anyware Network Solutions, Inc., commencing upon full
execution, with terms and conditions being as stated in said scope of work, and
WHEREAS,after review, the Board deems it advisable to approve said scope of work, a
copy of which is attached hereto and incorporated herein by reference.
NOW,THEREFORE,BE IT RESOLVED by the Board of County Commissioners of Weld
County,Colorado,that the Scope of Work to Install A Forty-Foot Communications Tower at the new
Fort Lupton Facility between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, on behalf of the Department of Communications, and
Anyware Network Solutions, Inc. be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said scope of work.
The above and foregoing Resolution was,on motion duly made and seconded,adopted by
the following vote on the 5th day of December, A.D., 2005.

1 Project Overview
Weld County Government wishes to relocate and realign the antennas and radio equipment from the
existing Ft. Lupton facility to the new facility currently under construction. Due to the increased distance on
the path from the new facility to the Tri Town Tower(TTT), 2 new 4-foot antennas will need to be installed
and purchased. The equipment for the path from the old facility to the AT+T tower will be re-used. Neww
FCC licensing will need to filed.
The following services will be performed for the relocation of the microwave radio systems..

1 FCC Licensing • Re-file the microwave path's with the FCC for new call sign's.
2 De-install • Remove 3-2 foot antennas from Current Ft. Lupton tower.
Antennas • Remove 1-2 foot antenna from Tri Town Tower.
3 Installation of • Install 1-2 foot antenna on new tower.
antennas • Install 1-4 foot antenna at new tower location.
• Install 1-4 foot antenna at TTT.
4 Cabling • Run required cables on new tower.
5 Grounding • Ground antennas,cables and install lightning protection.
6 Antenna • Align paths from new tower to AT+T, and new tower to TTT.

2 Service and Components Outside of Project Scope
The following services are beyond the scope of services.
• Any required switch or router configuration.
• Any component or service not explicitly defined in the scope.

Assumptions and Caveats
1. ANS must have access to the site (gate locks...). An escort must be available to provide access to
all areas, if needed, in a timely manner.
2. At the discretion of ANS, the installation services may be delayed for reasons of unsafe working
conditions.
3. Any on-site project delays outside of Anyware Network Solutions' control will be charged to the
customer at a discounted hourly rate.
3 Pricing
Please see attached quotation for pricing information.
4 Timeline
Installation can be performed in May of 2006 per your requirements.
5 Warranties
Warranty: ANS warrants that our Services are performed in a professional and workmanlike manner and
conform to the requirements of the Services. The Services will be deemed to be accepted unless CLIENT
notifies ANS in writing within ninety (90) days after completion of the Services that the Services were
deficient. ANS will promptly correct the reported deficiencies and will notify CLIENT in writing when the
deficiencies have been corrected; the Services will then be deemed to be accepted after thirty (30)working
days unless CLIENT notifies ANS in writing that the deficiencies have not been corrected. In such event,
CLIENT shall be entitled to recover all fees paid to ANS in connection with the Services.
Limitations On Warranty: THE WARRANTY ABOVE IS EXCLUSIVE AND IN LIEU OF ALL OTHER
WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF
MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Limitation Of Liability: (a) neither party shall be liable for any indirect, incidental, special or consequential
damages, including loss of profits, revenue, data, or use, incurred by either party or any third party, whether
in an action in contract or tort, even if the other party or any other person has been advised of the possibility
of such, and (b)ANS MAXIMUM LIABILITY TO CLIENT ARISING FOR ANY REASON RELATING TO ANS
PERFORMANCE OF SERVICES UNDER A SOW SHALL BE LIMITED TO THE AMOUNT OF FEES PAID
TO ANS FOR THE PERFORMANCE OF SUCH SERVICES.
Indemnity: The Client agrees to release, indemnify and hold harmless ANS, or any of it's owners,
affiliates, directors, employees, agents, or contractors from liability for any claims or damages of any kind or
description that may arise from the execution of Services, unless caused by negligence of ANS.

6 Acceptance
I acknowledge that the service, support and hardware reflected on this proposal are acceptable for the project
outlined and that our organization desires to engage Anyware Network Solutions, Inc. in the fulfillment of this
project. I further understand that signing this agreement does not in any way create a contract for services or
equipment with Anyware Network Solutions, Inc., and that the terms and conditions for any such transaction will
be addressed separately by quotation and purchase order.
Any alteration or deviation from above specifications involving extra costs must be mutually accepted only upon
written order and will become an extra charge over and above any price quotation.All agreements are contingent
upon strikes,accidents,or other delays beyond our control.

Terms and Conditions
Payment Terms
Terms are: 50% of total quotation in advance, then balance due Net 15 upon completion.
Conditions of Sale
Quotation is valid for 90 days from date received.
FOB: origin.
If order is cancelled within 24 hours of execution, actual time and materials expended will be invoiced to
customer. A restocking fee of up to 25% of the materials price may apply to any materials returned before
installation.
Price does not include any local or state sales tax. All applicable taxes will be shown on final invoice.
Price does not include freight. Actual freight charges will be shown on final invoice.
Notes
This quote includes the required soil samples for the tower construction.
This quote does not include the required city or county permits and approval.
Antenna installation and alignment is not included in this quote. (The cost for these services was provided in
a previous quote).
The tower is engineered for 1-4'antenna and 2-2'antennas.
