Dear Mr. Coan:
Pursuant to your discussions with Dave Padgett, Patina Oil & Gas Corporation ("Patina") offers
the following proposal for the consideration of Copart Inc. ("Copart").
In consideration for the payment to Patina by Copart of Patina will relinquish its
right to use the surface of Parcel I as described on the plat provided by Copart and Lot B of
Recorded Exemption No. 1471-1-30-4 RE-3932, both located in the E/2SE/4 of Section 30,
Township 1 North, Range 66 West, C'P.M.
This offer is subject to the execution of a mutually acceptable agreement on or before February
15, 2005. Among other things, the agreement shall provide for the relinquishment of Patina's
surface rights as described above and the reservation by Patina of an exclusive oil and gas
operations area to be located in the SE/4SE/4 from which Patina could conduct drilling
operations for three future oil and gas wells.
If the parties have not entered into an agreement by 5:00 p.m. on February 15, 2005. then this
Letter of Intent shall terminate without liability to either party. Patina does not represent the
mineral owners or overriding royalty owners in the referenced lands. Additionally, Patina does
not represent the owners of oil and gas leasehold interests in the referenced lands in depths or
formations that are not leased to Patina. The consideration recited above is only for Patina's
leasehold interests and surface rights in the referenced lands.
This Letter of Intent also is contingent upon the successful acquisition of the Brancucci property
by COPART, Inc. and the approval of USR Application 1493 by both the Weld County Planning..
Commission and the Weld County Board of County Commissioners.
