As you are aware, this law firm represents Anadarko Land Corp. ("Anadarko Land"), formerly known as Union Pacific Land Resources Corporation, and Anadarko E&P Company LP ("Anadarko F&P"), formerly known as Union Pacific Resources Company, with respect to the prospective surface development of the Property. The Anadarko entities own all of the minerals that underlie the Property. Anadarko Land owns the minerals exclusive of oil, gas and associated liquid hydrocarbons, and the Anadarko entities together own the oil, gas and associated liquid hydrocarbons. Frank Wright August 23, 2004 Page 2 As you may be aware, Colorado law recognizes that the surface estate and the mineral estate are separate and distinct property interests and that one may be severed from the other. Under Colorado law, the mineral owner has the right to use as much of the surface of the property as is reasonably necessary to develop the minerals. Where, as here, potential conflict arises because the surface owner proposes to develop the surface estate, the trwners of th twe estates w,1fl generally,enter to sarfeee use agreements or other agreements with respect to the use of the surface of the property. As you may know, the oil and gas interests on the one hand and the hard rock mineral interests on the other hand are typically handled differently because the oil and gas can frequently be developed in a way that is compatible with surface development while the hard rock minerals will be sterilized in place from the development. 1. The Oil and Gas Interests Owned by the Anadarko Entities. Anadarko E&P owns all of the oil and gas that underlies the Property, subject to a reversionary interest for the oil and gas in Anadarko Land, Anadarko E&P or a predecessor company has entered into oil and gas leases that include the Property, interests in which have been assigned to EnCana Energy Resources, Inc. ("EnCana"). EnCana operates four wells on the Property or on lands adjacent to the Property in the NE/41\1W/4; NW/4NW/4; SE/4NW/4 and the SW/4NW/4 of Section 5. Current Colorado Oil and Gas Conservation Commission ("COGCC") rules and regulations would allow for the location of five drilling windows in a quarter section in the geographic area where the Property is located, one in the center of each of the quarter quarter sections and one in the center of the quarter section. The Anadarko entities would propose to enter into a surface use agreement to include you and EnCana in which the oil companies would preserve and protect the two wellsites that currently exist on the Property and provide for the location of' additional wells within the wellsite locations. Subject to the consent and agreement of EnCana, the wellsite locations would each include an area that is at least a circle with a radius of 250 feet. The locations for the wellsites and the access routes and pipeline easements for the wellsites would be identified in the surface use agreement, and the surface use agreement would include other provisions that the Anadarko entities generally include in AUG-23-2004 MON 04: 16 PM KRUF4 SOBEL, LLC FAX NO. 303 8482 P. 0,1 Frank Wright August 23, 2004 Page 3 their surface use agreements, such as the waiver of setback requirements and surface damage payments, among other things. 2. The Minerals Other Than Oil and Gas Owned by Anadarko Land. Anadarko Land owns all of the hard rock minerals that underlie the Property, including the coal. A senior geologist with Anadarko Land has reviewed the Property for coal resource potential and determined that the Property lies within the Boulder-Weld Coal Field where there has been extensive coal minine in the past. The geologist opines that there are Laramie Formation coals under the Property that are approximately 5.8 feet thick and that lie at depths of approximately 107 to 145 feet. The Laramie Formation coals have a high BTU of approximately 8900 to 9800 btu/lb and a low sulfur content of between .3 and .8 percent. The geologist estimates that there are approximately 808,000 tons of Laramie Formation coals under the S/2NW/4 of Section 5. Because of the nature and quantity of the coal that underlies the Property and in line with similar transactions with other developers, Anadarko proposes to provide you with a relinquishment of surface rights for the coal in exchange for a payment of$150 an acre. Enclosed is a binder of materials that documents a few of the numerous transactions that Anadarko Land or a predecessor company has entered into with other surface developers in the past. The form of relinquishment that Anadarko Land generally provides is enclosed as the last document in the binder. Also enclosed is the pertinent portion of the Coal Resources and Development Map of Colorado which documents the coal resources under the Property.
