RE: Second Amended Mining Lease for Den Property for Sand, Gravel and Aggregate

To Whom It May Concern:
On behalf of Darwin D. Den and Broken Arrow Investments, LLC, please consider this letter as
formal Notice of Default pursuant to paragraph 12 of the Second Amended Mining Lease for
Derr Property for Sand, Gravel and Aggregate dated September 15, 2004.
Pursuant to paragraph 5 of the Lease, Weld County is obligated to obtain all necessary permits in
a timely fashion. Recent communications with the Weld County attorney's office confirmed that
Weld County has not started the permit approval process, and has continued to delay that process
without reasonable justification. Specifically, paragraph 5 of the Lease states that "Weld County
shall...exercise reasonable diligence in obtaining all necessary permits in a timely fashion."
Failure on the part of Weld County to start the permit process is a clear violation of this
contractual obligation, and represents an event of default under the Lease. Derr/Broken Arrow
Investments will consider this Lease Agreement terminated unless the County has obtained all
necessary permits required under paragraph 5 of the Lease on or before May 8, 2006, or has
otherwise received an administrative denial of said application .
