Griego, Director, Social Services .J a Stl RE: Agreements for Recreational/Education Ser ces Colorado Works Summer Activities Program with Various Providers Enclosed for Board approval are Agreements for Recreational/Education Services for Colorado Works Summer Activities Program with various providers. The Agreement was reviewed at the Board's Work Session held on March 9, 2005. The major provisions of the Agreements are as follows: 1. The term of the contract is May 1, 2005 through December 31, 2005. 2. The source of funding is Colorado Works or Temporary Assistance for Needy Families. 3. The Providers will provide educational or recreational services at not to exceed$125 per participant and at the same rate charged to other non-Social Services participants. The Providers are: A. City of Windsor J. City of Greeley B. Thompson Rivers Parks K. Flatiron Youth Leadership and Recreation District L. Town of Erie C. Aims Community College M. Highland Recreation D. Town of LaSalle N. WITNESSETH: WHEREAS,the Social Services provides supportive services to eligible children and juveniles who need educational and/or recreational activities as outlines in its Colorado Works Plan for Weld County, and WHEREAS, Social Services is in need of recreational and educational providers to assist Social Services' Summer Activities program in providing services to eligible children and juveniles, WHEREAS, Summer Provider has educational or recreational activities available for eligible children and juveniles of Social Services at fees,which is set forth below. NOW,THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties hereto agree as follows: I. TERM: The term of this Agreement shall be from May 1, 2005,through and until December 31, 2005. 2. SERVICES PROVIDED BY SUMMER PROVIDER: Summer Provider agrees to provide educational and/or recreational services for eligible children and youth involved in the Summer Activities Program according to enrollment activities of the Summer Provider. 3. COMPENSATION: Social Services agrees to pay Summer Provider for educational and/or recreational services performed pursuant to this Agreement at the rate not to exceed$125 per term of the Agreement and at the rate charged to other non-Social Services participants receiving the same recreational or educational services. The parties agree that the service rate as contemplated herein shall constitute the entire amount of compensation due to the Summer Provider for any work performed hereunder. 4. INDEPENDENT CONTRACTOR: Summer Provider agrees that it is an independent contractor and will not become an employee of Social Services,nor is the Summer Provider entitled to any employee benefits under Social Services as a result of the execution of this Agreement. 5. INDEMNIFICATION: Summer Provider shall indemnify Weld County, its officers and employees, against liability for injury or damage caused by any negligent act or omission by Summer Provider in the performance of this Agreement and shall hold Weld County harmless from any loss occasioned as a result of the performance of this Agreement. 6. NON-ASSIGNMENT: Summer Provider may not assign or transfer this Agreement, any interest therein or claim thereunder,without the prior written approval of Social Services. 7. ACCESS TO RECORDS: Social Services shall have access to Summer Provider's financial records for the purposes of audit. TERMINATION: Either party may terminate this Agreement at any time by providing the other party with a 10-day written notice thereof Furthermore,this Agreement may be terminated at any time without notice upon a material breach of the terms of the Agreement. 9. TIME OF THE ESSENCE:Time is of the essence in each and all of the provisions of this Agreement. 10. ENTIRE AGREEMENT/MODIFICATIONS: This Agreement constitutes the entire understanding between the parties with respect to the promises and covenants made therein. No modification of the terms of this Agreement shall be valid unless made in writing and agreed to by both parties. 11. NON-APPROPRIATION:No portion of this Agreement shall be deemed to create an obligation on the part of Social Services to expend funds not otherwise appropriated in each succeeding year. 12. WAIVER OF IMMUNITIES/THIRD PARTY LIABILITY: No portion of this Agreement shall be deemed to constitute a waiver of any immunities of Social Services or its officers or employees may possess,nor shall any portion of this Agreement be deemed to have created a duty of care with respect to any persons other than Social Services and not a party to this Agreement. Contract No.-05-TANF-SP AGREEMENT FOR RECREATIONAL/EDUCATION SERVICES FOR COLORADO WORKS SUMMER ACTIVITIES PROGRAM THIS AGREEMENT is made and entered into this day of 2005,by and between the Board of County Commissioners of the County of Weld,State of Colorado,sitting on behalf of the Weld County Department of Social Services,hereinafter referred to as"Social Services",and the Town of Erie whose address is 645 Holbrook Street, Erie,Colorado 80516 hereinafter referred to as"Summer Provider". WITNESSETH: WHEREAS,the Social Services provides supportive services to eligible children and juveniles who need educational and/or recreational activities as outlines in its Colorado Works Plan for Weld County,and WHEREAS,Social Services is in need of recreational and educational providers to assist Social Services' Summer Activities program in providing services to eligible children and juveniles, WHEREAS,Summer Provider has educational or recreational activities available for eligible children and juveniles of Social Services at fees,which is set forth below. NOW,THEREFORE,in consideration of the mutual promises and covenants contained herein,the patties hereto agree as follows: 1. TERM: The term of this Agreement shall be from May 1,2005,through and until December 31, 2005. 2. SERVICES PROVIDED BY SUMMER PROVIDER: Summer Provider agrees to provide educational and/or recreational services for eligible children and youth involved in the Summer Activities Program according to enrollment activities of the Summer Provider. 3. COMPENSATION: Social Services agrees to pay Summer Provider for educational and/or recreational services performed pursuant to this Agreement at the rate not to exceed$125 per term of the Agreement and at the rate charged to other non-Social Services participants receiving the same recreational or educational services. The parties agree that the service rate as contemplated herein shall constitute the entire amount of compensation due to the Summer Provider for any work performed hereunder. 4. INDEPENDENT CONTRACTOR: Summer Provider agrees that it is an independent contractor and will not become an employee of Social Services,nor is the Summer Provider entitled to any employee benefits under Social Services as a result of the execution of this Agreement. 5. INDEMNIFICATION: Summer Provider shall indemnify Weld County,its officers and employees,against liability for injury or damage caused by any negligent act or omission by Summer Provider in the performance of this Agreement and shall hold Weld County harmless from any loss occasioned as a result of the performance of this Agreement. 6. NON-ASSIGNMENT: Summer Provider may not assign or transfer this Agreement,any interest therein or claim thereunder,without the prior written approval of Social Services. 7. ACCESS TO RECORDS: Social Services shall have access to Summer Provider's financial records for the purposes of audit. Such records shall be complete and available for audit 90 days after final payment hereunder and shall be retained and available for audit-purposes for at least five years after final payment hereunder. Furthermore,this Agreement may be terminated at any time without notice upon a material breach of the terms of the Agreement. 9. TIME OF THE ESSENCE: Time is of the essence in each and all of the provisions of this Agreement. 10. ENTIRE AGREEMENT/MODIFICATIONS:This Agreement constitutes the entire understanding between the parties with respect to the promises and covenants made therein. No modification of the terms of this Agreement shall be valid unless made in writing and agreed to by both parties. 11. NON-APPROPRIATION:No portion of this Agreement shall be deemed to create an obligation on the part of Social Services to expend funds not otherwise appropriated in each succeeding year. 12. WAIVER OF IMMUNITTES/TTIIRD PARTY LIABILITY:No portion of this Agreement shall be deemed to constitute a waiver of any immunities of Social Services or its officers or employees may possess,nor shall any portion of this Agreement be deemed to have created a duty of care with respect to any persons other than Social Services and not a party to this Agreement.
