THIS AGREEMENT is made and entered into this 1st day of May, 2005, by and between the
County of Weld,a political subdivision of the State of Colorado,by and through the Board of County
Commissioners of the County of Weld,whose address is 915 10th Street, Greeley, Colorado 80631,
hereinafter referred to as County, and Porter Industries, Inc.,whose address is 5202 Granite Street,
Loveland, CO 80538,hereinafter referred to as Porter Industries,Inc.
WITNESSETH:

and said offices being referred to herein collectively as County Offices,and
WHEREAS, County is in need of the provision of janitorial services for County Offices on a
daily(business day)basis,and
WHEREAS,Porter Industries, Inc. is in the business of providing janitorial services and has the
manpower to perform such services on a daily basis in County Offices, and
WHEREAS,the parties hereto now desire to enter into this Agreement for the purpose of
securing the provision of janitorial services for County Offices according to the terms and conditions set
forth herein.
NOW,THEREFORE,in consideration of the terms and covenants stated herein,the parties
hereto agree as follows:
1. TERM: This Agreement shall be for a term of one(1)year from May 1, 2005
to April 30, 2006 and shall be renewed automatically for additional
two(2)year term thereafter,unless sooner termination by either party
according to the procedures set forth in Section 2,below.
2. TERMINATION:
a. Without Cance: This Agreement may be terminated by either party,without
cause,by providing to the other party at the above-listed address written notice
of its intent to terminate,at least thirty(30)days prior to the intended date of
termination.

b. With Cause: County may terminated this Agreement if,upon notifying the
Porter Industries, Inc. Contact Person listed in Section 14,below, of
deficiencies in service, Porter Industries,Inc.has not corrected deficiencies
within three(3)working days. Such notification of deficiencies in service
and of consequent termination may be either oral or written.
Porter Industries,Inc. may terminate this Agreement if, upon notifying the
County Contact Person listed in Section 13, below, County refuses to pay any
appropriate invoices delivered to County by Porter Industries, Inc.
3. JANITORIAL SERVICES TO BE PERFORMED BY PORTER INDUSTRIES,INC:
Porter Industries, Inc. agrees to perform janitorial services in County Offices five(5)
days per week. Monday through Friday,excluding the holidays listed in Section 4,
below,between the hours of 6:00 p.m. and 2:30 a.m.
All cleaning specifications are listed in EXHIBIT A attached to this agreement.
4. HOLIDAYS WHEN NO JANITORIAL SERVICES ARE PERFORMED:
Porter Industries, Inc. shall not be required to perform janitorial services on the following six
(6)holidays:New Year's Day,Memorial Day, Independence Day, Labor Day,Thanksgiving
and Christmas Day. The parties may arrange for janitorial service by Porter Industries on
the above listed holidays for an additional charge.
5. LABOR, EQUIPMENT AND SUPPLIES: :All labor necessary to perform the janitorial
services listed in Section 3, above, shall be provided by Porter Industries at its sole expense.
All cleaning chemicals, equipment,floor finishes,trash liners, silica sand and restroom
products, such as paper towels,toilet tissue,hand/shower soap, sanitary napkins/tampons,
urinal screens,deodorant block and air fresheners, shall be provided by County. All other
supplies necessary to perform the janitorial services shall be provided by Porter Industries.
County shall provide in each of the County Offices secure storage for the janitorial
equipment and supplies, solely accessible by Porter Industries personnel and County
authorized personnel.
6. INDEPENDENT CONTRACTOR/STATUS OF PORTER IND. EMPLOYEES:
Porter Industries shall perform its duties hereunder as an independent contractor and not as
an employee of County. Neither Porter Industries, Inc. nor any agent or employee of Porter
Industries, shall be deemed to be,an agent or employee of County. Porter Industries shall
pay,when due,all wages, social security, required employment taxes and income taxes.
Porter Industries acknowledges that its employees are not entitled to unemployment
insurance benefits unless Porter Industries or a third-party provides such coverage and that
County does not pay for or otherwise provide such coverage for Porter Industries employees.
Porter Industries shall have no authorization, express or implied,to bind County to any
agreement, liability,or understanding. Porter Industries shall be solely responsible for the
acts of Porter Industries, it employees and agents. County agrees to refrain from actively
soliciting applications for County janitorial staff positions from Porter Industries employees.
7. COMPENSATION: County shall pay to Porter Industries the following compensation
for the janitorial services performed:
a. Janitorial services for County Offices, daily for five(5)days per week, shall
be invoiced at the fixed rate of$30,970.00 per month.
EXHIBIT B attached to this agreement lists the compensation per facility.

b. Janitorial services requested by County Contact Person on days other than
five(5)per week or on the above-listed holidays shall be invoiced to County at the
rate of $16.50 per hour regular time,$23.50 per hour overtime.
c. All invoices delivered to County by Porter Industries shall be paid in full
within twenty(20)days after receipt thereof.
8. INSURANCE: Porter Industries shall, during the term of this Agreement, carry
statutory workers compensation insurance for all of its employees,and property
damage insurance and public liability insurance in an amount of no less than$2,000,000
combined single limit. County shall be named as an additional named insured on
Porter Industries certificate of insurance,which shall be provided to County within
thirty(30)days of signature hereunder. Upon request,Porter Industries, shall carry a
sufficient surety bond in a reasonable amount set by County.
9. ENTIRE AGREEMENT: This writing constitutes the entire Agreement between
the parties hereto with respect to the subject matter herein,and shall be binding upon
said parties,their officers,employees, agents and assigns and shall inure to the benefit of the
respective survivors,heirs,personal representatives, successors and assigns of said parties.
10. NO WAIVER OF IMMUNITY: No portion of this Agreement shall be deemed to
constitute a waiver of any immunities the parties or their officers or employees may
possess,nor shall any portion of this Agreement be deemed to have created a duty of
care which did not previously exist with respect to any person not a party to this
agreement.
11. NO THIRD PARTY BENEFICIARY ENFORCEMENT: It is expressly understood
and agreed that the enforcement of the terms and conditions of this Agreement,and all
rights of action relating to such enforcement, shall be strictly reserved to the undersigned
parties and nothing in this Agreement shall give or allow any claim or right of action,
whatsoever by any other person not included in this Agreement. It is the express intention
of the undersigned parties that any entity other than the undersigned parties receiving
services or benefits under this Agreement shall be an incidental beneficiary only.
12. SEVERABILITY: In the event that any of the terms, covenants or conditions of this
Agreement or their application shall be held invalid as to any person,corporation, or
circumstance of any court having competent jurisdiction,the remainder of this Agreement
and the application in effect of its terms,covenants or conditions to such persons,
corporations or circumstances shall not be affected thereby.

All informal communications between the parties hereto shall take place between the
Contact Persons. Any formal notice,demand or request provided for in this Agreement
shall be writing and shall be deemed properly served,given or made if delivered in person
or sent by registered or certified mail, postage prepaid to the parties hereto at the addresses
as set forth above,unless another address is specified.
14. GOVERNING LAW:The validity,interpretation,and construction of this Agreement
shall be governed by and construed in accordance with the laws of the State of
Colorado and the United States of America. The exclusive jurisdiction and venue for
any lawsuit between the parties arising out of this Agreement shall be Weld County,
Colorado,and/or the Federal District Court for the District of Colorado.
15. ORIGINAL COUNTERPARTS:This Agreement may be executed in counterparts,each of
which will be an original,but all of which together shall constitute one and the same
instrument.

(Cleaning Specifications)
CLEANLINESS QUALITY MEANS: A"like new appearance . . .or the following:
• The absence of litter or undesirable debris
• The absence of dust on any surface that is dustable
• The complete, comprehensive and thorough cleaning of any item, including corners, inside, outside,
top and bottom,under and over all surfaces.
• The absence of surface marks, spills or other residue that can be eliminated by damp or wet cleaning.
• The absence of soil, wax and/or other build-up which can be eliminated by heavy duty, cycle or
project cleaning.
• The presence of surface gloss, protection of reflective capacity, "like new" or designated gloss
levels.
• The absence of minor spots,marks or other soil that can be eliminated by spot cleaning
• The absence of dust, lint and other in-fiber accumulation in fabric and carpeted areas that can be
eliminated by vacuuming (using vacuum filter bags with a filtering capacity of a minimum 95%
efficiency to 1.0 micron particle)
• The absence of germs, bacteria, fungus, mold and other sources of infection in restrooms, clinics,
kitchen, break area counter tops and eating surfaces through proper use of disinfectants and
sanitizers.
• The responsibility to call (970) 336-7211 of FAX (970) 336-7212, Weld County Building and
Grounds Departrnent to report or leave work requests to eliminate or correct problems with
damaged,non-functional, repair or replacement items which cannot be corrected through appropriate
cleaning.
DAILY PROCEDURES
OFFICE AREAS, COMMON AREAS, ADMINISTRATIVE AREAS AND CONFERENCE ROOMS
1. Empty, clean and wipe down trash containers, if soiled. Replace liner if soiled, remove other waste
marked trash.
2. Vacuum carpeted areas as directed under Carpet Care instructions.
3. Sweep,dust mop and damp mop all tiled floor areas,including hard to reach places.
4. As needed. Hand dust and wipe clean office furniture, file cabinets, counter tops, windowsills,
ledges and other horizontal surfaces. (this is only to be done if all surfaces are free of professional
and personal property,the exception of magazines and display material)
5. Arrange office furniture.
6. Organize magazines and display materials.
7. Remove fingerprints and smudges from vertical surfaces including doors, door frames, light
switches,entrance glass and inside partition glass.
8. Clean, sanitize and polish drinking fountains and water coolers.
9. Spot clean carpets, soiled carpets, spillage, etc., using specific methods and chemicals provided by
Weld County if applicable.
10. Restock consumable products in restrooms and break areas to assure supplies are available for the
next entire business day.

RESTROOMS AND SHOWERS
(Sanitize and/or disinfect means to be free of bacteria,germs, mold, fungus, etc.)
1. Empty, clean and wipe down (sanitize) trash containers, including sanitary disposal containers and
replace liners. Remove any other waste marked"trash".
2. Fill, clean and sanitize paper, soap,and other dispensers.
3. Sweep, mop, remove spots and disinfect tile floor areas.
4. Clean, polish and disinfect mirrors,chrome and enameled surfaces.
5. Clean and sanitize basins, urinals, bowls, toilet seats, rims, hinges, piping and other fixtures using a
non-abrasive cleaner.
6. Wipe down and sanitize partitions,doors,tile walls and baseboards.
7. Pour disinfectant water down all floor and shower drains once week.
8. Detail public restrooms twice a month.
9. Detail staff restrooms once a month.
10. Showers are to be sanitized once a week.
Note: Use paper towels to wipe and dry toilets and urinals.
EMPLOYEE KITCHEN AND COFFEE STATIONS
1. Empty and clean trash receptacles daily.
2. Clean, sanitize and polish sinks and fixtures.
3. Hand dust and clean visible surfaces of appliances, vending machines, counter tops, tables and
chairs and other horizontal surfaces.
4. Arrange tables and chairs neatly.
5. Disinfect and remove fingerprints and smudges from vertical surfaces,
6. Vacuum carpeted areas,including hard to reach areas.
7. Sweep,damp mop,remove spots and disinfect tiled floor areas including hard to reach areas.
8. Restock consumable products t assure adequate supplies are available for the entire next business
day.
ENTRANCES AND EXITS
1. Clean interior and exterior of doors including glass,handles,push plates, and frames.
2. Spot clean side entrance glass.
3. Empty and clean ashtrays, screen sand urns and replace sand as needed.
4. Sweep sidewalks twenty feet from doors.
5. Remove trash and debris from walkways and entrances.
6. Vacuum walk-off mats.
ONCE A MONTH CLEANING
1. Vacuum all HVAC vents.
2. Detail vacuum all area that are hard to reach.
3. Detail dust all areas that are difficult to reach.
4. Clean blinds.
5. Clean all furniture;legs,arms,backs and vacuum upholstery.
6. High dust, remove cobwebs.
7. Spot clean walls.

CLINIC ROOMS
• Five times a week:
1. Clean all surfaces with a"quat"germicidal/disinfectant cleaner.
2. Remove all trash receptacle liners daily.
3. Do not do anything with Bio-Hazard receptacles or trash liners.
4. Clean trash receptacles inside and out.
5. Disinfect all dispensers.
6. Sweep and damp mop all floors.
• Once a week
1. Sanitize/disinfect walls, ceiling vents, exam table foot stools, drawer fronts, stirrups, and
mattresses,both sides.
2. Clean blinds.
3. Clean corners and baseboards.
4. Clean all furniture, legs,arms and backs.
• Once a month
1. Extract carpets in exam rooms and waiting areas.
ENVIROMNENTAL HEALTH LAB
• All offices in the lab will be cleaned in the same fashion as other offices in the building. Special
needs are:
1. Area will be cleaned during normal office hours as no one is allowed in the area unless the lab
staff is in the area.
2. All counter tops and testing surfaces will be cleaned by the lab staff.
3. Bio-medical waste will be disposed of by the lab staff.
4. Areas to be cleaned by contact services:
• Sinks if empty
• Tables and furniture
• Windows, sill and blinds
• Trash cans(with the exception of bio-medical waste)
• Floors and walls
CARPET CARE SCHEDULE
• Routine Maintenance for matting
1. Vacuum daily
• Routine Vacuuming:
I orations: entrances, lobbies, elevators,reception areas,waiting rooms,hallways, break rooms.
Frequency: One time daily
Location: Offices
Frequency: One time daily—traffic areas/monthly thoroughly detail entire area
• Spot Cleaning: Spots are to be cleaned daily. If you see a spot,clean it!

1. Heavy traffic areas to be cleaned monthly.
2. Moderate traffic area to be cleaned quarterly.
3. Break rooms to be cleaned weekly.
4. General office areas to be cleaned twice a year.
• Truck-mount Extraction(On request—Extra Billing—See EXHIBIT C)
1. All chemicals will have the following general characteristics:
• Environmentally friendly
• Contain no optical brighteners
• Have a pH between 6 and 9
• Effective in water temperatures less than 120 F.
• Clean well
• Do not leave a sticky residue when drid
• Will not damage carpet fibers or color
Hard Floor Care Schedule(VCT Flooring)
• Burnishing Schedule:
1. Heavy traffic areas in lobbies and receptions areas will be burnished twice a week.
2. Moderate traffic areas will be burnished once a week.
3. Light traffic areas will be burnished once a month.
• Top Scrubbing(Light scrub and wax—no stripping)
1. Heavy traffic area will be top scrubbed once a month.
2. Moderate traffic areas will be top scrubbed once a quarter.
3. Light traffic areas will be top scrubbed once a year.
Note: No topical sealer is to be used on natural of glazed floors. For natural stone, clean with Marbalex
from Stone Care International; seal the grout of natural stone with Stone Guard from Stone Care
International.

SPECIAL SITUATIONS:
1. Cleaning staff is not to clean work stations unless the staff member removes all of their personal and
professional items. This includes inside windows if there are sun catchers on the glass or plants on
the window ledges.
2. Break rooms: all counters, tables and sinks are to be cleaned unless building staff does not cleanup
after themselves. Do not clean out refrigerators.
3. There are some windows that are splashed with well water during sprinkling. The county staff will
clean the mineral deposits from the outside of these windows, but the contracted staff will clean the
insides of these windows once a quarter.
4. In the Health Department there are areas that can only be cleaned two (2) times a week, during
normal office hours, 8:00 a.m.to 5:00 p.m.

5. County-wide Recycling Program: All Weld County buildings recycle. Recycling is to be done
twice a week. There are two different kinds of recycle containers. A small desk size and each work
stations has a recycling box. Beside all copiers, fax and large open areas there are large recycling
containers. There are plastic recycling containers which the staff in the building is responsible for
emptying. The contractor is not responsible for these containers. In the Health Department there will
be HIPPA locked containers that will have to be monitored and removed to the recycling area at the
West parking lot. At no time are aluminum cans to be removed from the assigned recycling
containers. Cans are recycled for Santa Cops. CARDBOARD: In the 1402 and 1400 facilities,the
cardboard is to be broken down and placed beside the trash dumpster. In HRD,the cardboard is to be
picked up and moved to the container at 1402/1400
6. Do not store unrinsed or unclean mops or buckets in the buildings.
7. Do not make unauthorized alterations to the buildings.
8. Do not use products that will damage the surface it comes in contact with.
