RE: APPROVE BROKERAGE ACCOUNT FOR THE PURCHASE AND SALE OF
SECURITIES AND OTHER PROPERTIES AND AUTHORIZE CHAIR TO SIGN - UBS
FINANCIAL SERVICES, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS,the Weld County Treasurer has requested approval to open with UBS Financial
Services, Inc., a brokerage account for the purchase and sale of securities and other property,and
WHEREAS,after review,the Board deems it advisable to approve said brokerage account.
NOW,THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado,that the Weld County Treasurer be, and hereby is,authorized to open with UBS
Financial Services, Inc., its successor firms, subsidiaries, correspondents or affiliates ("UBS") a
brokerage account for the purchase and sale of securities and other property. "Securities"means,
but is not limited to, money, stocks, bonds, options, including stock index options, interest rate
options, foreign currency options, and other securities and property.
BE IT FURTHER RESOLVED by the Board that the Investment Officers named below are
authorized to act on behalf of Weld County with respect to opening an account,to execute on behalf
of Weld County any and all relevant documents,and to deal with U BS in connection with all aspects
of said account singly, with no limits as to the amount (hereinafter called "Investment Officer"):
1. Donald D. Mueller- Treasurer
2. Donald D. Warden - Director of Finance and Administration
3. Sue Young - Office Manager/ Coordinator
BE IT FURTHER RESOLVED by the Board that UBS is authorized to deal with each
Investment Officer, to accept all orders for purchases and sales and all instructions given verbally
or in writing by him or her on behalf of Weld County as the action of Weld County without further
inquiry as to his or her authority; to receive any funds, securities or other property for the account
of Weld County;to honor written instructions from each Investment Officer to deliver either in bearer
form, in street certificates, in any names or in any other manner any funds, securitise or other
property held for the account of Weld County; and to send all confirmations, notices, demands,
statements, and other communications to the Investment Officer and to Weld County, at the
following address:

BE IT FURTHER RESOLVED that any withdrawals of money and other non-brokerage
transactions including, but not limited to,obtaining letters of credit and othertypes of credit facilities
made on behalf of Weld County with UBS are ratified, confirmed and approved, and that UBS
receives a certification copy of resolutions of Weld County's Board of Commissioners revoking or
modifying this resolution. In the event that UBS, for any reason, is uncertain as to the continuing
effectiveness of the authority conferred by these resolutions or any other resolutions of Weld
County, UBS may refrain from taking any action with respect o this account until such time as it is
satisfied as to its authority and UBS shall be indemnified against and held harmless from any
claims, demands, expenses, loss or damage, including legal fees and costs, resulting from or
arising out of its refraining from taking any action.
The above and foregoing Resolution was,on motion duly made and seconded,adopted by
