HomeMy WebLinkAbout20051190.tiff RESOLUTION RE: APPROVE AMENDMENT#2 TO INTERGOVERNMENTAL DATA ACCESS CONTRACT FOR EMPLOYMENT AND TRAINING PROGRAMS AND AUTHORIZE CHAIR TO SIGN WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS,the Board has been presented with Amendment#2 to Intergovernmental Data Access Contract for Employment and Training Programs between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Human Services,Greeley Workforce Center,and the Colorado Department of Labor and Employment, commencing March 1, 2005, and ending February 28, 2006, with further terms and conditions being as stated in said amendment, and WHEREAS,after review,the Board deems it advisable to approve said amendment,a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Amendment #2 to Intergovernmental Data Access Contract for Employment and Training Programs between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Human Services, Greeley Workforce Center, and the Colorado Department of Labor and Employment be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said amendment. FACTUAL RECITALS Authority exists in the Law and Funds have been budgeted, appropriated, and otherwise made available and a sufficient unencumbered balance thereof remains available for payment; and Required approval, clearance, and coordination has been accomplished from and with appropriate agencies; and The parties entered into a contract February 28, 2001, allowing the Participating Agency access to the Provider's Data for use by public employees in the performance of their public duties. The parties subsequently entered into Amendment ONE on February 17, 2004, to extend the contract. The purpose for this amendment is described below. An amendment is necessary to extend the contract term due to the delay in the transition to a new information system implementation effort. This amendment is intended to extend the contract term by one year and update contact information. NOW, THEREFORE, it is hereby agreed that: 1. Consideration for this amendment to the Original Contract, Contract Routing Number 01 KAA0150, dated February 21, 2001, and Amendment ONE, Contract Routing Number 04KAA00174, dated February 17, 2004, consists of the payments which shall be made pursuant to this amendment and the promises and agreements herein set forth. 2. It is expressly agreed by the parties that this amendment is supplemental to the original Contract, as amended by Contract Routing Number 04KAA00174, collectively, referred to as the "original contract,"which is, by this reference, incorporated herein, that all terms, conditions, and provisions thereof, unless specifically modified herein, are to apply to this amendment as though they were expressly rewritten, incorporated, and included herein. 3. It is agreed the original contract is and shall be modified, altered, and changed in the following respects only': Deletions to the Original Contract appear in "strikeout"format. Additions to the Original Contract appear in bold or"redline"format. Page 1 of 4 A. EFFECTIVE DATE and TERM. The effective date of this Intergovernmental Data Access Contract is March 1, 2001. The initial term of this Intergovernmental Data Access Contract shall commence on March 1, 2001, and end on February 28, 2002. Unless previously terminated by one of the parties pursuant to the terms of this Intergovernmental Data Access Contract, this Intergovernmental Data Access Contract shell automatically renew for three (3)four(4) successive terms of one (1) year each beginning on March 1, 2002. D. ADDITIONAL PROVISIONS. 11. Notice Procedure. All notices required, or permitted, to be given under this Intergovernmental Data Access Contract shall be in writing. All such written notices shall be deemed given when either personally served on a party or three (3) days after deposit in the United States Mail, certified mail, return receipt requested. The effective date of this amendment is upon approval of the State Controller or February 28, 2005, whichever is later. 5. Except for the "Special Provisions," in the event of any conflict, inconsistency, variance, or contradiction between the provisions of this amendment and any of the provisions of the original contract, the provisions of this amendment shall in all respects supersede, govern, and control. The "Special Provisions" shall always be controlling over other provisions in the contract or amendments. The representations in the Special Provisions concerning the absence of bribery or corrupt influences and personal interest of State employees are presently reaffirmed. 6.
