The S/2 of Section 5 was pooled for oil and gas production from all depths
by all working interest owners by Declaration of Pooling dated June 24, 1985,
recorded August 15, 1985 in Book 1080 at Reception No. 2020854 which pooled
all leases covering all separate tracts in the S/2. The N/2 of Section 5 was pooled
for oil and gas production from all depths by all working interest owners by
Declaration of Pooling dated September 28, 1981, recorded October 18, 1981 in
B000k 966 at Reception No 1889425. For this reason, oil and gas ownership is

COMMENTS
1. Most of the individual ownership tracts in Section 5 have complex
metes and bounds descriptions. It would serve no purpose to set forth these
descriptions in this opinion. It is recommended that you have a surveyor prepare
a rough map of the captioned lands showing the individual ownership tracts
described above.

2. By a Warranty Deed dated August 24, 1977, recorded July 15, 1977 in
Book 802 at Reception Number 1723631, Barbara 3. Johnson conveyed a metes
and bounds tract in the SW/4 to Mayeda Farms. This deed contained a
reservation of 1/2 of the minerals until the land was zoned residential, commercial
or industrial. At the time of this conveyance, Mayeda Farms granted a deed of
trust recorded in Book 802 at Reception Number 1723632 for the benefit of
Barbara Johnson. Later, in a Correction Deed recorded in Book 1158 at
Reception Number 2102106, from George Mayeda et al to the same, this
reservation was repeated. The Deed of Trust was ultimately foreclosed and title
reacquired by Barbara J. Johnson by a Public Trustee's Deed dated December 6,
1991, recorded in Book 1319 at Reception No 2271525, thus terminating the
mineral reservation by merger. Barbara J. Johnson later conveyed to others
without mineral reservations. Nevertheless, in a later conveyance dated October
11, 2002, recorded at Reception Number 2999163 from International Church of
the Foursquare Gospel to Lifebridge, LLC, the mineral reservation was referred to
as an exception to the warranty. For purposes of this opinion it has been
assumed that this exception did not revive the reservation.
3. By a Warranty Deed dated September 5, 2000, recorded in at
Reception Number 2792833, Eileen S. Jaskowski and Leroy H. Swenson
conveyed Lot A of Recorded Exemption 1313-05-3-RE2794 to Ramon and Flora
Robles. In the exceptions to the warranty is an exception for Minerals owned by
Seller. It is unclear whether this was intended as a mineral reservation.
4. An agreement dated September 5, 2000, recorded at Reception
Number 2792830 between Ramon and Flora Robles, as owners of Lot A of
Recorded Exemption 131305-3-RE2794, and Jaskowski/Swenson, as owners of
Lot B, provides that the parties will cooperate to buy out the surface rights of
TOP Operating Company as oil and gas operator. The obligations of this
agreement appear to have assumed by the present owners, Fairview Estates LLC
and Lifebridge Christian Church.
5. By a Warranty Deed dated June 1, 2001, recorded at Reception
Number 2857434, Kenneth and Bonnie Lawson conveyed Lot B of Recorded
Exemption 1313-05-2-RE1389 to Lifebridge Christian Church. This deed states
that it includes ' of Grantors' minerals This should probably be interpreted as a
reservation by Grantors of 1/2 of the mineral rights which they owned.
6. This Opinion is limited to mineral ownership and does not cover
ownership of, or interests in, the surface. It does not cover ownership of sand
and gravel, the ownership of which may have been severed from the surface and
mineral estates by unrecorded instruments. This Opinion is furnished for the
purpose of permitting compliance with the notice requirement of CRS 24-65.5-

103 and for no other purpose. It should not be used as a drilling, division order
or security title opinion or for the purpose of acquiring interests.
This Opinion does not cover mortgages, deeds of trust, easements, rights of
way, tax liens, transcripts of judgment and other matters normally covered by a
title insurance policy or commitment. Similarly, it does not cover such matters
affecting severed mineral interests or oil and gas or mineral leaseholds.
Although this Opinion does cover the ownership of oil and gas leases, it does not
cover security interests therein or ownership of overriding royalty interests. This
Opinion does not cover preferential purchase or reassignment rights affecting
mineral leasehold interests. This Opinion should not be used as the basis for
acquiring mineral or mineral leasehold interests or contracts with operators
requiring the plugging or directional drilling of wells. A supplemental opinion
should be requested to support any such acquisition or contract.

Re: Accommodation of Oil and Gas Interests on the LifeBridge Christian
Church("LifeBridge")Property in Weld County, Colorado
Dear Dave:
Thank you for meeting with Debra Kalish and me on Wednesday,April 27,
2005,to discuss LifeBridge's accommodation of Patina's oil and gas interests
on the southern-half of the 313-acre LifeBridge property located in Weld
County(the"Property"). As you know,LifeBridge has an application pending
before Weld County to rezone the Property to allow for its development We
would like to reach an agreement with Patina that will benefit both Patina and
LifeBridge.
Our discussion during our April meeting centered around three possible
scenarios. First,through a surface use agreement,LifeBridge would reserve
space on the Property required to accommodate Patina's three drilling
windows. Second, also through a surface use agreement,LifeBridge would
reserve space on the Property for one or two vertically drilled wells on the
Property and allow for diagonal drilling for the remaining one or two(totaling
three)wells. We understand that the cost of diagonal chilling would make this
scenario more expensive than the first and that Patina would want
compensation from LifeBridge for the incremental cost of directional drilling in
order to agree to this scenario. Further,under these first two scenarios,in
addition to well.sites,LifeBridge would identify locations for the necessary
flow lines and production facilities. Under the third and final scenario,Patina
would agree to sell LifeBridge its oil and gas interests in the Property and no
reservation of land or panting of easements would be required. It is our
understanding that you will work with the Patina engineers to develop preferred
drilling sites,the incremental costs of diagonal drilling and a dollar figure that
Patina believes reasonably represents the value of its oil and gas reserves on the
LifeBridge Property.

While we have not yet been able to finalize complete details for any of the three
scenarios,Patina and LifeBridge agree that the parties will work towards either
(1)a surface use agreement that reasonably accommodates Patina's oil and gas
interests on the southern half of the Property or(2)an executed agreement for
the sale of Patina's oil and gas interests to LifeBridge,which will be finalized
before a final plat that includes the southern half of the Property may be
submitted to Weld County for approval.
Roth Noble and LifeBridge agree to proceed in good faith to attempt to
negotiate a mutually acceptable agreement,but no agreement will be deemed to
exist unless and until a final definitive agreement has been entered into by both
'parties

Hi Barb, I need you to make a few changes to your Letter of Intent dated May 24, 2005. We believe the letter
should be between LifeBridge and Noble Energy Production, Inc. ("Noble") not your company and Patina. Also
the following paragraph should be added at the end of the text and substance of the letter " Both Noble and
LifeBridge agree to proceed in good faith to attempt to negotiate a mutually acceptable agreement, but no

Re: Accommodation of Oil and Gas Interests on the LifeBridge Christian
Church ("LifeBridge")Property in Weld County, Colorado
Dear Dave:
Thank you for meeting with Debra Kalish and me on Wednesday, April 27,
2005, to discuss LifeBridge's accommodation of Patina's oil and gas interests
on the southern-half of the 313-acre LifeBridge property located in Weld
County (the "Property"). As you know, LifeBridge has an application pending
before Weld County to rezone the Property to allow for its development. We
would like to reach an agreement with Patina that will benefit both Patina and
LifeBridge.
Our discussion during our April meeting centered around three possible
scenarios. First, through a surface use agreement, LifeBridge would reserve
space on the Property required to accommodate Patina's three drilling
windows. Second, also through a surface use agreement,LifeBridge would
reserve space on the Property for one or two vertically drilled wells on the
Property and allow for diagonal drilling for the remaining one or two (totaling
three)wells. We understand that the cost of diagonal drilling would make this
scenario more expensive than the first and that Patina would want
compensation from LifeBridge for the incremental cost of directional drilling in
order to agree to this scenario. Further, under these first two scenarios, in
addition to well sites,LifeBridge would identify locations for the necessary
flow lines and production facilities. Under the third and final scenario, Patina
would agree to sell LifeBridge its oil and gas interests in the Property and no
reservation of land or granting of easements would be required. It is our
understanding that you will work with the Patina engineers to develop preferred
drilling sites, the incremental costs of diagonal drilling and a dollar figure that
Patina believes reasonably represents the value of its oil and gas reserves on the
f LifeBridge Property.

While we have not yet been able to finalize complete details for any of the three
scenarios,Patina and LifeBridge agree that the parties will work towards either
(1) a surface use agreement that reasonably accommodates Patina's oil and gas
interests on the southern half of the Property or(2) an executed agreement for
the sale of Patina's oil and gas interests to LifeBridge, which will be finalized
before a final plat that includes the southern half of the Property may be
submitted to Weld County for approval.
If this is your understanding of our discussion and our agreement, please
countersign this letter where indicated below.

ASSIGNMENT OF OIL AND GAS LEASES
KNOW ALL MEN BY THESE PRESENTS:
That the undersigned,EnCana Oil&Gas(USA)Inc.,a Delaware corporation with a
mailing address of 370 Seventeenth Street,Suite 1700, Denver,Colorado 80202(hereinafter
called"Assignor"),for and in consideration of Ten Dollars and other good and valuable
consideration($10.00 and more),the receipt and sufficiency of which are hereby acknowledged,
does hereby assign,bargain,sell,transfer and set over unto Li febridge Christian Church,a
Colorado non-profit corporation,with offices at 10345 Ute Highway,Longmont,Colorado 80504
(hereinafter called Assignee)all of Assignor's undivided right,title and interest in and to the oil
and gas leases described on Exhibit"A"attached hereto and made a part hereof(hereinafter
referred to as the"Leases");RESERVING UNTO ASSIGNOR that certain well and wellbore
known as the Pietzrak#1 well(hereinafter referred to as the"Well")detailed on Exhibit"A"and
any oil,gas and associated hydrocarbons produced from the Well,together with the rights
incident thereto,including all rights in and to all production from the Well and all rights in,to
and under all agreements,permits,rights-of-way,easements,licenses,options and orders in any
way relating thereto and the personal property,equipment,fixtures and improvements thereon,
appurtenant thereto,or used or obtained in connection with oil and gas production(hereinafter
referred to as"Property")that permit Assignor to operate,maintain,produce and flow gas,oil
and associated hydrocarbons from the Well. Assignor represents that it owns all of the oil and
gas leasehold interest in and to the Leases except for the leasehold interest owned by Murray J.
Hering.
All of the oil,gas and other minerals produced and saved from or attributable to the Well
and the proceeds therefrom,shall be owned by Assignor. Assignor shall be responsible and
liable for all claims,liabilities,charges and expenses pertaining to Assignor's oil and gas
operations relating to the Well,and for all royalties payable to the lessors under the Leases or any
overriding royalties or other payments out of production from the Well.
For the same consideration Assignor covenants with Assignee,its successors or assigns,
that Assignor is the lawful owner of and has good and marketable title to the interest assigned in
and to said leases,free and clear from all liens,encumbrances,adverse claims or other
encumbrances or burdens;that Assignor will warrant and forever defend the same against all
persons whomsoever,lawfully claiming by,through or under Assignor. Assignor hereby assigns
to Buyer the benefit of all prior warranties of title to the Leases which Seller has the right to
enforce against prior owners of interests in the Leases and the right to enforce paragraph 3 of the
letter agreement dated March 4,2005 regarding non-development of the N/2 of Section 5,
Township 2 North,Range 68 West,Weld County,Colorado between Seller and Mun-ay S.
Herring,and shall cooperate with Buyer in enforcing the same against such prior owners.
Assignor may continue to operate the Well and conduct routine repair or maintenance
work,and may recomplete and/or rework the Well to restore or improve production from the
Well,but may not deepen the Well or drill any other well on the Leases. Assignor may use so
much of the surface of the land overlying the Leases(the"Land")as is reasonably necessary for
such operations,so long as such use does not unreasonably interfere with Assignee's current or
intended use of the Land as indicated in Assignee's plans for development submitted to Weld
County,Colorado,a concept plan of which is attached hereto as Exhibit"B". Assignor shall
promptly repair or remediate any damage to the land caused directly or indirectly by Assignor's
use of the Land or operation of the Well. Assignor shall consult in good faith with Assignee as
to the location of any new facilities Assignor desires to construct on the Land,except for new
facilities constructed on the existing well pad of the Well. After Assignee has received final plat
approval for development of the surface of the land overlying the Leases from the appropriate
governmental authority,Assignee may give Assignor notice to plug and abandon the Well.
Assignor shall plug and abandon the Well in accordance with all applicable federal,state or local
laws,rules,regulations or requirements,at its sole cost and expense,within six months of receipt
of such notice. In addition,immediately after the Well is plugged and abandoned,Assignor shall
reclaim all areas of the Land used by Assignor or its predecessors for operations of the wellbore
in accordance with all applicable federal,state or local laws,rules,regulations or requirements,at
its sole cost and expense,and shall consult in good faith with Assignee regarding all aspects of
the reclamation activities,including but not limited to timing and topsoil protection.
Assignor may continue to use its current access to the Well. Assignee,at its cost,may
provide Assignor with alternate access,and Assignor may continue to use its current access until
the alternate access is complete. Prior to plugging and abandoning the Well,Assignee shall give
Assignor advance notice of all construction or other activities on the land,and Assignor shall
