WELD COUNTY FINANCE CORPORATION (the "Corporation") , a
non-profit corporation duly organized and existing under the laws
of the State of Colorado, whose address is 915 Tenth Street,
Greeley, Colorado 80632, for the consideration of one dollar in
hand paid and other good and valuable consideration, the receipt
and sufficiency of which is hereby acknowledged, hereby sells,
conveys and quit claims to Weld County, Colorado (the "County") ,

Purchase Agreement, dated as of June 1, 1992, between the

$� TERMINATION OF GROUND LEASE
On June 1, 1992, Weld County, Colorado (the"County"), as Lessor, and the Weld
County Finance Corporation, as Lessee, executed a Ground Lease for the property
described in the attached Exhibit "A," recorded in Book 1340, Reception Number
02292894, in the Office of the Weld County Clerk and Recorder. Said Ground Lease
was required pursuant to the requirements of a Lease Purchase Agreement and Mortgage
and Indenture of Trust (the "Indenture"), both dated June 1, 2003, and recorded at Book
1340, Reception Number 02292895, and Book 1340, Reception Number 02292896,
respectively. The Trustee in the transaction was The Bank of Cherry Creek,N.A.
The Lessor, Lessee, and Trustee hereby acknowledge that the Certificates issued
pursuant to the Indenture were paid in-full, with interest, as of August 1, 2002. As a
result, the Ground Lease is no longer necessary, and the parties hereto acknowledge that
Ground Lease be, and
