As you know, Kerr-McGee Rocky Mountain Corporation formerly known as HS Resources, Inc. and its subsidiary, Kerr-McGee Gathering, LLC (collectively referred to as "Kerr- McGee") owns certain oil and gas leasehold interests and pipeline easement rights in the above captioned lands (the "Property"). Kerr-McGee does not agree with the tone and content of your letter. All of Kerr-McGee's activities have been conducted pursuant to the terms of valid oil, gas and mineral leases. When you purchased your surface estate interest, most. if not all, of Kerr- McGee's production facilities were present. As I am sure you are aware, you purchased your surface interest free of all mineral interests, and with knowledge that your surface interests would need to coexist with the mineral interests. For you to challenge our legal rights to operate our wells at this time is without merit. In spite of our legal rights, Kerr-McGee's desire is to be both responsive and cooperative, and to consider creative solutions that are acceptable to all parties involved concerning the Property. To do this we must maintain an open and active line of communication, a process that is not served by adversarial letters challenging our legal rights. t C7Y r et c neea 2002-2820 Sandy Rice October 14, 2002 Page 2 As of the date of this letter, a fence with a locked gate has been installed along your north property line. This action should address your concerns about non-authorized vehicle traffic on the Property. You must know, that it may not be possible to address all of your concerns; however, Kerr-McGee is willing to discuss your concerns and attempt to work towards solutions agreeable to all parties.
