Dear Ladies and Gentlemen:

This firm represents Kerr-McGee Rocky Mountain Corporation("KMRMC"),
formerly HS Resources, Inc., with respect to its oil and gas leasehold interests in the above
captioned lands (the "Property"). The oil and gas resources underlying the Property have been
extensively developed and KMRMC currently operates several wells on the Property.
KMRMC first learned of the development plan when it received notice for a
hearing before the Planning Commission. Good faith negotiations for a surface use agreement
covering the Property have not begun with the surface owner. Due to the extensive oil and gas
development already on the Property, KMRMC recommends that the applicant's proposed
development plan address and include a thorough and complete description of the existing oil
and gas operations on the Property. Wellheads, gathering lines, associated production facilities
and access routes should be sufficiently platted and considered to address health and safety
concerns. Such matters are typically addressed in a surface use agreement that not only protects
public health and safety, but ensures that the rights of surface and mineral owners are properly
accommodated.
KMRMC looks forward to coordinating safe surface use operations with the
surface owner of the Property and assisting the applicant and Planning Commission with
addressing KMRMC's oil and gas operations, rights and concerns.
