AMENDMENT TO LEASE AGREEMENT
This Amendment to Lease Agreement is entered into this 7m day of March, 2002,
by and between Gaudalupe L. Chavez and M. Rose Chavez, hereafter referred to as
"Landlords," and Rocky Mountain Ready Mix Concrete, Inc., hereafter referred to as
"Tenant."
WITNESSETH:
WHEREAS, Landlords are the owners of certain real property located in Weld
County and more particularly described in Exhibit A of this Amendment to Lease
Agreement and hereinafter referred to as "Leased Premises."
WHEREAS, Landlords lease the Leased Premises to Tenant by virtue of a lease
and its modifications and extensions duly recorded with the Weld County Clerk and
Recorders Office to which Landlord is bound as a subsequent purchaser of said real
property.
WHEREAS, Tenant is proposing to lease property adjacent to and directly west of
said Leased Premises, which property is more particularly described in Exhibit B of this
Amendment to Lease Agreement, and is hereinafter called "Proposed Leased Premises."
WHEREAS, Tenant plans to establish a ready mix concrete plant on the Proposed
Leased Premises and will require access to said Proposed Leased Premises.
NOW THEREFORE, it is expressly agreed and understood that the Tenant shall
have a non-exclusive perpetual easement for ingress and egress across the Leased
Premises for access to the Proposed Leased Premises.

EXTENSION AND MODIFICATION OF LEASE AGREEMENT
AND RIGHT OF FIRST REFUSAL TO PURCHASE REAL PROPERTY
This Extension and Modification of Lease Agreement and Right of First Refusal to
Purchase Real Property is made and entered into this 1st day of January, 1999, by and between
SINGLE EAGLE CO., hereinafter "Lessor" and ROCKY MOUNTAIN READY MIX
CONCRETE, INC., hereinafter "Lessee."
WITNESSETH:
WHEREAS, by a lease dated July 20, 1981, and recorded February 11, 1983, in Book
0988, Reception No. 01917286 in the records of the Weld County Clerk and Recorder, Lessee
leased from Norden & Sons Contractors, Inc. and George Norden certain real property in Weld
County, as more particularly described in Exhibit A to the said lease; and
WHEREAS, by an extension and modification agreement dated October 15, 1984, and
recorded October 22, 1984, in Book 1047, Reception No. 01985792 in the records of the Weld
County Clerk and Recorder, Lessee extended its lease of the real property described in Exhibit A
with Fort Lupton State Bank, successor in interest of Norden's interest in said lease; and
WHEREAS, by an extension and modification of lease agreement and option to purchase
real property dated August 31, 1989, and recorded September 13, 1989, in Book 1244,
Reception No. 02191759 in the records of the Weld County Clerk and Recorder, Lessee extended
and modified its lease of the real property described in Exhibit A with Single Eagle Co.,
successor in interest of Fort Lupton State Bank's interest in said lease; and
WHEREAS, the parties hereto desire to extend and modify the term of said covenants
hereinafter set forth, the parties have agreed, on the stated terms and conditions, as follows:
1. Except as modified herein or where otherwise in conflict with this agreement, the
subject lease is incorporated by reference and shall be in full force and effect, binding on the
parties, their heirs, assigns, and other successors in interest.
2. The property to be leased shall be a parcel of land 2.32 acres, more or less, in
dimensions of approximately 225 feet by 450 feet occupying the southern portion of the property
described in Exhibit A. The leased property shall be approximately 225 wide proceeding north
from the southeast and southwest corners of the property described in Exhibit A and shall be
approximately 450 feet long proceeding west from the southeast corner of the property described
in Exhibit A and proceeding east from the southwest corner of the property described in Exhibit
A.
3. The term of the lease, scheduled by the extension and modification agreement
referenced above to terminate September 30, 2001, is agreed to be extended through December
31, 2029, renewable by Lessee annually on or before January 1 of each year.
4. Beginning February 1, 1999, monthly consideration for this lease shall be $ 1,600 per
month. Monthly consideration for the lease shall increase on January 1 of a given year with
reference to the following schedule of monthly lease payments:
Calendar 2000 $ 1,800/month
Calendar 2001 $ 2,000/month
Calendar 2002 $ 2,200/month
Calendar 2003 $ 2,400/month
Calendar 2004-2008 $ 2,600/month
Calendar 2009-2013 $ 3,000/month
Calendar 2014-2019 $ 3,400/month
Calendar 2020-2024 $ 3,800/month
Calendar 2025-2029 $ 4,200/month
5. During the term of this Lease and any extensions thereof, Lessee shall have a right of
first refusal for the following property a) for the 2.32 acres, more or less, that Lessee is leasing
and b) for the entire parcel as described in Exhibit A. In the event Lessor shall propose to
transfer its interest in the property to any bona fide third party or in the event Lessor receives a
bona fide offer from a third party to purchase the property which Lessor desires to accept, Lessor
shall first make a written offer to transfer the property to Lessee upon the same terms and
conditions as proposed by or offered to transferee. Lessee shall have the right, for a period of
thirty (30) days after receipt of such offer from Lessor, to elect in writing to obtain a transfer of
Lessor's interest in the property proposed to be transferred, upon the same terms and conditions
of Lessor's proposal or the offer to purchase.
If Lessee does not elect to exercise its right of first refusal, Lessor shall be free to
complete the proposed transfer to the person or entity upon terms and conditions no less
favorable than those stated in the offer to the Lessee. If Lessor does not complete the proposed
transfer and Lessor's interest in the property is not conveyed, Lessee's right of first refusal shall
continue in full force and effect as long as the lease is in effect. If Lessee does complete the
proposed transfer, the new owner shall be bound by all the terms and conditions of this lease as
set forth in Paragraph 6, including a new right of first refusal as set forth here.
6. This agreement shall constitute an encumbrance to run with the land and shall be
binding on any subsequent purchaser of the said land as a successor in interest of Lessor. This
agreement shall be binding upon and enure to the benefit of the heirs, executors, administrators,
representatives, and assigns of Lessor and Lessee.

This lease agreement, made and entered into this 20th day
of July, 1981, by and between ROCKY MOUNTAIN READY MIX CONCRETE,
INC. , a Colorado corporation, (hereinafter referred to as "Rocky
Mountain") , and NORDEN & SONS CONTRACTORS, INC. , a Colorado corporation,
(hereinafter referred to as "Norden")
WITNESSETH:
WHEREAS, Norden is the owner of that certain real property
located north of the city limits of Brighton, Colorado, on U.S.
Highway 85, in Weld County, more particularly described in Exhibit
"A", and
WHEREAS, Rocky Mountain desires to lease a portion of said
real property for the purpose of establishing a ready mix concrete
operation and other lawful business pursuits, and
WHEREAS, Norden desires to lease a portion of said real property,
ROW, THEREFORE, for and in consideration of the lease payments
herein agreed to be paid, and in consideration of the mutual
covenants and conditions hereinafter set forth, Norden agrees to
lease to Rocky Mountain and Rocky Mountain agrees to lease from
Norden a portion of the real property described in Exhibit "A" ,
to wit:
1. SITE DESCRIPTION
The property to be leased shall be a parcel of land of one
acre, more or less, in dimensions of approximately 274 feet by
158 feet, located south and southeast of the garage facility located
on the property described in Exhibit "A. " The location of the
property to be leased is shown in a drawing labeled Exhibit "B" and
made a part of this agreement by reference thereto.
2. SITE REQUIREMENTS
Norden agrees the site shall conform to the following described
requirements and that Norden shall bear all costs and expenses

below. The leased site shall be level, clean, and compacted,
suitable for a plant location and heavy truck use. The site
shall be furnished with power (110/220) and shall be furnished
with potable water (from a well or a pipeline from a well rated
at not less than 25 gpm. ) Utilities, including water and
electical pousr, will be furnished at Norden 's expense to the
point of location of Rocky Mountain 's plant on the leased site.
Location of Rocky Mountain's plant and other auxiliary buildings
including an office and a maintenance garage is as indicated on
the drawing Exhibit "B. " The site shall be properly zoned for the
intended use and Norden shall bear all costs and expenses required
by Weld County to insure said site meets the requirements necessary
to be zoned for its intended use. Rocky Mountain has permission
from Norden to construct a leach field or to utilize an existing
septic system at Rocky Mountain's expense.
3. SITE USEAGE
It is understood and agreed that i.n its operation, Rocky
Mountain will hour concrete pads for various structures including
a plant, mobile office , fuel and water tanks, a fuel pump, and
other storage facilities. Rocky Mountain agrees to remove these
concrete pads at its own expense when it vacates the property or
to leave these pads for Norden' s use, solely at Norden 's discretion.
it is understood and agreed that in its operation, Rocky Mountain
may errect a pole shed or metal building suitable for storage and
truck maintenance. Rocky Mountain agrees to remove this building
at its own expense when it vacates the property or to sell said
building to Norden at fair market value, solely at Norden's dis-
cretion. It is understood and agreed that Rocky Mountain shall
stockpile aggregate materials on said site, shall park trucks on
said site, and shall dump left-over concrete on said site.
4. SITE ACCESS
Rocky Mountain is hereby granted access to the leased site
via a non-exclusive easement for ingress and egress to and from
said site over the existing driveway along the east fenceline of
Norden's property and along the north property line of the leased

site between said site and the existing helicopter pad, both as
outlined on the drawing labeled Exhibit "B." The non-exclusive
easement for ingress and egress includes full use of the front
gate from Norden's property entering U.S. Highway 85 and said
non-exclusive easement is granted to Rocky Mountain, its heirs,
assigns, guests, invitees, licensees, personal representatives,
and others so designated including but not limited to suppliers
of aggregate and cement.
5. TERMS AND CONDITIONS
The lease shall run for a period of seven years, commencing
July 1, 1981, renewable by Rocky Mountain annually. Consideration
for the lease shall be $500 per month paid in advance on the first
day of each month. The consideration for the lease for year two
and for year three shall be $500 per month. Commencing in year
four, beginning July 1, 1984, the rate of consideration for the
lease may be negotiated between the parties hereto. Norden agrees
to assign this lease agreement to any financial institution recuiring
such an assignment asa condition of loaning funds to Rocky Mountain
to establish its business operation. This lease agreement shall be
binding to the parties hereto and to their respective personal
representatives, successors , assigns, and heirs.

MEMORANDUM OF AGREEMENT
REGARDING LEASE OF REAL PROPERTY
Whereas, Robert L. Baumgartner and Sharon A. Baumgartner, herein after
referred to as "Future Landlords," own real property described in Exhibit A, hereinafter
referred to as "Leased Premises." And whereas, Rocky Mountain Ready Mix Concrete,
Inc., hereinafter referred to as "Future Tenant," desires to lease the Leased Premises,
WITNESSETH
Future Landlords and Future Tenant are applying to Weld County for a Use by
Special Review for the Leased Premises that would permit the Future Tenant to operate a
ready mix concrete batching facility. Upon the granting of this Use by Special Review
by Weld County, Future Landlord agrees to lease to Future Tenant and Future Tenant
agrees to lease from Future Landlord the Leased Premises, upon terms and conditions
mutually agreeable to Future Landlord and Future Tenant. It is further agreed that the
term of the lease shall be of a term no less than the term of the Use by Special Review.
This Memorandum of Agreement allows the Future Tenant permission to enter
the Leased Premises for purpose of making such surveys, drawings, maps, pictures,
exhibits, and other requirements of Weld County necessary to obtain the Use by Special
Review. If Weld County denies the Use by Special Review, this Memorandum of
Agreement shall no longer be in force and there will be no further obligations between
the parties hereto.

AUTHORIZE CHAIR TO SIGN -ROBERT BAUMGARTNER
WHEREAS, the Board of County Commissioners of Weld County, Colorado. pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Nonexclusive License Agreement for
the Upgrade and Maintenance of a portion of Weld County right-of-way between the County of
Neld, State of Coiorado, by and through the Board of County Commissioners of Weld County,
on behalf of the Department of Public Works, and Robert Baumgartner, 1564 Manor Way,
3riahton, Colorado 80601, with terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a
copy of which is attached hereto and incorporated herein by reference.
NOW,THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Nonexclusive License Agreement for the Upgrade and
Maintenance of a Portion of Weld County right-of-way between the County of Weld, State of
Coiorado, by and through the Board of County Commissioners of Weld County, on behalf of the
Department of Pubiic Works, and Robert Baumgartner be, and hereby is, approved.

NONEXCLUSIVE LICENSE AGREEMENT FOR THE UPGRADE
AND MAINTENANCE OF WELD COUNTY RIGHT-OF-WAY
THIS NONEXCLUSIVE LICENSE AGREEMENT,made and entered into this 11 th day
of April, 2000, by and between WELD COUNTY, COLORADO, by and through the Board of
County Commissioners of Weld County, Colorado, whose address is 915 Tenth Street, Greeley,
Colorado 80631, as First Party, and Robert L. Baumgartner, whose address is 1564 Manor Way,
Brighton, CO 80601, as Second Party.
WITNESSETH:
WHEREAS,Second Party desires to more effectively access property located at N V2,NE i I4,
NW 1/4, except the east 100' Section 31, Township 1 North, Range 66 West in Weld County,
Colorado, and
WHEREAS,First Party is the owner of the right-of-way located as follows: North line of
Section 31, Township 1 North, Range 66 West in Weld County, Colorado. which is hereinafter
referred to as "Right-of-Way," and
WHEREAS, Right-of-Way is currently not being maintained by First Party, and
WHEREAS. Second Party wishes to upgrade and thereafter maintain Right-of-Way at
his/heriits sole expense in order to provide said more effective access.
NOW.THEREFORE,in consideration ofthe covenants contained herein and the agreements
of said Second party to be performed hereunder, and upon the conditions herein stated, First Party
does grant to Second Party, its successors and assigns, a nonexclusive license to upgrade and
maintain Right-of-Way without gating or fencing across the same.
The conditions by which Second Party may upgrade and maintain Right-of-Way arc as
follows:
1. First Party retains the right to revoke this Nonexclusive License Agreement at any
time for any reason,but such revocation shall not prohibit Second Party's continued use ofthe Right-
of-Way for access to Second Party's property,to the extent that such continued use is consistent with
the right of the public to use the Right-of-Way. First Party shall give Second Party written notice
of its intent to revoke this Nonexclusive License Agreement at least ninety(90) days prior to the
intended date of revocation. Such notice shall be sent to Second Party by Certified Mail to its
address written above or served upon Second Party in accordance with the Colorado Rules of Civil
Procedure. Second Party shall have the duty of informing First Party of Second Party's change in
address from his address written above.
2. The upgrade and maintenance o fRight-of-Wayby Second Party shall be done in such

manner as prescribed by First Party, which manner shall include,hut not be limited to,the followi n,*:
a. Right-of-Way shall be constructed and maintained as a graded and drained.all-weather
road.
h. If the installation of a cross culvert is required through an existing drainage
pattern or ditch, Second Party shall he responsible to supply and install such culvert,
which shall be inspected by First Party to ensure adequacy of capacity,strength. and
length. Second Party shall he responsible to maintain the culvert after its
installation, including periodically cleaning the same.
c. If the installation of a cattle guard is required, Second Party shall be responsible to
supply and install such cattle guard, which shall meet County standards. Second
Party shall be responsible to maintain the cattle guard after its installation, including
periodically cleaning the same.
d. This Nonexclusive License Agreement does not grant the right to gate or fence
Right-of-Way for private use, hut is intended to provide access to private property.
3. The upgrade and maintenance of the Right-of-Way by Second Party, including those
items set forth in Paragraph 1., above, or any other requirements stated by First Party,shall be at its
own expense and without the aid or use of Weld County funds. Second Party shall he responsible
for snow removal from Right-of-Way as part of the maintenance responsibilities referred to herein.
4. Except for the negligence of First Party, Second Party shall indemnify and save
harmless First Party, its successors, assigns, employees, and agents from any damage or loss
sustained by them or any of them arising by reason of Second Party's negligence with respect to the
upgrade and maintenance of the Right-of-Way.
5. Except for the negligence of First Party,Second Party agrees to protect First Party and
save and hold it harmless from any and all third party claims and damages that said upgrade and
maintenance may directly or indirectly cause and hereby releases First Party, its successors,assigns,
employees, and agents from any and all claims and damages of whatsoever character to property
owned by Second Party resulting from any act, either on the part of the First Party or on the part of
any third party.
6. Second Party shall not assign any or all of its rights under this Nonexclusive license
Agreement without first obtaining written consent to such assignment from First Party, which
consent shall not be unreasonably withheld.
7. The parties hereby agree that neither has made or authorized any agreement with
respect to the subject matter of this instrument other than expressly set forth herein, and no oral

representation,promise,or consideration different from the terms herein contained shall be binding
on citherparty hereto,or its agents or employees. This Nonexclusive License Agreement embodies
all agreements between the parties hereto and there are no promises,terms,conditions,or obligations
referring to the subject matter whereofother than as contained herein.
3. If any term or provision of this Nonexclusive License Agreement,or the application
thereof to any person or circumstances shall, to any extent, be heid invalid or unenforceable, the
remainder of this Nonexclusive License Agreement,or the application of such terms or provisions,
to a person or circumstances other than those as to which it is held invalid or unenforceable, shall
not be affected,and every other term and provision of this Nonexclusive License Agreement shall
be deemed valid and enforceable to the extent permitted by law.
9. No portion of this Nonexclusive License Agreement shall be deemed to constitute a
waiver of any immunities the parties or their officers or employees may possess, nor shall any
portion of this Nonexclusive License Agreement be deemed to have created a duty of care which did
not previously exist with respect to any person not a party to this Nonexclusive License Agreement.
10. It is expressly understood and agreed that the enforcement of the terms and conditions
of this Nonexclusive License Agreement,and all rights of action relating to such enforcement,shall
he strictly reserved to the undersigned parties and nothing in this Nonexclusive License Agreement
shall give or allow any claim or right of action whatsoever by any other person not included in this
Nonexclusive License Agreement. It is the express intention of the undersigned parties that any
entity other than the undersigned parties receiving services or benefits under this Nonexclusive
License Agreement shall be an incidental beneficiary only.
It is mutually understood and agreed that this Nonexclusive License Agreement and all the
terms and conditions hereof shall extend to and be binding upon the parties hereto,their successors,
and assigns.
