RE: APPROVE AGREEMENT FOR JANITORIAL SERVICES AT THE FORT LUPTON
FACILITY AND AUTHORIZE CHAIR TO SIGN - CARNATION BUILDING SERVICE,
INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement for Janitorial Services at
the Fort Lupton Facility between the County of Weld, State of Colorado, by and through the
Board of County Commissioners of Weld County, on behalf of the Department of Buildings and
Grounds, and Carnation Building Service, Inc., commencing July 1, 2002, with further terms
and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Agreement for Janitorial Services at the Fort Lupton Facility
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Buildings and Grounds, and
Carnation Building Service, Inc., be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 19th day of June, A.D., 2002.

REt AGREEMENT.
Agreement made this day of Jane 7, 2002 between Camden Building Service, he., 928
Salida Way,Aurora, Colorado 80011-7816,a corporation organized under the laws of the state of
Colorado ("hereinafter the A Corporation'), and Weld Country Located at 1500 rd Street
(h eeley,Colorado 80631 ("hereafter the A Customer").
Customer desires to engage the Corporation as an independent contractor to provide certain
janitorial services.
Now therefore,it agreed as follows:
1. Dudes. The Customer hereby contracts with the Corporation to provide janitorial services as
follows; See exhibit A attached hereto.
It will be the responsibility of the Customer to ensure that Corporation has access to the building
for its duties 250 times per year. If opened during recognized national holidays the Corporation
will perform its duties at one and half the nightly rate.
2. Payment. In consideration of the Corporation's service performance pursuant to this
Agreement,the Customer agrees to pay the Corporation the following:
2.1 The sum of 51342.00 per month payable in frill on or before the 15th of each month.
2.2 Any alteration or deviation from the service and specifications shall be set forth in writing
and the Customer will incur and be charged additional cost above the amount set forth in
paragraph.
2.3 Any payment received after the 20th of each month,or any unpaid balance will be charged an
interest rate of 1.5%per month on the unpaid balance.
3. Tern. The term of the employment hereunder shall commence, July 2002,and continue for
one year from the date thereof. However, but can be terminated by either party upon 30 days
written notice thereof. Notices pursuant hereto shall be in writing and sent by registered mail
to the addresses set forth herein, unless the address is changed, in writing to the other party
too received such notice.

4. General Representations by Customer. The customer twi.. ..nts to the Corporation, as of
the effective date of this Agreement, it is a corporation duly organized, validly existing, and
in good standing, under the laws of the State of Colorado, with all requisite corporate power
and authority to execute, deliver, to enter into and perform its obligations under this
agreement. Neither the signing nor the delivery of this agreement,nor the consummation of
the transaction contemplated herein, will conflict with, or result in the breach of,or constitute
a default under, any of the provisions of any corporate restrictions Or any agreement or
instrument to which it is a party or by which it is bound. The customer also represents to the
Corporation that has taken or caused to be taken all necessary corporate action to authorize
the execution, delivery, and performance of this agreement and that this agreement
constitutes a valid and binding obligation of the Customer enforceable in the accordance with
its tams.
5. Agency. Neither party to this agreement is nor shall act as an agent for the other, except as
provided in this agreement. The customer shall have no authority whatever to assume
obligations or liabilities or to act for or on the behalf of the Corporation, except as so
provided in this agreement. The Corporation shall have no authority to assume obligations or
liabilities or to act for or on the behalf of the customer,except as provided in this agreement.
6. Waiver. No waiver of any condition or breach of this agreement shall be construed as a
waiver or consent to a subsequent breach.
7. Nonce of default It is agreed that as a condition precedent to any default in performance of
this agreement, the party alleging the default must give the other party notices in writing of
such default. The other party will have (10) days after receipt of the notice to cure any such
defaults shall not include strikes,accidents, or delays beyond the Corporation's control.
8. Attorneys Fees. Should this agreement become the subject of litigation to resolve a claim of
default in performance by any party, the prevailing party shall be entitled to its reasonable
attorneys fees,expense and court cost from the substantially unsuccessful other party.
9. Separate Entities. This agreement does not and shall not be construed to create a
partnership or joint venture between the parties herein.
18.Notices. All notices shall be in writing and sent to the other parties at the address set forth on
the first page,certified mail,return receipts requested, or express mail.
11.Governing Law. This agreement shall be construed in accordance with the laws of the State
of Colorado.
12.Assignment This agreement shall insure to the benefit of and be binding upon the parties
hereto,and their respective successors,heirs,executors,and administrators.

13.Severabiity. In the event any provision of this agreement shall for any reasons be deemed
illegal or unenforceable, the same shall not affect the validity or enforceability of the
remaining provisions.
14.Taus. Each party shall be the responsible for there own taxes.
15.Captions. All headings and captions are solely for identification purposes and shall have no
effect on the interpretation or meaning of the provisions contained in each paragraph.
16.Liability. The corporation shall not be liable for any claim or any cause of action for any
loss, damage, or injury in connection with the customer's representations and/or any
misrepresentations or fraudulent conduct, relating in any way to their property.
17.Entire understanding. This agreement contains the entire understanding of the parties and
supersedes any other oral or written arrangement and/understanding relating to the subject
matter of this agreement. There arc no representations,warranties,covenants or undertakings
other than those set forth in this agreement. There shall be no changes, amendments or
modifications of this agreement unless it is in writing and signed by both parties.
It Employment. The corporation and the customer agree that neither party will employee
individuals from either parties for a period of not less than six months from the date of
termination or during employment without prior written approval.
19.Providing Service. Corporation employees that leave are not to provide janitorial service for
the customer for a period of less than 2 years as an individual or as a representative of a
corporation. Parties responsible will be held accountable for any and all attorney fees.
IN WITNESS WHEREOF EACH OF THE PARTIES HERETO HAS CAUSED THIS
AGREEMENT TO BE DULY EXECUTED AS OF THE DATE OF THIS AGREEMENT.

Carnation has put together a quality assurance program. This allow, us to keep your fatty at the highest
possible level of cleanliness It is accomplished through an inspector that will visit your facility on a weekly
basis to rate the overall performance of the work being done. The inspector will also visit with your staff to
see that they an meeting your requirements to your satisfaction.
We should elw note that Carnation has no subcontractors. This allows us to have control over the people hn

Condition of the Facility from a Cleaning Stand Point

Areas of Concern:
• Dusting in general both high and low
• Poor job of vacuuming throw rugs.
• Not cleaning under throw rugs.
• Lack of detail in restrooms to include bottom side of urinal,fixtures not being
polished, toilet bases not cleaned,walls not cleaned,paper dispensers need filled.
• Hard surface floors just being spot mopped.
• Entrance doors not getting cleaned.
• Baseboards not cleaned.
• Corners and edges not being cleaned.
• Blinds not getting dusted.
• Window sills not cleaned
• Floors need to be top scrubbed and re-coated
• There is just a lack of detail through out the facility.
Please under stand that Carnation Building Service,Inc. is not providing this list of our
observations to generate problems or issues with anyone. It is simply things that we
noticed during our walk through. and they arc items we would work to correct if provided
the contract within the first 30 days.
There would be an additional charge for the window washing of the foyer;we fill that not
all the windows around the building would warrant cleaning,but cleaning the foyer glass
would do a lot to enhance the facility and the image of the building.

The Schedule of Service
Daily: To include Offices,Work Stations,Conference Rooms,Private Offices,Common
Area.Break Rooms,and Restrooms.
• Vacuum and spot clean carpeted areas,to include entrance rugs and mats.
• Dust mop or sweep all hard surface floors.
• Clean thresholds at entrance doors to the best of our ability.
• Clean and sanitize(As Requested, but no less than once per week)telephones.
• Dust desks,chairs,file cabins,telephones,general office equipment,finniture,wall
hangings,and window ledges. Carnation will do its best to clean around papers on
desks,but to do a proper job desk need to be cleaned off all papers. Carnation will
not move papers.
• Tile floors to be damp mop.
• Spot clean walls,door jams,switches,wall plugs and hardware at entrance doors,ECT.
• Clean and polish drinking fountains, including splashboards. Removing mineral deposits.
• Empty,clean and replace soiled liners in all waste receptacles.
• Clean and sanitize tile floors and walls in restrooms,check shower stall if they apply.
• Thoroughly clean and sanitize appropriate restroom fixtures, including toilet bowels and
urinal interiors/exteriors,toilets(both sides),porcelain tops and sides,chrome and metal
fixtures,(including under sink piping as needed). Keep free of sole and stains.
• Clean, sanitize,and change liners in restroom waste and sanitary napkin receptacles.
• Clean and polish mirrors,metal trim,dispensers and shelving in restrooms.
• Replace paper towels,toilet paper, soap,toilet seat covers,and other disposable goods as
required for restrooms,break room,lunchroom. All paper products and soap to be
supplied by account unless advised other wise. If required to supply account will be
invoiced for all products supplied at cost plus 5%.
• Maintain janitorial closets in an orderly and clean manner.
• Clean and polish ashtrays.
• Maintain lunch and break roomy chairs,vending machines, walls,and other surface free
of stains,dust, smudges ECT.
• Break room floors to be swept,vacuum and/or mopped.
• All windows and entrance doors to be checked for smudges and cleaned.
• Glass surfaces to be checked for smudges to include partitions.
• The microwave to be checked and clean as needed.

• All shoe marks found on tile to be removed to the best of our ability.
• Stairs to be swept damp mopped, and or vacuumed.
Weekly
• Restrootns to be checked and detailed looking for problem areas.

• Vacuum and or brush upholstered furniture as needed

Note:
Carnation can accommodate extra cleaning at any time while keeping up with the normal
cleaning schedule. Please note that Carnation will need an area to keep the equlpmeat
required to elatn your facility.
