THIS Assignment. Conveyance and Bill of Sale is made this day of

Property is located, by and among Pease Oil and Gas Company, a Nevada corporation
("Pease"),Pease Oilfield Supply, Inc., a Colorado corporation,("Supply");Pease Oilfield
Services.Inc.,a Colorado corporation. ("Services"): Loveland Gas Processing Co., Ltd.
("Processing"); and Pease Operating Company, Inc., a Colorado corporation
("Operating"), all of whom may be collectively referred to herein as "Assignors,"with an
address of 751 Horizon Court, Suite 203, Grand Junction,Colorado 81506, and Magpie
Operating,Inc., 11138 Wildhorse Peak,Littleton,Colorado 80127,a Colorado corporation,
"Assignee"
WHEREAS,Assignors own certain undivided interests in,to,and under the property,
rights, and interests which are described on Exhibits "A,""B,""C-,""D-,""E,""F,"and "G--
(hereinafter the"Subject Property");
WHEREAS, Assignors desire to assign, convey, and deliver to Assignee and
Assignee desires to accept all of Assignors' interests in the Subject Property,as identified
in Exhibits"A,""B,""C,""D,""E,""F,"and "G"attached hereto; and
WHEREAS,as consideration for this Assignment, Assignee has paid Assignors the
sum of$100.00 plus other valuable and sufficient benefits,the receipt and sufficiency of
which are hereby acknowledged by Assignors;
NOW, THEREFORE, Assignors hereby grant, bargain, sell, transfer, assign, and
convey to Assignee all of Assignors'right, title,and interests in,to, and under the Subject
Property;

Assignee, its successors and assigns, shall observe, perform,and comply with all the
terms, provisions, covenants and conditions, express or implied, of the Leases, and all
laws, rules, regulations, and orders, both state and federal, applicable to the ownership
and enjoyment of the Subject Property herein assigned.
Each of the covenants contained herein and pertaining to the Subject Property shall
be deemed to run with the land and shall be binding upon Assignee, its successors and
assigns.
This Assignment, Bill of Sale and Conveyance is expressly made subject to the terms
and conditions of the Leases, all royalty interests and overriding royalty interests that
burden the Leases as of the Effective Date,and is made subject to that certain Purchase
and Sale Agreement between the Assignors and Assignee dated July 31, 1998,and further
subject to all existing Operating Agreements, Assignments, Unit Agreements, Gas Sales
Contracts, Gas Processing Contracts (if any), and any other agreements to which the
Subject Property are subject.
It is understood and agreed between the parties that the execution of additional
assignments of certain individual Leases herein described may be required on approved
governmental forms to facilitate approval of this transaction by governmental agencies;
Assignors hereby agree to execute and furnish to Assignee such documents, and such
further assurances as may be necessary to effectuate all of the terms of this Assignment.
Assignors hereby warrant and shall defend their title to the Subject Property by
