Mr. Anderson,
I have met with the landowner, Mr. Steve Klen and his engineer, Jeff Couch, on location
of the Moorea Manor to discuss EnCana's concerns regarding the development of Mr.
Klen's property. A summary of our meeting and the issues discussed is outlined in the
letter attached from Mr. Couch to EnCana.
All of our issues have been discussed and we are in agreement with the issues as outlined.
We have no further issues and are in agreement with the proposed plans as set forth in
our meeting and in the attached letter.

Dear Dale:
Thank you for taking the time to meet with Steve Klen and me at the project site on Wednesday,
July 17, 2002. The information you provided was very helpful and we will incorporate these
comments into our project. I have attached a copy of the proposed layout for your information.
To summarize, there we two gas wells along the north boundary of our site. These wells we
connected to a separator via product Ines which run to the north. A gas distribution line runs from
the separator south through our site. Existing access to these wells is via dirt roads and room
needs to be provided for future modifications to the wells.
I would further Ike to summarize those Items we discussed to ensure that EnCana operations will
not be adversely affected by our project as follows:
1. The proposed gravel roadway along our north boundary will maintain a 30' minimum
separation from your existing well. We will provide some bearing and minor landscaping
along this roadway to screen the well head from future homeowners. The repair of
landscaping disrupted due to operation or modifications to the well will be the responsibility
of the HOA.
2. An easement will be provided between Lot 4 and Lot 5 to accommodate the location of the
existing gas distribution line. Easement will be a minimum of twenty feet (20') wide and
utiities will be designed to avoid conflicts with the existing line.

Fort Lupton Bottom Irrigation Ditch will remain untouched. An additional access win be
created via the proposed driveway and proposed ditch crossing for Lot 6 at the west edge
of the site.

Dear Mr. Couch:
EnCana Energy Resources Inc. ("EnCana") is in receipt of your July 5,2002 letter
concerning a zoning change for the above-referenced parcel of land. EnCana is the successor-in-
interest to North American Resources Company, and is operator of two natural gas wells on the
subject property.
EnCana appreciates that you have included 150-ft. setbacks from our two wellbores as
indicated by the circles around the two wells. However,there are concerns around certain issues
with the plat provided to us.
The first issue involves the roadway that cuts through the 150-ft. setback surrounding the
eastern well. It appears that this road would be within twenty ft. of the wellbore. When we need
to perform maintenance on that wellbore, or in the event of an emergency,the workover rig could
not set anchors (commonly known as "deadmen")that attach to cables supporting and stabilizing
the workover rig without being in or over the roadway. This cerates obvious problems with
traffic flow and safety.
The second issue involves daily access for the crews and trucks that service the two
wells. Water and oil are hauled from the tank battery in trucks that weigh up to 110,000 lbs., and
the afore-mentioned workover rigs are equally heavy. Asphalt roads generally do not stand up to
such weights, making a gravel road necessary to access both wellheads and their associated tank
batteries and production facilities.
The third issue involves the location of any natural gas gathering lines and flow lines that
are currently located in the proposed development. Without having met with our right-of-way
employees,there may be pipelines underneath some of the lots in your proposal.
EnCana has worked with many developers with similar issues and would suggest meeting
as soon as is practicable to discuss the site and your plans. Please call Mr. Dale Hayhurst of our

Dear Mr. Klen and Ms. Guttenstein:
Danny Nelson, North American Resources Company's field agent, has told me of your •
request for information regarding NAACO's development plans on the above-referenced tract of
land. It is our understanding that you are planning to develop this tract of land.
NAACO is preparing to drill the Echeverria#12-2 well in the SW/4NW/4. The
Echeverria#22-2 well was previously drilled in the SE/4NW/4 of Section 2. Under Colorado Oil
& Gas Conservation Commission rule 318.a NARCO cannot drill any additional wells on your
tract of land after these two are finished drilling. However, there are additional well operations
that may be performed.
NARCO will most likely open up additional underground formations to drain the natural
gas and oil from the wells. This is done with a much smaller rig, but room for the fracture
stimulation equipment will be needed for temporary use. There will undoubtedly be mechanical
problems over time, so a workover rig will be utilized to get the well fixed.
As you can appreciate, it is impossible to predict future rulings of the COGCC that may
or may not call for the possibility of drilling of additional wells. However, at this time and for the
foreseeable future no more wells may be drilled.
Please keep in mind that Weld County and the COGCC have specific setback
requirements that dictate the distances from the produciton facilities to any buildings or
improvements. These are designed with the health, safety and welfare of the nearby residents in
mind.

As we discussed during our meeting on your property last week, NARCO agrees to locate
the access road to the above described well as near to the west side of the irrigation ditch
as is reasonably possible. It is also agreed that NARCO can remove whatever amount of
fence that is necessary for the road to be constructed. In the event that in the future, as the
property is developed,you wish to change the access to the well,NARCO agrees to work
with you on a mutually acceptable alternative.
