RE: APPROVE PURCHASE OF SERVICES AGREEMENT AND AUTHORIZE CHAIR TO
SIGN - MARILYN NEIHART
WHEREAS,the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS,the Board has been presented with a Purchase of Services Agreement between
the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld
County, on behalf of the Department of Social Services, and Marilyn Neihart, commencing
August 25,2006,and ending December31,2006,with further terms and conditions being as stated
in said agreement, and
WHEREAS,after review,the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW,THEREFORE,BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, ex-officio Board of Social Services, that the Purchase of Services Agreement
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Social Services, and Marilyn
Neihart be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreement.
The above and foregoing Resolution was,on motion duly made and seconded,adopted by
the following vote on the 25th day of October, A.D., 2006, nunc pro tunc August 25, 2006.

RE: Purchase of Services Agreement—Marilyn eihart, I ' _V%► '

Enclosed for Board approval is a Purchase of Services Agreement between the Weld County
Department of Social Services and Marilyn Neihart, LCSW. This Agreement was reviewed at the
Board's Work Session of October 4, 2006.
The major provisions of the Agreement are as follows:
1. The term of the Agreement is August 25, 2006 through December 31, 2006.
2. Ms.Neihart will assist the Department in its review and evaluation of the Department's
Placement Review Team process and policies for children and youth placed in and
continuing to be placed in residential care. Ms.Neihart will assist the Department in the
development of written protocols that will meet the guidelines set by the Colorado
Department of Human Services.
3. The Department will reimbursement Ms. Neihart at a rate of$40.00 per hour. The source
of funds is Child Welfare Administration funds.

PURCHASE OF SERVICES AGREEMENT
This Agreement is made and entered into this 25`"day of August, 2006, by and between the��
Board of County Commissioners of the County of Weld, State of Colorado, sifting on behalf of the Weld'
County Department of Social Services, hereafter referred to as "Social Services" and Marilyn Neihart,
LCSW, hereinafter referred to as"Consultant".
WITNESSETH:
WHEREAS, a goal of Social Services is to provide effective high level placement services for
children in Social Service custody; and
WHEREAS, a goal of Social Services is also to provide cost effective services in all such
placements according to the availability of funding; and
WHEREAS, Social Services is responding to major revisions to the State-wide re-design of
Residential Treatment Center Care, in order to continue to meet the needs of families and children; and
WHEREAS it is necessary to review placements as to their continued efficacy and that these
revenues should implement a community based services integration process, emphasizing family
strengths through interagency and community collaboration; and
WHEREAS the consultant has the expertise and knowledge to assist Social Services in its efforts
to review and recommend Placement Review Team(PRT) policy and procedures, as well as development
recommendations for HB04-1451 Protocol efforts.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein,
the parties hereto agree as follows:
1. TERM: The term of this agreement shall be from August 25,2006 through December 31, 2006.
2. SERVICES PROVIDED BY CONSULTANT:
A. The consultant agrees to assist Social Services in reviewing and evaluating the PRT
processes and policies that meet the standard of Volume VII, Colorado Department of
Human Services, making appropriate recommendations by December 31, 2006.
B. Provide ideas, direction, and suggestions for development of HB04-1451 protocols on
behalf of Social Services by December 31, 2006.
3. COMPENSATION: Social Services agrees to pay the Consultant at a rate of$40.00 per hour for
professional services. Consultant shall submit a monthly bill to Social Services recording all time
spent on project.
4. INDEPENDENT CONTRACTOR: Consultant agrees that it is an independent contactor and
will not become an employee of Social Services, nor is the consultant entitled to any employee
benefits under Social Services as a result of the execution of this Agreement.
5. INDEMNIFICATION: Consultant shall indemnify Weld County, its officers and employees,
against liability for injury or damage caused by any negligent act or omission by Consultant in the
performance of this Agreement and shall hold Weld County harmless from any loss occasioned as
a result of the performance of this Agreement.
6. NON-ASSIGNMENT: Consultant may not assign or transfer this Agreement, any interest
therein or claim thereunder, without the prior written approval of Social Services.
7. ACCESS TO RECORDS: Social Services shall have access to Consultant's financial records as
these records relate to payment and expenditures under this Agreement for the purposes of audit.
Such records shall be complete and available for audit 90 days after final payment hereunder and
shall be retained and available for audit purposes for at least five years after final payment
hereunder.
8. TERMINATION: Either party may terminate this Agreement at any time by providing the other
party with a 10-day written notice thereof. Furthermore,this Agreement may be terminated at
any time without notice upon a material breach of the terms of the Agreement.
9. TIME OF THE ESSENCE: Time is of the essence in each and all the provisions of this
Agreement.
10. ENTIRE AGREEMENT/MODIFICATIONS: This Agreement constitutes the entire
understanding between the parties with respect tot the promises and covenants made therein. No
modification of the terms of this Agreement shall be valid unless made in writing and agreed to
by both parties.
1 1. NON-APPROPRIATION: No portion of this Agreement shall be deemed to create an obligation
on the part of Social Services to expend funds not otherwise appropriated in each succeeding
year.
12. WAIVER OF IMMUNITIES/THIRD PARTY LIABILITY: No portion of this Agreement shall
be deemed to constitute a waiver of any immunities of Social Services or its officers or
employees may possess, nor shall any portion of this Agreement be deemed to have created a
duty of care with respect to any persons other than Social Services and not a party to this
Agreement.
