RE: APPROVE CONTRACTAMENDMENT#1 TO THE AGREEMENT FOR PURCHASE OF
PROFESSIONAL SERVICES AND AUTHORIZE CHAIR TO SIGN - UNIVERSITY OF
NORTHERN COLORADO
WHEREAS,the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS,the Board has been presented with Contract Amendment#1 to the Agreement
for Purchase of Professional Services between the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Weld County
Department of Public Health and Environment, and the University of Northern Colorado,College of
Natural and Health Sciences,commencing November 30,2006, and ending November29, 2011,
with further terms and conditions being as stated in said amendment, and
WHEREAS,after review,the Board deems it advisable to approve said amendment, a copy
of which is attached hereto and incorporated herein by reference.
NOW,THEREFORE,BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that Contract Amendment#1 to the Agreement for Purchase of Professional
Services between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Weld County Department of Public Health and
Environment,and the University of Northern Colorado,College of Natural and Health Sciences,be,
and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said amendment.

SUBJECT: Amendment #1 to Agreement for
Purchase of Professional Services With
the University of Northern Colorado
Enclosed for Board review and approval is Amendment #1 to the Agreement for Purchase of
Professional Services between the University of Northern Colorado College of Natural and
Health Sciences (UNC) and the Weld County Department of Public Health and Environment
(WCDPHE).
Under the provisions of this amendment, WCDPHE will continue to provide staff nurses who
will instruct and supervise UNC nursing students during their public health clinic 1 r t ion. The
amendment also provides for the new term of the agreement from Jai .:ft " through Ju
30, 2007 and additional terms and conditions as set out in Contract Amendment#1 to Clinical
Experience Agreement which you are also being asked to approve at this same time. The
funding will remain at a sum not to exceed $10,000 for services provided during this time period.
I recommend your approval of this amendment.

CONTRACT AMENDMENT #1
BETWEEN
THE UNIVERSITY OF NORTHERN COLORADO
AND
WELD COUNTY DEPARTMENT OF PUBLIC HEALTH AND ENVIRONMENT
THIS CONTRACT AMENDMENT #1 to the Agreement for Purchase of Professional Services is made
December I, 2006, by and between the State of Colorado acting by and on behalf of the Board of Trustees of
the University of Northern Colorado, an institution of higher education existing by virtue of the laws of the State
of Colorado, College of Natural and Health Sciences, Gunter Hall, with a mailing address of 501 20th Street,
Greeley, Colorado 80639, hereinafter referred to as University or State, and County Department of Public
Health and Environment, a body politic, 1555 N. 17th Avenue, Greeley, Colorado 80631, hereinafter referred to
as County Department or Contractor.
FACTUAL RECITALS
A. Authority exists in the law and funds have been budgeted, appropriated, and otherwise made available and a
sufficient unencumbered balance thereof remains available for payment under Purchase Order No. 1837, in
Fund No. 32305, Org. No. 46200, Account No. 72130 and Program No. 1000. All required approval, clearance,
and coordination have been accomplished from and with appropriate agencies.
B. The parties entered into the original Agreement for the purchase of services dated June 28, 2004 which
allowed the University to purchase the training services of the Contractor's masters degreed employees.
C. The University now wishes to extend the term of the original Agreement and its various renewals via this
Contract Amendment #1 to continue use of Contractor's training services; Contractor agrees to provide its
training services to the University as set forth below.
NOW THEREFORE, in consideration of the mutual promises and the covenants and agreements hereinafter set
forth, it is hereby agreed that
1. Consideration for this amendment to the original Agreement which consists of the payments which will be
made pursuant to this amendment, and the promises and agreements herein set forth. It is expressly agreed by
the parties that this amendment is supplemental to the "original contract", which is by this reference
incorporated herein and made a part hereof by reference, and all terms, conditions and provisions thereof,
unless specifically modified herein, are to apply to this amendment as though they were expressly rewritten,
incorporated and included herein.
2. It is agreed the original contract is and shall be modified, altered, and changed to the original contract in the
following respects only;
a. The parties agree that any student enrolled in an accredited academic program within the College of Natural
and Health Sciences will be allowed to participate in internships at Contractor's site, as set out in the Agreement
for Internship Amendment, attached hereto and incorporated herein as Exhibit 1, although nothing in this
Agreement shall be construed to indicate that Contractor must accept any student from University.
b. The term of this Agreement shall be from November 30, 2006 and terminate November 29, 2011, at a cost
not to exceed $10,000 annually. Should the University wish to extend the term of this Agreement for an
additional year, the University shall notify Contractor thirty (30) days prior to the expiration of the contract term
via the State's "Option to Exercise Renewal Letter". Any preliminary written notice of its intent to renew does not
commit the State to an extension term. The total duration of this Contract Amendment#1, including the exercise
of any options under this clause, shall not exceed five (5) years. Financial obligations of the State of Colorado
payable after the current fiscal year are contingent upon funds for that purpose being appropriated, budgeted,
and otherwise made available.
c. This Contract Amendment #1 is also based upon additional terms and conditions set out in Contract
Amendment#1 to Clinical Experience Agreement which is attached hereto and incorporated herein as Exhibit Q.
d. Contractor is notified that paragraph 11, Notice, is amended to substitute Debra Leners, as Director of the
School of Nursing. Notices to any other department personnel will be in care of the Dean of the College of
Natural and Health Sciences, Gunter Hall, 501 20th Street, Greeley, CO 80639.

3. The effective date of this Contract Amendment #1 is December 1, 2006, or upon approval of the State
Controller, whichever is later in time.
4. In the event of any conflict, inconsistency, variance, or contradiction between the provisions of this
amendment and any of the provisions of the original contract, the provisions of this amendment shall in all
respects supersede, govern, and control; otherwise, all terms and conditions of the original Purchase of
Services Agreement are fully incorporated herein by reference The Colorado Special Provisions have been
amended and approved by the Governor of the State of Colorado to become effective August 6, 2006, to include
a new provision concerning the employment of illegal aliens, to wit: "CRS 8-17.5-101 and Public Law 208, 104'"
Congress, as amended and expanded in Public Law 156, 1081h Congress, as amended. Contractor certifies that
the Contractor shall comply with the provisions of CRS 8-17.5-101 et seq. Contractor shall not knowingly employ
or contract with an illegal alien to perform work under this contract or enter into a contract with a subcontractor
that knowingly employs or contracts with an illegal alien. Contractor represents, warrants, and agrees that it (i)
has verified that it does not employ any illegal aliens, through participation in the Basic Pilot Employment
Verification Program administered by the Social Security Administration and Department of Homeland Security,
or (ii) otherwise will comply with the requirements of CRS 8-17.5-101(2)(b)(l). Contractor shall comply with all
reasonable requests made in the course of an investigation by the Colorado Department of Labor and
Employment. If Contractor fails to comply with any requirement of this provision or CRS 8-17.5-101, et seq., the
State may terminate this contract for breach and Contractor shall be liable for actual and consequential
damages to the State." The Colorado Special Provisions shall always be controlling over other provisions in this
contract amendment or any amendments thereto.
5. FINANCIAL OBLIGATIONS OF THE STATE PAYABLE AFTER THE CURRENT FISCAL YEAR ARE
CONTINGENT UPON FUNDS FOR THAT PURPOSE BEING APPROPRIATED, BUDGETED, AND
OTHERWISE MADE AVAILABLE.
IN WITNESS WHEREOF, the parties hereto have executed this amendment on the day first above written.

CRS 24-30-202 requires that the State Controller approve all state contracts. This contract is not valid until the
State Controller, or such assistant as he may delegate, has signed it. Contractor is not authorized to begin
performance until the contract is signed and dated below. If performance begins prior to the date below, the State
of Colorado may not be obligated to pay for goods and/or services provided.

THIS CONTRACT AMENDMENT #1 to the Clinical Experience Agreement is made December 1 , 2006, by
and between the State of Colorado acting by and on behalf of the Board of Trustees of the University of
Northern Colorado, an institution of higher education existing under and by virtue of the laws of the State of
Colorado, for the use and benefit of the College of Natural and Health Sciences, Gunter Hall 1000, with a
mailing address of 501 20th Street, Greeley, Colorado 80639, hereinafter referred to as the State or School, and
the Weld County Department of Public Health and Environment, a body politic, 1555 N. 171h Avenue, Greeley,
Colorado 80631, hereinafter referred to as the Contractor or Agency.
FACTUAL RECITALS
A. School and Agency are parties to the original Clinical Experience Agreement entered into on February 24,
2000, in which the Agency provides its site for School interns completing his or her final practicum experience(s)
to graduate. The parties executed an Option to Exercise Renewal effective through December 31, 2006.
B. The parties now wish to continue the original agreement for all programs under the terms and conditions set
forth below.
NOW, THEREFORE, the parties hereto agree as follows:
1. Paragraph 3.8 is amended to provide for an effective date of January 1, 2007 and a termination date of June
30, 2011.
2. The parties agree that all students enrolled in programs previously identified within the College of Natural and
Health Sciences will be able to participate under this Amendment, although nothing in this Amendment shall be
construed to indicate that Contractor must accept any student from School.
3. The parties agree that each student will provide a criminal background check, if requested, under the
parameters determined by Agency.
4. All other terms and conditions of the original Agreement for Internship Agreement remain in full force and
effect and made a part hereof as if fully set forth herein.
