RE: APPROVE PURCHASE OF SERVICES AGREEMENT AND AUTHORIZE CHAIR TO
SIGN - CORNERSTONE CONNECTION, LLC
WHEREAS,the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS,the Board has been presented with a Purchase of Services Agreement between
the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld
County, on behalf of the Department of Social Services, and CornerStone Connection, LLC,
commencing February 1,2006,and ending April 30,2006,with further terms and conditions being
as stated in said agreement, and
WHEREAS,after review,the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW,THEREFORE,BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, ex-officio Board of Social Services, that the Purchase of Services Agreement
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County,on behalf of the Department of Social Services,and CornerStone
Connection, LLC be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreement.
The above and foregoing Resolution was,on motion duly made and seconded, adopted by
the following vote on the 27th day of February, A.D., 2006.

RE: Purchase of Services Agreement--ComerStone, LLCr
Enclosed for Board approval is a Purchase of Services Agreement between the Weld County m
Department of Social Services and ComerStone, LLC. This Agreement was reviewed at the a"
Board's Work Session of February 13, 2006. N
The major provisions of the Agreement are as follows:

1. The term of the Agreement is February 1, 2006 through April 30, 2006.
2. ComerStone will provide consultation services to he Department regarding its Residential
Treatment Center(RTC) Re-Design process. ComerStone will:
A. Assist the Depaitinent and North Range Behavioral Health in their efforts to
assess levels of care for each Developmentally Disabled and low functioning
youth/children who are currently in RTCs; and
B. Assist the Depai tment in a plan for the development and implementation of
continuum of care, which are evidenced-based and/or promising practices, with
current and new providers for the Developmentally Disabled and low functioning
youth/children.
3. The Department agrees to provide a maximum reimbursement to ComerStone of$33,000
from Child Welfare Administration funding.

PURCHASE OF SERVICES AGREEMENT
THIS AGREEMENT is made and entered into this day of February, 2006,by and between the Board
of County Commissioners of the County of Weld, State of Colorado,sitting on behalf of the Weld County
Department of Social Services,hereinafter referred to as"Social Services", and CornerStone Connection,LLC,
hereinafter referred to as"Consultant".
WITNESSETH:
WHEREAS, Social Services has as its goal to intervene successfully with families in the least intrusive
manner while maximizing safety before they enter the judicial system;and upon their entry into the child welfare
and juvenile justice systems,to expedite the positive resolution of their treatment or case plans; and
WHEREAS, Social Services wishes to develop a balanced systems of care in Weld County under a
community based services integration process,emphasizing family strengths through interagency and community
collaboration; and
WHEREAS, Social Services'balanced systems of care must be developed under a continuum of
evidenced-based and promising practices that are outcome based; and
WHEREAS, Social Services will be responding to major revisions to the statewide re-design of the
Residential Treatment Center Care by June 30, 2006,which will require revisions to its system of care to better meet
the needs of its families; and
WHEREAS, Social Services has identified a serious gap in the continuum systems of care for the
Developmentally Disabled child, youth, and families who are conduct disordered and/or diagnosed with mental
health needs;and
WHEREAS, the Consultant has the expertise and knowledge to assist Social Services in its efforts to
develop and further define program and service options for youngsters and families with Developmental Disabilities
under an evidence-based and promising practices system; and
WHEREAS,the Consultant will focus on Social Services' expectations of potential contact services
providers under its Core Services Program to promote a continuum of care.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties
hereto agree as follows:
1. TERM: The term of this Agreement shall be from February 1, 2006,through and until April 30,
2006.
2. SERVICES PROVIDED BY CONSULTANT: The Consultant agrees to assist Social Services in
its development of a more balanced continuum of services that are evidence based and promising
practices;finding better ways of working with youngsters and families with Developmental
Disabilities who have conduct disorders and/or mental health needs; and developing training and
support needs for foster care families serving individuals with Developmental Disabilities.
A. Assist in determining the level of care needs of children and adolescents with
Developmental Disabilities currently receiving publicly funded mental health treatment

in residential settings through collaboration activities with North Range Behavioral
Health, Social Services, and Division of Youth Corrections, "Weld County
B. Actively participate in the"Weld County Continuum of Care Needs Assessment Team",
as a subcontractor of Social Services,and to:
1) Research and identify a continuum of care model which utilizes evidence based
services,promising practices, and/or practices that are supported by credentialed
experts. This research and identification will be related to the continuum of
evidenced based practices that identifies the degree that the practice is strongly
supported by research and ways to evaluate where on the continuum any one
practice falls. Because of the potential magnitude and open ended nature of this
exercise, the level of effort for this subtask is not to exceed 16 hours regardless
of results.
2) The assessment tool to be used will be the "Child and Adolescent Needs and
Strengths(CANS)For Children and Adolescents with Child Welfare
Involvement." No level of effort is required for this task.
3) Identify and list all Weld County children and youth receiving publicly funded
mental health care in residential treatment programs.
4) Determine the level of care needs of Weld County children and youth who are
currently in residential treatment in according with the developed criteria.
5) List each level of care and identify the number of Weld County children and
youth currently placed in residential treatment who could appropriately
receiving his/her care at each respective level.
6) Submit a report, in consultation and in conjunction with the"Weld County
Continuum of Care Needs Assessment Team"that will provide a detailed
analysis,based on the findings of an agreed upon evidence based assessment
instrument, of the projected level of care need of youths currently in residential
placement to the senior staff of each member agency. The data pool will be
comprised of no less than 75%of those Weld County youths currently in
publicly funded residential treatment and are developmental disabled. The plan
is due March 24,2006.
C. Develop a written plan for the next phases of this project by April 21, 2006, which will
include, at a minimum:
1) Connecting with resources/agencies and individuals that may be interested in
providing services and supports to individuals residing in Weld County with
Developmental Disabilities.
2) Assisting those new entities in developing and maintaining quality services and
supports to those identified children and adolescences through evidence based
and promising practices.

3) Developing and/or providing individualized training to those families/individual
providing services to children and adolescences with Developmental
Disabilities.
D. Document the outcomes of the tasks as outlined in Item 2 and 3 of the Agreement.
3. COMPENSATION: Social Services agrees to pay the Consultant at a rate of$150 per hour for
professional services pursuant to this Agreement and at a total sum of$33,000 according to the
schedule and time frames provided as follows:

The parties agree that the service rate as contemplated herein shall constitute the entire amount of
compensation due to the Consultant for any work performed hereunder.
4. INDEPENDENT CONTRACTOR: Consultant agrees that it is an independent contractor and will
not become an employee of Social Services, nor is the Consultant entitled to any employee
benefits under Social Services as a result of the execution of this Agreement.
5. INDEMNIFICATION: Consultant shall indemnify Weld County, its officers and employees,
against liability for injury or damage caused by any negligent act or omission by Consultant in the
performance of this Agreement and shall hold Weld County harmless from any loss occasioned as
a result of the performance of this Agreement.
6. NON-ASSIGNMENT: Consultant may not assign or transfer this Agreement, any interest therein
or claim thereunder,without the prior written approval of Social Services.
7. ACCESS TO RECORDS: Social Services shall have access to Consultant's financial records as
these records relate to payment and expenditures under this Agreement for the purposes of audit.
Such records shall be complete and available for audit 90 days after final payment hereunder and
shall be retained and available for audit purposes for at least five years after final payment
hereunder.
8. TERMINATION: Either party may terminate this Agreement at any time by providing the other
party with a 10-day written notice thereof. Furthermore,this Agreement may be terminated at any
time without notice upon a material breach of the terms of the Agreement.
9. TIME OF THE ESSENCE: Time is of the essence in each and all of the provisions of this
Agreement.
10. ENTIRE AGREEMENT/MODIFICATIONS: This Agreement constitutes the entire understanding
between the parties with respect to the promises and covenants made therein. No modification of
the terms of this Agreement shall be valid unless made in writing and agreed to by both parties.
11. NON-APPROPRIATION: No portion of this Agreement shall be deemed to create an obligation
on the part of Social Services to expend funds not otherwise appropriated in each succeeding year.

12. WAIVER OF IMMUNITIES/THIRD PARTY LIABILITY:No portion of this Agreement shall be
deemed to constitute a waiver of any immunities of Social Services or its officers or employees
may possess,nor shall any portion of this Agreement be deemed to have created a duty of care
with respect to any persons other than Social Services and not a party to this Agreement.
