RE: Pioneer Communities (the "Project")
Honorable Mike Geiles, Chairman
and Members of the Board:
On behalf of Pioneer Communities,the developer of the above referenced Project,
I am asking for your participation in an important committee designed to provide money
for school capital facilities required by the new children in the Pioneer development.
This proposed committee will serve as the decision making body regarding the
expenditure of funds generated by a voluntary Capital Facility Fee Foundation to be
created by Pioneer. This Foundation is vitally important to the Weld County Re-3(J)
School District and the school age children of Pioneer because it will generate money in
the early stages of development that will provide for school capital facilities in Pioneer
earlier than with typical school financing. Attached to this letter we have provided
correspondence, including a proposal and school finance options, that is being sent to the
Weld County Re-3(J) School District (the "District").
Over the past year, the Developer and its consultants have been meeting with the
District to discuss the Pioneer development and, in a cooperative spirit, come up with
appropriate options to serve the community. The primary topics addressed were school
finance and District requirements and standards. One of the components of the school
finance proposal presented by the Developer is creation of a voluntary tax-exempt Capital
Facilities Fee Foundation (the "Foundation") for the Project.
The Foundation will be a tax-exempt entity sponsored by the Developer. As a
result, the Developer will pay all fees and expenses associated with the creation and
operation of the Foundation. The Developer will make a contribution to the Foundation
of$1,250 for each single family detached housing unit built within the Project. Other
housing types will require donations of a different amount. The Foundation will hold
these funds in escrow and contribute them to the District at the appropriate time in order
to assist the District in the funding of capital construction costs associated with the
building and/or maintenance of the schools within the boundaries of the Project.

The Developer has experience both in Colorado and Arizona with entities such as
the Foundation. Here in Colorado,a foundation that the Developer helped to create
recently funded its final installment of a$6,200,000 contribution to Brighton School
District 27-J. This money assisted in the completion of the new Prairie View High School
in Brighton.
The Foundation is charged with deciding when and where to apply the funds
donated by the Developer,based on certain criteria set forth in its organizational
documents. A Board of Directors of 5 members will conduct the operations of the
Foundation. These individuals should be people familiar with the Project,the District
and the community in which the Project and the District operate. As a result of these
requirements,the Developer proposes that 2 of the members be representatives of the
District and 2 of the members be representatives of the Developer. Due to the importance
of the Foundation to the community,the Developer respectfully requests that the fifth
member be a representative from Weld County. Please assist us in taking the first steps
in the creation of this important partnership by choosing a representative of your Board to
join with the District and the Developer to serve on the Board of the Foundation.

RE: Appointment to Proposed Capital Facilities Fee Foundation Board of Directors
Dear Chris:
This letter is in response to your letter of August 29, 2006, requesting if the Board of County
Commissioners of Weld County, Colorado, wishes to appoint one of its members to a proposed Capital
Facilities Fee Foundation ("the Foundation") Board of Directors for the Pioneer Communities project.
Although the Board of County Commissioners appreciates how Pioneer Communities has worked
diligently with the Weld County Re-3(J) School District to explore the creation of a voluntary Capital
Facility Fee Foundation,the Board of County Commissioners does not feel that it may appoint one of its
members to the Foundation Board of Directors, because of the appearance of conflict such an
appointment would create. As you are aware,the Board of County Commissioners will have to sit in its
quasi-judicial capacity to determine PUD applications filed by Pioneer Communities. Appointing one of
its members to the Foundation Board of Directors may give the public the false impression that the Board
of County Commissioners has predetermined those applications.
