Bonanza Creek is a private independent energy company engaged in the exploration, development.
production,operation and acquisition of oil and natural gas resources. Bonanza Creek operates 91 wells
in the DJ Basin including 19 wells that were drilled during the past eight months and we plan to continue
with this forward momentum.
Bonanza Creek is acquiring an 81%net revenue interest under the aforementioned Leases, which we
believe to be acceptable and will not inhibit our interest to drill under the leases. Acquisition of a 3-D
seismic sun•ev was completed on August 23. 2005. covering 12 square miles in Township 5 North,Ranee
61 West and we are encouraged and excited to begin drilling in this new area,which could ultimately see
development of one well per 40 acres.
Bonanza Creek currently maintains a$30.000 blanket bond with the Colorado Oil and Gas Conservation
Commission.
Subject to the above information and facts. Bonanza Creek hereby requests the State grant their consent to
assign and raise the maximum overriding royalty interest from 5%to 6.5%for all of the above referenced

THIS ASSIGNMENT,BILL OF SALE AND CONVEYANCE ("Assignment")is
dated effective July 1,2005, and is made from CFG Energy,Inc. ("CFG"), a Colorado
corporation whose address is 3932 West 18th Street Lane,Greeley, Colorado 80634,and Thomas
B. Croke,III,and Laura L. Croke,husband and wife,whose address is also 3932 West 18th
Street Lane Greeley, Colorado 80634(collectively,the"Assignors") to Bonanza Creek Operating
Company,LLC("Bonanza Creek"), a California limited liability company whose address is 4900
California Avenue, Suite 350-B,Bakersfield,California 93390, as Assignee.
For$100.00 and other good and valuable consideration,the receipt and sufficiency of
which are hereby acknowledged,the Assignors hereby sell, assign,transfer,grant,bargain and
convey all of their right, title and interest in and to the Assets to Bonanza Creek.
As used in this Assignment,the term"Assets"means the following real and personal
property interests:
all of the oil and gas leases(the"Leases")listed in Exhibit A attached hereto, but only
insofar as they cover the lands (the"Lands")specifically described in Exhibit A;
all surface owner and other agreements relating to the Leases and Lands,but only to the
extent that they relate to such Leases and Lands,including(without limitation)the
particular agreements identified in Exhibit B; and
all files,records, seismic, seismic interpretation,electronic databases and seismic
licensing and other documentary information(the"Information")relating to the Leases
and Lands,but only to the extent that are in Assignors' possession and are not subject to
third-party confidentiality restrictions.
Assignors hereby except and reserve an overriding royalty interest(subject to
proportionate reduction based both on the percentage leasehold interest being assigned to
Bonanza Creek and on the percentage of the fee oil and gas estate covered by such Lease)on all
oil,gas and other hydrocarbon substances produced, saved and sold under the terms of each
Lease equal to the difference between 19%and all landowner royalties,overriding royalties and
other burdens on production that are of record at the date hereof. The overriding royalty interest
in each particular Lease is being reserved by each Assignor in the same manner and in the same
proportion that it held its undivided leasehold interest in such Lease immediately prior to this
Assignment, so that if, for example,Thomas B. Croke,III, and Laura L. Croke owned a 100%
leasehold interest in a Lease as joint tenants with right of survivorship immediately before this
Assignment, and if CFG owned no interest,then the entire overriding royalty interest reserved

hereby in such J Pace shall be owned solely by Thomas B. Croke,HI,and Laura L. Croke, as joint
tenants with right of survivorship. No reservation to a stranger is intended. Overriding royalties
due under this reservation in respect of production under a particular Lease shall be determined
and calculated(for example,but not by way of limitation, in respect of value or proceeds and in
respect of permissible deductions)in the same manner as the landowner's royalty under that
same Lease. Finally,these reserved overriding royalties shall burden all renewals,extensions,
new leases and other similar arrangements in respect of a Lease that may be obtained by Bonanza
Creek before the expiration of such Lease or within six months after expiration of such Lease.
TO HAVE AND TO HOLD the Assets unto Bonanza Creek and its successors and
assigns forever.
This Assignment is made subject to the following terms and conditions:
A. This Assignment is being made pursuant to the terms of the Purchase and Sale
Agreement dated as of July 1,2005, among Assignors and Bonanza Creek(the"PSA").
B. ASSIGNORS WARRANT TITLE TO THE ASSETS FROM AND
AGAINST ALL PERSONS CLAIMING BY,THROUGH,AND UNDER ASSIGNORS
BUT NOT OTHERWISE. EXCEPT FOR THIS FOREGOING SPECIAL WARRANTY
OF TITLE,THE ASSIGNMENT IS MADE WITHOUT WARRANTY OF ANY KIND,
EXPRESS,IMPLIED OR STATUTORY.
C. To the extent permitted by law,Bonanza Creek shall be subrogated to CFG's
rights in and to representations,warranties and covenants given with respect to the Assets. CFG
hereby grants and transfers to Bonanza Creek,its successors and assigns,to the extent so
transferable and permitted by law,the benefit of and the right to enforce the covenants,
representations and warranties, if any,which CFG may be entitled to enforce with respect to the
Assets.
D. The PSA contains an indemnification by Bonanza Creek for the benefit of CFG,
which indemnification is incorporated herein and which shall survive execution and delivery of
this Assignment.
E. Separate governmental form assignments of the Assets may be executed on
officially approved forms by the Assignors to Bonanza Creek,in sufficient counterparts to satisfy
applicable statutory and regulatory requirements. Those assignments shall be deemed to contain
all of the exceptions, reservations,warranties, rights,titles,power and privileges set forth herein
as fully as though they were set forth in each such assignment. The interests conveyed by such
separate assignments are the same, and not in addition to,the Assets conveyed herein.
F. This Assignment binds and inures to the benefit of Assignors and Bonanza Creek,
together with their respective successors and assigns.

RESERVING,however, to El Camino Resources, Inc. (and not to Raymond A. Tonella)a
two and one half percent (2 1/2 %) of 8/8ths overriding royalty interest(subject to proportionate
reduction based both on the percentage leasehold interest being assigned and on the percentage of the
fee oil and gas estate covered by the lease) on all oil, gas and other leased substances produced,
saved and sold under the terms of the lease. This reserved overriding royalty interest shall be free of
all costs of drilling,completing,equipping and operating,but shall bear its proportionate share of all
post-wellhead costs(including,without limitation,separation,treatment,gathering and compressing
costs), as well as all severance, production and other taxes of every type and nature applicable
thereto.
This Assignment is made subject to the following terms and conditions:
I. Crokes shall furnish to El Camino all material information concerning each well drilled
on lands covered by the lease consistent with common industry practice, including, without
limitation,well logs, drill stem tests,production tests and daily drilling reports delivered by mail,
together with copies of all material documents filed with and received from governmental agencies.
2. El Camino warrants title to the lease from and against the claims of all persons claiming
by,through,or under El Camino,but not otherwise.
3. This Assignment binds and inures to the benefit of El Camino and Crokes,together with
their respective successors and assigns.

Camino"), as assignors,to Thomas B. Croke, III, and/or Laura L. Croke,husband and wife,
JTWROS, whose address is 3932 West 18th Street Lane,Greeley, Colorado 80634 ("Crokes"),
as assignees.
For$100 and other good and valuable consideration, the receipt and sufficiency of which
are hereby acknowledged,El Camino hereby sells,assigns,transfers,grants, bargains and
conveys all of its right, title and interest in and to the following lease to Crokes:
