RE: AUTHORIZE EXTENSION OF OIL AND GAS LEASE COVERING CERTAIN PROPERTY
OWNED BY WELD COUNTY, COLORADO - SE1/4, S15, T5N, R61W
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, Weld County is the owner of vast mineral lands located in Weld County,
Colorado, and
WHEREAS, Bonanza Creek Energy Operating Company, LLC, submitted a request to
extend the lease of 160 net mineral acres, more or less, described to-wit:
SE1/4 of Section 15, Township 5 North, Range 61
West of the 6th P.M., Weld County, Colorado, and
WHEREAS, Weld County desires to approve the request submitted by Bonanza Creek
Energy Operating Company, LLC,to extend the lease on the above-described mineral acreage for
$10 per net mineral acre, for a total sum of$1,600, together with a rental fee of one dollar($1.00)
per net mineral acre, which is to run for a period of six(6) months, commencing July 8, 2006, and
ending January 8, 2007, and
WHEREAS, Weld County desires to approve the request submitted by Bonanza Creek
Energy Operating Company, LLC,to extend the lease on the above-described mineral acreage for
$10 per net mineral acre, for a total sum of$1,600, together with a rental fee of one dollar($1.00)
per net mineral acres, which is to run for a period of six(6)months, commencing January 8, 2007,
and ending July 8, 2007,with said amount to be paid to the Weld County Clerk to the Board within
ten (10) days from the date of approval by the Weld County Board of County Commissioners, and
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County,Colorado,that the request submitted by Bonanza Creek Energy Operating Company, LLC,
to extend the lease on the above-described mineral acreage for$10 per net mineral acre,for a total
sum of$1,600, together with a rental fee of one dollar($1.00) per net mineral acre,which is to run
for a period of six (6) months, commencing July 8, 2006, and ending January 8, 2007, be, and
hereby is, granted and approved.

BE IT FURTHER RESOLVED by the Board of County Commissioners of Weld County,
Colorado, that the request submitted by Bonanza Creek Energy Operating Company, LLC, to
extend the lease on the above-described mineral acreage for$10 per net mineral acre, for a total
sum of$1,600, together with a rental fee of one dollar($1.00)per net mineral acres,which is to run
for a period of six (6) months, commencing January 8, 2007, and ending July 8, 2007, be, and
hereby is, granted and approved, with said amount to be paid to the Weld County Clerk to the
Board within ten (10) days from the date of approval by the Weld County Board of County
Commissioners.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 5th day of July, A.D., 2006.

Dear Mr. Barker:
Pursuant to your email of July 7,2006, our request to extend the captioned Lease for one year was
approved by Weld County. As consideration for this approval, enclosed please find Bonanza Creek's
check number 30446 in the amount of$1,760.00.
You also mentioned that the assignment between CFG&Bonanza Creek was approved by the Board.
Would you please provide me with written confirmation of the Board's approval of our assignment and
their approval of the one-year extension.

Dear Mr. Barker:
As discussed,Bonanza Creek Operating Company has an active drilling program to develop our leasehold
position in what we refer to as the Pronghorn area in Township 5 North,Ranges 61 and 62 West,Weld
County,Colorado. Bonanza Creek has three oil and gas leases with Weld County in the Pronghorn area
that will expire on July 8,2006,which are described as follows:
1. NE/4 Section 21,T5N,R61W, recorded August 18, 2003,#3096557;
2. SE/4 Section 15,T5N,R61W,recorded August 18,2003,#3096556; and
3. SEJ4 Section 22,T5N,R61W,recorded August 18,2003,#3096558
On June 28,2006 we forwarded to Mr. Lee Morrison,Assistant County Attorney for Weld County, three
(3)separate requests and checks covering the above referenced leases for a six(6)month extension as
provided for in Article 24 of the oil and gas leases.
Unfortunately, the timing of our development drilling program has been delayed due to the high demand
for drilling rigs and the aforementioned six-month extension will not provide adequate time to allow us to
develop all three leases.
To allow us the necessary time to properly schedule our drilling program and obtain the necessary
drilling rigs,it is requested that Weld County grant a one-year extension to the aforementioned
leases.

Dear Mr.Morrison:
Bonanza Creek Energy Operating Company, LLC requests your written approval and consent for an
extension as provided for under Article 24 of the captioned oil and gas lease (copy enclosed for your
reference and convenience).
Additionally,enclosed as required under Article 24 of said lease,please find Bonanza Creek's check
number 30351 in the amount of$1,760.00 covering the $10 per acre bonus and $1.00 per acre rental
payment.
Bonanza Creek is a private independent energy company engaged in the exploration,development,
production, operation and acquisition of oil and natural gas resources. As you probably know,Bonanza
Creek is actively drilling and developing oil and gas properties in this immediate area and this extension
request is necessary due to the drilling rig shortage in the DJ Basin.
Subject to the above information and facts, Bonanza Creek hereby requests the State grant their consent to
extend the above referenced lease. Should you have any questions or require additional information,
