SURFACE LEASH (INDUSTRIAL) /W
AMENDMENT AND TERM EXTENSION
David E. and Carol C. Howard, D. Gary Howard, John E. Howard and a&L
Marla Sue Howard, as Lessors, and Amoco Production Company, a Delaware
corporation, as Lessee, are parties to a Surface Lease (Industrial) /�
dated September 18, 1973 (the "Lease"). •(0
The Lease covers a certain tract or parcel of land in Weld County, EA.
Colorado, as follows: two (2) acres, more or lass, situated in the
Southeast Quarter (SE/4), Section 28, Township 1 North, Range 67 West,
as per the plat attached and made a part of the Lease. f�

Lessors and Lessee hereby desire to extend the term of the Lease

and amend the Lease under the following terms and conditions:
1. As full and complete consideration for this Amendment and Term
Extension Agreement for the Lease ("this Agreement"), Lessors shall
have the privilege, at their sole risk, liability and expense, of
using reasonable quantities of gas from any gas well on the follow-
ing real property for the existing five structures specifically
described below in this paragraph located on that property by
making their own connection thereto: SE/4 of Section 28, T1N, R67W
in the 66th PM, Weld County, Colorado. The five existing struc-
tures covered by this Agreement shall consist of three single
family dwellings, one metal multi-purpose building and one cinder
block workshop, all of which are located on that property.
2. The term of the Lease shall be hereby extended for so long as the
gas well from which free gas is furnished is economic to operate,which shall be determined solely by Amoco in good faith and•as a
prudent oil and gas operator, or until such time as Amoco, in good
faith and as a prudent oil and gas operator, determines that it is
not necessary to utilize the Lease for its oil and gas operations.
Upon the expiration of the Lease term, Lessors' receipt and use of
free gas as discussed in this Agreement shall also terminate and
expire.
3. This Agreement is not transferable, and may not be assigned by
Lessors, or any of them, at any time. Any attempted assignment by
Lessors, or any of them, shall be null, void and of no force and
effect.
4. The free gas provided pursuant to paragraph 1 shall come solely
from the David Howard B Lease, and from no other property or lease.
5. Lessors shall utilize only reasonable amounts of free gas for only
the five existing structures specified in paragraph 1 above which
are located on the following real property: SE/4 of Section 28,
TIN, R67W, 66th PM, Weld County, Colorado. No other structures,
buildings, machinery, devices and/or equipment of any kind or type

provisions of any applicable oil and gas lease, and shall also be 6
in accordance with the terms of the Amoco Form 452, which each
Lessor shall execute before any free gas is furnished by Amoco.
Amoco reserves the right to restrict or terminate the use of free
gas which
is excessive and/orviolation

privilege subject to the terms and conditions contained in this
Agreement and that their only claim to free gas is based on and
limited by the terms and conditions set forth in this Agreement.
Lessors and Lessee expressly agree that this Agreement shall con-
trol in the event of a conflict with any other claim, whether based
on written or oral sources, they may have for free gas, whether
such claim is based on statute, contract, common law and/or equity.
6. Lessors shall defend, indemnify and save Amoco, its joint ventur-
ers, if any, and its affiliated entities, and the directors, offi-
cers, employees and agents of Amoco, its joint venturers or its
affiliated entities, harmless from and against any and all losses,
claims, demands, liabilities, suits of actions (including all
reasonable expenses and attorneys fees) arising out of injuries to
or the death of any person or persons, including the families,
guests, visitors, agents and employees of each party hereto, or
arising out of loss of or damage to the property of any entities,
person or persons, including the property of the families, guests,
visitors, agents and employees of Lessors and Amoco, caused by or
resulting from the acts or omissions of the Lessors, their fami-
lies, guests, visitors, agents and employees, or any one performing
on their behalf, except that Lessors assume no liability for the
sole negligent acts or omissions of Amoco. This paragraph covers,
without limitation, all acts and omissions in connection with the
Lease and in connection with free gas usage.
7. This agreement may not be amended except in writing signed by an
authorized representative of Lessee and by all Lessors.
8. In the event either Lessors or Lessee initiate(s) any legal pro-
ceedings including, without limitation, judicial, administrative
and/or arbitration proceedings, to enforce any of the terms of this
Agreement, the non-prevailing party shall reimburse the prevailing
