Dear Ms. Feuerstein:
Enclosed please find four original U.C.C.
financing statements which secure payment of the
above-referenced bonds . We ask that you have the
Chairman of the Board of Weld County Commissioners
execute all four financing statements and return them
to our offices in the enclosed envelope. Please be
sure that the Chairman' s signature is on all four pages
of each of the financing statements. Upon receipt of
these financing statements, we will file them with the
Colorado Secretary of State and the Weld County Clerk
and Recorder' s Office so that we may have the fully
executed and recorded documents at the bond closing on
November 8 , 1983 .

All fixtures, construction materials and other tangible
personal property now owned or hereafter acquired by Debtor
purchased with the proceeds of the bond issue known as the County
of Weld, Colorado, Industrial Development Revenue Bonds, Series
1983 (The Gateway Partnership Project) , dated November 1 , 1983 ,
in the principal amount of $2 ,800 ,000 , and located on the real
property described in Exhibit C hereto, situated in Greeley, Weld
County, Colorado, and building located on said real estate (the
"Project" ) , together with all Debtor' s interest and any
condemnation award proceeds, hazard insurance proceeds and
similar intangible property rights of the Debtor arising from or
connected with the Project. Debtor shall have the right in the
normal course of operation of the Project to trade, exchange,
replace or substitute the above described personal property;
however, Secured Party' s security interest shall attach to any
subsequently acquired property as a result thereof, subordinate
only to a perfected purchase money security interest in such
subsequently acquired property.
