To update the two issues holding up the Board of County Commissioners hearing, the Ish Ditch and the
Diggins easement.
BreakNeck is awaiting a signed copy of the agreement from Ish Ditch. Hopefully, a signed agreement
will be available Friday, April 28.
This week, the irrigation pipe for Diggins has been relocated out of the building envelopes and a new
division box constructed. Next week, The surveyor will prepare a legal description for the new Diggins
easement and vacation of the old easement. This new Diggins easement will be signed next week.
Earl Vader and I met with Marlin Godfrey on Friday, 4/21/06, to review his concerns about an
old sandstone field drain that is vented on his property. We could not detect any signs of that field drain
on Keller Estates.The Little Thompson Water District constructed a 24" water line across a 50 foot
easement that runs from west to east along the entire northern edge of Keller Estates, adjacent to
Marlin's property. LTWD advised that the 24" line was installed in 1990 and they did not maintain
records indicating the field drain. If the field drain exist, they say it would have been replaced over the
LTWD line buried 3-5 feet down. Keller Estates adjacent to Marlin's property is approximately two foot
higher in elevation and does drain into a small ditch on Marlin's property. I assured Marlin that if our
construction people damage his ditch, they will repair it. I also took pictures of the ditch and immediate
area so we can accura tely determine if any damage is caused. Finally, Earl Vader will search Keller
Estates with one of those rods next week to confirm our preliminary findings of no sandstone field drain.
We will be installing new fencing on the property and adjacent to WCR1 this week. On page 4, item 2,
2, A, of the Change of Zone Admin recommendations, WCR1 requires an 80 foot right of way shall be
noted on the Change of Zone Plat. BreakNeck could only verify 40 foot of that ROW, right?We will be
installing our new fence 40 foot from the center line of the existing road. Page 9, 7G, indicates a sight
distance triangle is required at the Keller Drive intersection. The only reference I can find to this sight
triangle is in section 24-7-20, #19 but it omits distance measurements. Can you refer me to some info
that will define the distance of this sight triangle so we don't put the fence in it?

LICENSE AGREEMENT
1. PARTIES. The parties to this Agxe u cnt are The Ish Reservoir Company
a ditch Company, (the "Ditch Company") and , [Name

2. _ RECITALS. The licensee desires to obtain the permission of the
Ditch Company to construct certain structure/9ex'oss The Ish Reservoir
Company("The Ditch") and within the appurtenant easement owned by the Ditch
Company. The Ditch Company agrees to permit the proposed construction,
subject to the terms, conditions, covenants, and agreements set forth in this
Agreement. Accordingly, in consideration of the mutual promises set forth in the
Agreement, the parties covenant and agree as follows:
3. GRANT OF LICENSE
3.1 Pursuant to the terms of this Agreement, the Licensee is granted a license
to construct a certain structure6ba,scthe Ditch and within the appurtenant
easement owned by the Ditch Company. The legal description of the
location of the construction of the crossing is attached as EXHIBIT "A".
The plans and specifications for the construction of the structure (the
"project") are attached as EXHIBIT"B".
3.2 All portions of the Ditch,bottoms, sides, banks, and all affected portions
of the Ditch and lateral easements which are disturbed by the Licensee's
construction of the project will be restored to their original condition. Any
and all fencing and other facilities' appurtenant to the Ditch Company's
easement will be replaced in a condition at least equal to the condition of
such facilities and appurtenances prior to construction of the project.
3.3 The licensee agrees that the construction of the project will proceed
expeditiously and with reasonable diligence from the commencement of
construction to its completion. This license will expire on July 2006,
[date of expiration of license]. If the project is not completed by that date,
all work will cease and Licensee will have no rights pursuant to this
Agreement whatsoever.
3.4 The Licensee agrees to conduct and complete the project licensed herein
during the period when the Ditch Company is not operating the Ditch. In
the event Licensee interrupts the operation of the Ditch, Licensee agrees to
pay damages to the Ditch Company in the minimum amount of$5,000.00
(five thousand dollars), [damages] for any day or part of any day the
operation of the Ditch is interrupted. The Ditch company will have the
option of proving additional damages beyond that amount, but in no event
will the damages be construed to be less that amount per day for any part
of a day that the operation of the Ditch Company is interrupted.

4. LICENSE FEE •
The Licensee will pay to the Ditch Company a license fee of —S' [license fees] upon
execution of this Agreement. This license fee will be in addition to any other costs for
which the Licensee is responsible pursuant to this Agreement. This Agreement applies
only to the specific project located and described in Exhibits A and B.
The Licensee agrees to pay for h11 legal andjpgineering fees pertaining to the crossing(s)

5. INSPECTION
5.1 The Licensee will notify'the Ditch company at least five(5)working days prior to
commencement of construction of the project, or replacement or repair of the project
permitted by this Agreement. The Ditch Company is permitted to inspect the project or
replacements and repairs during construction. Upon completion of the project,the Ditch
Company's engineer may inspect the project and verify compliance with Exhibit B.
5.2 The Ditch Company's right to inspect the Licensee's construbtion:or replacement
of the project in no way relieves the Licensee of its liability for improper construction.
The Ditch company's inspection is solely for the benefit of the Ditch Company and creates
no obligation to the Licensee.
6. REIMBURSEMENT OF E: ENSES
The Licensee agrees to reimb the Ditch Company (or pay directly)for all reasonable
engineering, legal, administrate and recordation costs incurred by the Ditch Company in
preparing and approving this Ament and Exhibits, and the costs of inspection as
described in paragraph five. Ccists chargeable to Licensee will be paid within 30 days of
the billing date.
7. WATER LOSS
The Licensee agrees that the construction as set forth in Exhibit B will not increase
carriage or transit loss over the loss which occurred historically. The Licensee agrees to
compact earth materials so that'such additional water losses will not occur. If the
Licensee's construction increases carriage or transit loss in the Ditch, the Licensee agrees
to repair the construction to prevent such additional loss and to replace the lost water to
the Ditch Company.
8. MAINTENANCE
If the project is not properly maintained, repaired or replaced the Ditch Company may
give notice to the Licensee in writing of such condition, and the Licensee will correct
such defect or harard within ter (10)days. If proper correction is not made within the ten

day period, the Licensee will have breached this Agreement and the Ditch Company can
avail itself of all remedies, inclu41ing,but not limited to, correcting the defect itself and
collecting its expenses or correction from the Licensee. If, as a result of the Licensee's
failure to maintain repair or replace the project, the Ditch Company's operations are
interrupted,the liquidated damages provision in paragraph 3.4 above will apply.
9. LIABILITY AND INDEMNIFICATION
9.1 By virtue of entering into this Agreement, the Ditch Company:
(a.) assumes no liability for use, operation, or existence of the Licensee's
project; and
(b.) assumes no addi 'onal responsibilities or obligations related tot he
Licensee's firture or onal activities within the area described in Exhibit A
which are required by s Agreement.
9.2 The Licensee agrees to $idemnify and hold harmlessly the Ditch Company,its
directors, officer, agents, employees, and contractors, from all claims and liability for
damage or injury to property ofjpersons arising or caused directly or indirectly by the
Licensee's construction, restoration, maintenance or, failure to maintain, the project and
Licensee's occupancy and use of the land described in Exhibit A.
10. EASEMENT RIGHTS
The license granted to Licenseelherein in no way restricts the Ditch Company's right to
the historic use of its easement to construct, operate, or maintain all existing structures
and facilities of the Ditch company.
11. ASSIGNMENT
This Agreement will not be assigned or delegated except with the prior written consent of
the parties.
12. NOTICES
Any notice required or permitted by this Agreement will be in writing and will be
deemed to have been sufficiently given for all purposes if hand delivered at the following
addresses or sent by certified orj registered mail,postage and fees prepaid at the following
addresses. Said notice will be deemed to have been given when hand delivered or mailed.

13. EXHIBITS

for all purposes.
14. PARAGRAPH CAPTIONS
The captions of the paragraphs are set forth only for convenience and reference, and are
not intended in any way to define, limit or describe the scope or intent of this Agreement.
15. ADDITIONAL DOCUMENT'S OR ACTION
The parties agree to execute an$'additional documents and to take any additional action
necessary to carry out this Agriement.
16. INTEGRATION AND AMENDMENT
This Agreement represents the entire agreement between the parties and there are no oral
or collateral agreements or undfrstandings. This Agreement may be amended only by an
instrument in writing signed by pie parties.
17. DEFAULT
Time is of the essence, and if ary payment or any other condition, obligation or duty is not
timely made,tendered or performed by either party,then this Agreement, at the option of

the party who is not in default,play be terminated by the non-defaulting party, in which
case,the non-defaulting party y recover such damages as may be proper. If the non-
defaulting party elects to treat his Agreement for being in full force and effect,the non-
defaulting party will have the to an action of specific performance or damages, or

18. WAIVER OF BREACH I
The waiver by any party to thi Agreement of a breach of any term or provision of this
Agreement will not operate or e construed as a waiver of any subsequent breach by any

19. ATTORNEY'S FEES
If the Licensee breaches this ent,the Licensee will pay all of the Ditch company's
reasonable attorney's fees and sts incurred in enforcing this Agreement, whether or not
legal proceedings are institut .

20. BINDING EFFECT
This Agreement will inure to the benefit of, and be binding upon,the parties and their
respective legal representative$, successors, and assigns;provided,however,that nothing
in this paragraph will be co ed to permit the assignment of this Agreement except as
otherwise specifically authorized in this Agreement. This Agreement will be recorded at
the expense of the Licensee. I
21. GOVERNING LAW
This Agreement will be goven ed by the laws of Colorado.

22. COUNTERPARTS ! '
This Agreement may be executed in several counterparts'and, as so executed,will
constitute one Agreement,b' on all the parties even though all the parties have not

Amended and Restated Easement
This easement is entered into by BreakNeck Weld Properties, LLC and Vance Diggins,
effective on the first date signed below.
Whereas, on January 28, 1997, Abe Gettman conveyed to Robert Dean Whipkey, an
easement to run a 10 inch water pipe over the following property:
The North Half of the Northwest Quarter of Section Six, Township Three North, Range
68 West, of the 6th P.M., County of Weld, State of Colorado, and
Whereas, the easement was recorded in the offices of the Weld county Clerk and
Recorder on January 30, 1997, (See attached Exhibit A) and
Whereas, BreakNeck is the successor in interest to Gettman and Diggins is the successor
in interest to Whipkey, and
Whereas, the parties wish to relocate the water pipe currently lying in the easement.
Therefore, for good and valuable consideration, agreed by the parties to be fair and paid,
the parties agree as follows:
1. The location of the prior easement is hefby vacated.
2. The new location of easement is granted across the property legally described
on the attached exhibit B.
3. The parties agree to split to cost of relocating the water pipe to the new legal
description.
4. All other rights and obligations in the original easement are unaffected.
