HomeMy WebLinkAbout20070239.tiff RESOLUTION RE: APPROVE DITCH RELOCATION AGREEMENT FOR IMPROVEMENT PROJECT FOR WELD COUNTY ROADS 3 AND 1.5 AND AUTHORIZE CHAIR TO SIGN - ERIE COAL CREEK DITCH AND RESERVOIR COMPANY WHEREAS,the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS,the Board has been presented with a Ditch Relocation Agreement for the Improvement Project to Weld County Roads 3 and 1.5 between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Erie Coal Creek Ditch and Reservoir Company, commencing upon full execution, and ending December 31, 2007, with further terms and conditions being as stated in said agreement, and WHEREAS,after review,the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW,THEREFORE,BE IT RESOLVED by the Board of County Commissioners of Weld County,Colorado,that the Ditch Relocation Agreement for the Improvement Project to Weld County Roads 3 and 1.5 between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Erie Coal Creek Ditch and Reservoir Company be, and hereby is, approved. PARTIES. The parties to this Ditch Relocation Agreement ("Agreement") are ERIE COAL CREEK DITCH & RESERVOIR COMPANY ("Company"), a nonprofit incorporated ditch company and WELD COUNTY, Colorado (the "County"). The Company and County are jointly referred to as the Parties. 2. RECITALS. 2.1. County is planning to make improvements to Weld County Roads 3 and 1.5 on property, which is legally described in EXHIBIT A ("the Property"). The County either owns or has obtained the right to enter the Property for the purpose of improvements to Weld County Roads 3 and 1.5. The Company owns the Erie Coal Creek Ditch (the "Ditch"), an open surface ditch, and the Ditch's appurtenant operation and maintenance easement (hereinafter the "Easement"), a portion of which crosses the Property. 2.2. County desires to relocate a portion of the ditch, replace and extend pipe for Ditch crossing of Weld County Road 3 and other work to facilitate the improvements on the surface of the Property. COMPANY AGREES TO ALLOW COUNTY TO RELOCATE THE DITCH AND THE EASEMENT SUBJECT TO THE FOLLOWING TERMS AND CONDITIONS: 3. RELOCATION OF DITCH AND EASEMENT. County shall be allowed to relocate, pipe and cross the Ditch and Easement as follows: 3.1. County shall be responsible for the relocation of the Ditch and easement over the Property pursuant to the plans and specifications referenced in EXHIBIT B (the "Installation"). 3.2. County agrees that the construction of the Installation permitted hereunder shall proceed expeditiously and with reasonable diligence from the commencement of construction to its completion. County shall commence construction of the Installation no earlier than the date of the execution of this Agreement and shall complete the Installation no later than March 31, 2007. County shall not interfere with the flow of water in the Ditch. 3.3. County shall notify Company at least five (5) days prior to commencing the initial construction of the Installation. County shall notify Company at least ten (10) days prior to commencing any scheduled maintenance, replacement or repair of the Installation, except in the event of an emergency in which case the provisions of paragraph 7.3 shall control. 11111111111 3454078 02/08/2007 01:48P Weld County, CO 1 of 30 R 0.00 O 0.00 Steve Moreno Clerk& Recorder 2007-0239 3.4. Upon completion of the Installation, County shall notify the Company. Company shall preliminarily accept or reject the Installation no later than fifteen (15) days after notification of completion. Company shall issue a final acceptance or give notice of rejection on or before December 31, 2007 utilizing information derived from one season of running water. The Company may reject the Installation if it is not constructed or does not operate in conformance with the final plans and specifications included in EXHIBIT B. Company may give notice of a defect that causes the Installation not to operate in conformance with the final plans and specifications included in EXHIBIT B at any time within or without this period. Notice of final acceptance does not in any way affect the obligation of the County to maintain, repair and replace the Installation in conformity with the final plans and specifications included in EXHIBIT B. Company's acceptances or rejections of the Installation shall be in writing. If the Installation is rejected at any time, then Company shall specify the reasons for rejection and County shall correct the errors and the above processes shall repeat. 4. COMPENSATION. As compensation for allowing the relocation, extension of existing pipe and existing single crossing of the Ditch, County shall pay to Company $2,000 in cash or certified funds. 5. INSPECTION OF THE INSTALLATION. Company is permitted to inspect the Installation during construction up and through the date of the Company's acceptance of the Installation or during any maintenance, repair or replacement of the Installation. Company's right to inspect the construction, maintenance, repair or replacement of the Installation in no way relieves County of liability for improper construction, maintenance, repair or replacement. Company's inspection is solely for the benefit of Company and County may not rely on Company's inspection in any way. 6. CONVEYANCE OF EASEMENT, TITLE INSURANCE POLICY AND AS-BUILT SURVEY. 6.1. Upon completion of the Installation, County shall be responsible for obtaining the consent of any landowners necessary to sign and deliver to Company an easement deed for a permanent, non-exclusive easement on the Property. The form of the easement deed is attached as EXHIBIT C and agreement with the property owners to relocate the ditch is attached as EXHIBIT D. 7. MAINTENANCE OF THE INSTALLATION. 7.1. County specifically agrees and pledges to maintain, repair and replace the road crossing and any piped portion of the ditch within County road right- of-way in conformance with EXHIBIT B in perpetuity. The Company shall make a good faith effort to notify the County of any necessary maintenance, repair or replacement of the Installation. If the County fails to maintain, to repair or to replace any portion of the Installation specified in paragraph 7.1, after thirty (30) days notice from the Company, then Company may conduct its own maintenance, repair or replacement of the Installation. County shall reimburse Company for the reasonable cost of such work within thirty (30) days after being billed. If Company conducts its own maintenance, repair or replacement, then Company does not waive the right to hold County liable for damages caused by the County's failure to maintain, to repair and to replace the Installation. 7.3. In the event of an emergency, Company or County may conduct immediate maintenance, repair or replacement of the Installation but must give notice to the contacts identified in paragraph 13 as soon as possible. If Company conducts the emergency work, County shall reimburse Company for the cost of work conducted. In the event that the Company conducts its own maintenance, repair or replacement pursuant to this paragraph or paragraph 7.2, it shall not be responsible or held liable for damages to the Installation or surface improvements resulting from maintenance, repair or replacement of the Installation, unless such damages are the result of Company's negligence or willful misconduct. 7.4. Any additional work or improvements required by any governmental entity or otherwise required to be added to the Installation including, but not limited to, any latticing required pursuant to § 37-84-110 C.R.S. shall be done at the sole cost and expense of County, provided that Company shall review and approve such plans for any such work before it is constructed. Company's approval of such work shall not be unreasonably withheld. 8. LIQUIDATED DAMAGES. The Installation shall be constructed, maintained, repaired and replaced in such a manner so as not to interfere with the flow of water through the Installation to Company's shareholders. County shall be responsible for the carriage of water while the County constructs, maintains, repairs or replaces the Installation. 8.1. County shall pay as liquidated damages $500 per day for every day that Company cannot deliver water to its shareholders when at a time during the period April 1 to October 1 of any year Company cannot deliver water to a shareholder who has a right to the delivery of water, has a need for water, has requested the delivery of water and cannot be delivered water as a result of construction, maintenance, repair, replacement or failure to construct, maintain, repair or replace the Installation. 8.2. By the provision specified in paragraph 8.1, the Parties specifically intend to liquidate the damages that would likely occur as a result of County's construction, maintenance, repair or replacement or their failure to maintain, to repair, or to replace the Installation. The Parties agree that, as of the date of this Agreement, $500 per day in liquidated damages is a reasonable 1111111 11111 11111 111111 3454078 02/08/2007 01:48P Weld County, CO 3 of 30 R 0.00 D 0.00 Steve Moreno Clerk& Recorder estimate of the presumed actual damages. The Parties also agree that, as of the date of this Agreement, it is difficult for the Parties to ascertain the actual damages that would result from County's construction, maintenance, repair or replacement or their failure to maintain, to repair, or to replace the Installation. The Parties specifically pledge and admit that the liquidated damages provision conforms with the elements required by Colorado law. 8.3. Liquidated damages shall not apply to the initial test of the Installation following completion and the first 5 days that water will run in the ditch. In the event there are any problems with the flow of irrigation water through the Installation that cannot be completed within the 5 day test period, the County shall so notify the Company and if there are no shareholders in need of water and that have requested water and upon the agreement of the Company, such test period may be extended for a period not to exceed 3 days without liquidated damages. 9. PLANS AND SPECIFICATIONS. Company's review and approval of the plans and specifications for construction referred to in EXHIBIT B is solely for its own benefit and creates no benefit or right in any other party. By reviewing and approving plans and specifications, Company is not warranting that the Installation, if constructed in accordance with the final plans and specifications, will operate in accordance with the performance standards included in EXHIBIT B or comply with any applicable laws or safety standards. Company shall not be liable as a result of any defects in the plans and specifications. County and its consultants, by preparing any such documents, shall be solely responsible for the accuracy, completeness and all other aspects of the plans and specifications. 10. PERMITS AND LICENSES. It is not known whether County's construction, maintenance, repair or replacement of the Installation on the Property requires any local, state or federal permits or approvals. It is County's obligation to investigate and to determine the need for any such permits or approvals. Prior to beginning maintenance, construction, repair or replacement, County shall be responsible, at their own expense, for obtaining all applicable local, state and federal permits or approvals for constructing the Installation and for complying with all associated local, state and federal laws and regulations. 11. REIMBURSEMENT. 11.1. Engineering and Inspection Fees: County agrees to reimburse Company for all reasonable fees and costs incurred by Company in reviewing and approving the plans, specifications and performance standards and inspections including engineering fees and costs, inspection costs described in paragraph 5 and costs associated with billing and collecting the aforementioned amounts through the final acceptance date of the Installation within 30 days of billing. 1 1111111111 1111111111 tillIIII1111111111111111IIIItill 3454078 02/08/2007 01:48P Weld County, CO 4 of 30 R 0.00 D 0.00 Steve Moreno Clerk& Recorder 11.2. Legal Fees: County agrees to reimburse Company for all reasonable legal fees and costs incurred by Company in approving plans and specifications and inspections including costs associated with billing and collecting the aforementioned amounts through the final acceptance date of the Installation within 30 days of billing. 12. LIABILITY AND INDEMNIFICATION. 12.1. By virtue of entering into this Agreement, Company: a) assumes no liability for County's construction of the Installation and maintenance activities; and b) assumes no additional responsibilities or obligations related to future or additional activities on the Property described in EXHIBIT A that are allowed or required by this Agreement except for damages or injury caused by negligent or intentional acts of the Company. 12.2. To the extent allowable under Colorado law, County agrees to indemnify and to hold harmless Company (including its officers, directors, employees and agents) and its successors and assigns for any claims, demands, awards, judgments of any kind or nature, defense costs including reasonable attorneys' fees for damage or for injury to persons or property arising from or caused directly or indirectly by: a) County's construction, maintenance, repair and replacement of the Installation; b) County's occupancy and use of the area described in EXHIBIT A; and c) by County's failure to obtain permits or approvals or failure to comply with all applicable laws and regulations described in paragraph 10. The County does not waive or intend to waive the rights or protections guaranteed under the Colorado Government Immunity Act. 13. NOTICES. Any notice required or permitted by this Agreement shall be in writing. Notice shall be deemed to have been sufficiently given for all purposes when sent by certified or registered mail, postage and fees prepaid, addressed to the party at the address listed below; when delivered via overnight courier to the address below; or when hand-delivered to the party at the address listed below. RECORDATION AND BINDING EFFECT. This Agreement and the general warranty easement deed described in paragraph 6.1 shall be recorded in Weld County, Colorado at the cost of County. The obligations and benefits of this Agreement shall specifically run with the Property. This Agreement shall inure to the benefit of, and be binding upon, the Parties, and their respective legal representatives, successors, and assigns. The validity of this Agreement shall not be affected by the failure to record portions of the plans and specifications attached as EXHIBIT B which may not be recorded because of their size. 15. TIME OF THE ESSENCE. Time is of the essence in performing all obligations set forth herein. 16. WAIVER OF BREACH. The waiver by any party to this Agreement or a breach of any term or provision of this Agreement shall not operate as or be construed as a waiver of any subsequent breach by any party. 17. EXHIBITS. All exhibits referred to in this Agreement are, by reference, incorporated in this Agreement for all purposes. 18. SEVERABILITY. If any clause, sentence, term, condition, covenant and/or provision of this Agreement is ruled to be illegal, null or void by a court of competent jurisdiction, then the remaining portions of this Agreement shall remain in full force and effect. 19. CAPTIONS FOR CONVENIENCE. All headings and captions used herein are for convenience only and are of no meaning in the interpretation or effect of this Agreement. 20. MODIFICATIONS. This Agreement shall not be modified or amended except by a written instrument executed by the Parties. Cottonwood Extension Ditch) associated with proposed improvements to Weld County Roads 3 & 1.5. Due to the concerns listed below, we are not able to recommend that the Erie Coal Creek Ditch and Reservoir Company approve the ,construction plans at this time. Based on our review of the previous submittal and a review of the submittal dated May 3, 2006, the following concerns need to be addressed: • Erie Coal Creek Ditch—Road Crossing o Erosion protection should be provided at all the culvert outlets and be sized to meet the appropriate Urban Drainage and Flood Control District (UDFCD) standards. Erosion protection should extend downstream of the outlets and should 9 extend up the side slopes of the canal to the computed normal water surface elevation. Riprap shall be sized to prevent erosion of the canal. Riprap shall be placed on a layer of granular bedding, sized appropriately using UDFCD criteria. n o Pipe bedding details and backfill specifications were not included in the submittal. These must be submitted for review. • Erie Coal Creek Ditch—Relocation Plan o It appears that the radius of curvature for the proposed ditch bends does not meet CD UDFCD standards in section 4.1.6 Erosion Control in the Major Drainage chapter. - y Please include information supporting that you have conformed to these or similar C a standards. f O =o o Any portion of the relocated ditch will need a 2 foot thick clay liner extended 5 feet beyond the upstream and downstream disturbance. N o Specification for Clay liner should be a CL or CH material placed at 95% =-o o compaction with -1 +3 % moisture content.
