RE: APPROVE AGREEMENT FOR"YOUR TOWN WORKSHOP"GRANT AND AUTHORIZE
CHAIR TO SIGN - RESEARCH FOUNDATION OF STATE UNIVERSITY OF NEW YORK
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement for the "Your Town
Workshop" Grant between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, on behalf of the Department of Planning Services,and the
Research Foundation of the State University of New York, commencing January 1, 2007, and
ending December 31, 2007, with further terms and conditions being as stated in said agreement,
and
WHEREAS, after review, the Board deems it advisable to approve said contract, a copy of
which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado,that the Agreement for the"Your Town Workshop" between the County of Weld,
State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf
of the Department of Planning Services, and the Research Foundation of the State University of
New York be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 19th day of March, A.D., 2007.

RE: 'Your Town" Workshop Contract

In January of this year, Weld County was awarded a National Endowment for the Arts "Your
Town" grant for up to $22,000. The grant will assist in conducting the 'Your Town" Workshop on
May 17 — 19, where the County will sponsor speakers and facilitators who will lead participants
in a review of rural design challenges and solutions. This information and effort will assist in the
2007 Comprehensive Plan Update.
Attached are two copies of the contract between the National Endowment for the Arts and Weld
County, titled "Agreement between the Research Foundation of State University of New York
and Independent Contractor." Once executed, Weld County will receive $12,000 for immediate
use towards the workshop; the remaining $10,000 will be provided after the workshop.
Please schedule this item at the next available meeting of the County Commissioners. Planning
Staff and the County Attorney's Office have both reviewed the attached contract and
recommend approval by the Board.

THE RESEARCH FOUNDATION OF STATE UNIVERSITY OF NEW YORK
AND
INDEPENDENT CONTRACTOR

MADE by and between THE RESEARCH FOUNDATION OF STATE
UNIVERSITY OF NEW YORK, a nonprofit, educational corporation organized and
existing under the laws of the State of New York, with its principal offices located at State
University Plaza, Broadway, Albany, New York, 12246 (Mailing address: Post Office
Box 9, Albany, New York 12201-0009), hereinafter referred to as the "FOUNDATION,"
and Weld County Planning Services, 918 10th Street, Greeley, Colorado, 80631,
hereinafter referred to as "INDEPENDENT CONTRACTOR."
WITNESSETH:
WHEREAS, the National Endowment for the Arts ("NEA") and partners, have
developed and tested a training program designed to provide instruction and guidance to
residents of rural communities on the use of good design techniques to protect and
enhance their town and landscapes (hereafter referred to as the "Your Town Workshop" or
the "Workshop"); and
WHEREAS, the FOUNDATION and NEA have entered into a cooperative agreement
that provides the FOUNDATION with funding assistance in order to organize and
coordinate presentations of the Workshop during 2007;
WHEREAS, the FOUNDATION wishes to engage and retain the services of
INDEPENDENT CONTRACTOR to provide all of the services and facilities required to
coordinate, manage and present the Workshop for the benefit of persons Weld County
according to the curriculum, guidelines, and standards contained in Your Town Citizens'
Institute on Rural Design: Workshop Coordinator's Manual (hereafter referred to as the
"Coordinator's Manual" or the"Manual"); and
WHEREAS, INDEPENDENT CONTRACTOR has represented to the
FOUNDATION that INDEPENDENT CONTRACTOR is competent, willing and able to
perform such services for the FOUNDATION;

NOW,THEREFORE in consideration of the premises and the mutual covenants and
agreements contained herein it is mutually agreed by and between the respective parties as
follows:
1. Scope of Work
INDEPENDENT CONTRACTOR agrees to act as an independent contractor, and not
as an agent or employee of the FOUNDATION. INDEPENDENT CONTRACTOR shall
perform all of the services set forth in Exhibit "A" appended hereto and made a part
hereof and shall complete the services to the satisfaction of the FOUNDATION's
Principal Investigator, Richard Hawks.
2. Compensation
In full and complete consideration of INDEPENDENT CONTRACTOR's
performance hereunder, the FOUNDATION agrees to compensate INDEPENDENT
CONTRACTOR Twenty-two Thousand Dollars ($22,000.00).
3. Payments
A. The compensation authorized above will be paid according to the following
schedule:
i. Twelve Thousand Dollars ($12,000) following the execution of this
Agreement by both parties;
ii. Ten Thousand Dollars ($10,000) following FOUNDATION approval of the
Final Report.
B. The payment of the final installment of authorized compensation will be made
within forty-five (45) days following receipt by the FOUNDATION of an invoice,
provided that all services required to date have been completed in timely manner
and to the satisfaction of the Technical Representative of the FOUNDATION.
Each invoice must cite the Foundation Award Number(# 41113-1058561-1)
assigned to this Agreement. Invoices should be submitted to the Office of
Research Programs, Attn: William Nicholson, 200 Bray Hall, 1 Forestry Drive,
Syracuse, NY 13210.
4. Term and Termination
Unless sooner terminated as provided herein, this Agreement shall continue in full
force and effect from January 1, 2007 through December 31, 2007. It is
understood and agreed that the FOUNDATION may terminate this Agreement upon
written notice by registered mail addressed to INDEPENDENT CONTRACTOR at
the address indicated herein, or such other address as INDEPENDENT
CONTRACTOR may designate in writing, whenever the FOUNDATION determines,
in its discretion, that such termination would be in the best interests of the
FOUNDATION.
It is understood and agreed, however, in the event that FOUNDATION has evidence
that INDEPENDENT CONTRACTOR is in default upon any of its obligations
hereunder, FOUNDATION shall be entitled to either suspend the contract until an
acceptable remedy is established, or to terminate the agreement. Such termination
shall be effective immediately upon receipt of official written notification from
FOUNDATION. FOUNDATION shall also be entitled to pursue any rights or
remedies which FOUNDATION may have against INDEPENDENT
CONTRACTOR by reason of such default, and FOUNDATION may withhold any
payments to INDEPENDENT CONTRACTOR for the purpose of set-off until such
time as the exact amount of damages may be determined.
5. Rights in Work Product
INDEPENDENT CONTRACTOR agrees that material produced by
INDEPENDENT CONTRACTOR hereunder shall be considered "work for hire"
which shall be owned by FOUNDATION. INDEPENDENT CONTRACTOR agrees
that INDEPENDENT CONTRACTOR shall not claim or assert any proprietary
interest in any of the data or materials required to be produced or delivered by
INDEPENDENT CONTRACTOR in the performance of INDEPENDENT
CONTRACTOR's obligation hereunder, and hereby assigns all rights, title and interest
in said data and materials to FOUNDATION. INDEPENDENT CONTRACTOR
warrants any material produced by INDEPENDENT CONTRACTOR hereunder shall
be original except for such portion from copyrighted works as may be included with
the permission of the copyright owners thereof, that it shall contain no libelous or
unlawful statements or materials, and will not infringe upon any copyright, trademark,
patent, statutory or other proprietary rights of others, and that INDEPENDENT
CONTRACTOR will hold harmless the FOUNDATION from any costs, expenses and
damages resulting from any breach of this warranty. INDEPENDENT
CONTRACTOR further agrees not to publish, permit to be published, or distribute for
public consumption, any information, oral or written, concerning the results or
conclusions made pursuant to this Agreement without the prior written consent of the
FOUNDATION. Notwithstanding the foregoing, INDEPENDENT CONTRACTOR
will retain ownership of intellectual property included in deliverables to the extent that
said intellectual property has been independently developed by INDEPENDENT
CONTRACTOR without Research Foundation financial support. With respect to such
INDEPENDENT CONTRACTOR owned intellectual property, INDEPENDENT
CONTRACTOR hereby grants to Research Foundation a royalty-free, nonexclusive
license to use such intellectual property for purposes consistent with the Research
Foundation's obligations under the grant or contract which funds this project.
6. Assignment
It is understood and agreed that the services to be rendered by INDEPENDENT
CONTRACTOR are unique and that INDEPENDENT CONTRACTOR shall not assign,
transfer, contract or otherwise dispose of INDEPENDENT CONTRACTOR's rights or
duties hereunder, in whole or in part, to any other person, firm or corporation.
7. Status of Parties
The nature of the relationship which INDEPENDENT CONTRACTOR shall have to
the FOUNDATION pursuant to this Agreement shall be that of an independent contractor.
In connection with its status as an independent contractor, INDEPENDENT
CONTRACTOR hereby warrants that it is in compliance with all tax filing and similar
requirements imposed on independent contractors, and acknowledges that it is solely
responsible for paying income taxes, FICA taxes, and other taxes and assessments which
arise from receipt of consulting payments under this Agreement. This Agreement shall
not be construed to contain any authority either express or implied, enabling
INDEPENDENT CONTRACTOR to incur any expense or perform any act on behalf of
the FOUNDATION.
8. Representatives
A. Technical
Richard Hawks, Principal Investigator, Faculty of Landscape Architecture, State
University of New York College of Environmental Science and Forestry, is hereby
designated as the Technical Representative of the FOUNDATION, and is authorized
to exercise program direction, supervision and administration of the performance of
this Agreement on its behalf.
Shelley Mastran (703-318-0276), an independent contractor retained by the
FOUNDATION, will be responsible for coordinating the planning and execution of
the Workshop and providing liaison services between INDEPENDENT
CONTRACTOR and the FOUNDATION.
B. Administration
William Nicholson, Coordinator of Sponsored Programs, State University of New
York College of Environmental Science and Forestry, endorsing designee.
C. Independent Contractor
Brad Mueller, Long Range Planner, Weld County Planning Services, is hereby
designated as the Representative of INDEPENDENT CONTRACTOR, and is
authorized to exercise general direction, supervision and administration of the
performance of this Agreement on its behalf.
9. Entire Agreement
This Agreement represents the entire Agreement and understanding of the parties
hereto and no prior writings, conversations or representations of any nature shall be
deemed to vary the provisions hereof. This Agreement may not be amended in any way
except by a writing duly executed by both parties hereto.
10. Compliance with Laws and Regulations: General Obligations
a) In the performance of the work authorized pursuant to this agreement,
INDEPENDENT CONTRACTOR agrees to comply with all applicable laws and
regulations, as well as policies of the sponsor applicable to INDEPENDENT
CONTRACTOR's performance hereunder, and the express terms of FOUNDATION's
agreement with the sponsor, which shall be deemed to be inserted herein, and this
agreement shall be read and enforced between the parties as though all such provisions
were included verbatim herein.
b) INDEPENDENT CONTRACTOR acknowledges compliance with Executive Order
12549, as amended by Executive Order 12689, "Debarment and Suspension", and 48 CFR
9.406-409; and must provide certification in accordance with Exhibit B which is attached to
and made a part of this agreement. By executing this agreement, INDEPENDET
CONTRACTOR makes the required certification.
11. Liability to Third Parties
FOUNDATION hereby agrees to hold harmless, indemnify and defend INDEPENDENT
CONTRACTOR, its employees and officers, from any and all claims and liability, past,
present or future, for any injury or damage resulting from the acts or omissions of
FOUNDATION occurring in the course of the work to be performed by FOUNDATION
pursuant to this agreement. INDEPENDENT CONTRACTOR hereby voluntarily agrees to
hold harmless, indemnify and defend FOUNDATION, its employees and officers, from any
and all claims and liability, past, present or future, for any injury or damage resulting from
challenges to the acts or omissions of INDEPENDENT CONTRACTOR occurring in the
course of the work to be performed by INDEPENDENT CONTRACTOR pursuant to this
agreement.
12. Modifications
This agreement may be changed, amended, modified or extended only by a writing duly
executed by the respective parties hereto.
13. Order of Precedence
In the event of any inconsistency between clauses 1-13 of this Agreement, and the
attached Exhibit A, the inconsistency should be resolved by giving precedence to clauses
1-13.

Exhibit A
SCOPE OF WORK
Purpose
The purpose of this Agreement is to obtain the assistance of INDEPENDENT CONTRACTOR in
organizing and presenting the Your Town Workshop for participants and conducting an evaluation of
the presentation for use in preparing the final report to the FOUNDATION. The Workshop will be
presented at the Southwest Weld Service Center, 4209 County Road 24%z, Longmont, Colorado,
80504, beginning on May 17, 2007 and ending on May 19, 2007.
Services and Material to be Provided by INDEPENDENT CONTRACTOR
INDEPENDENT CONTRACTOR, working in close cooperation with the Technical Representative
of the FOUNDATION, agrees to provide all of the services and facilities required to organize and
present the Workshop according to the curriculum, guidelines and standards contained in the
Coordinator's Manual. The tasks to be completed by INDEPENDENT CONTRACTOR will include
the following:
A. Coordinator: INDEPENDENT CONTRACTOR, in consultation with the Technical
Representative of the FOUNDATION, will appoint a staff member or agent to serve as
Workshop Coordinator during the term of this Agreement. The Coordinator will have
overall responsibility for the presentation of the Workshop, including the responsibility
for selecting Workshop participants, recruiting faculty and speakers, preparing a
Notebook, obtaining suitable facilities, providing food service, travel arrangements and
other logistical services, organizing the presentation, conducting an evaluation and
preparing a report to the FOUNDATION.
B. Selecting Participants: The Coordinator will be responsible for assembling a group of 30
persons to participate in the Workshop. Participants will be recruited from a broad cross-
section of civic and business leaders and other decision makers from rural communities
within the region. The recruitment effort will be directed toward persons who are in a
position to exert a significant influence on design issues confronting their rural
communities or constituents. The recruitment process will involve the submission of
applications by interested persons, which will be processed and evaluated by
INDEPENDENT CONTRACTOR. The final selection of candidates will be made jointly
by the Coordinator and the FOUNDATION. INDEPENDENT CONTRACTOR will be
responsible for providing the overnight accommodations, meals, local travel during the
Workshop and training materials required for each person selected to participate in the
program. All such expenses will be paid for by INDEPENDENT CONTRACTOR from
the compensation authorized under Paragraph 2 of this Agreement.

C. Faculty and Speakers: Following the guidelines specified in the Manual, the Coordinator
will recruit persons qualified to present each section of the Workshop curriculum and
speakers to address the Workshop as part of the formal Workshop sessions or in
connection with other related special events. Persons representing various disciplines and
fields (i.e., planning, architecture, landscape architecture, economic development, zoning,
fund-raising and heritage tourism) should be included in the faculty. The Coordinator will
submit the proposed panel of Workshop speakers, faculty and resource persons to the
FOUNDATION liaison representative for prior approval. INDEPENDENT
CONTRACTOR will be responsible for contracting and paying for the services of all
faculty members and speakers and for providing for their overnight accommodations,
meals and travel expenses, if required.
D. Notebook: The Coordinator will be responsible for producing a Notebook suitable for use
by each Workshop participant. The Notebook will be developed on the basis of the
standards and specifications contained in the Manual. The Coordinator will prepare or
procure additional or revised written materials customized to reflect the unique issues and
concerns of rural development in the region and its contiguous areas. Following
FOUNDATION approval of the proposed text of the Notebook, INDEPENDENT
CONTRACTOR will print and bind sufficient copies for distribution to all Workshop
participants.
E. Facilities: The Coordinator will be responsible for securing all of the facilities and sites
required to manage and conduct the Workshop, including appropriate class-room and
meeting facilities for the formal sessions of the Workshop, facilities for special Workshop
events, overnight accommodations for participants, faculty and speakers and facilities for
administrative functions. INDEPENDENT CONTRACTOR will execute such
agreements as may be required to secure the use these facilities for the Workshop.
F. Workshop: The Workshop must provide training covering: (1) the role of design in
enhancing the quality of life and economic viability of rural areas; (2) design values and
techniques as they arise in both regional and site-specific development and conservation
issues; (3) techniques for the inventory and analysis of rural environments; and (4)ways
to empower local citizens. Hypothetical problems or case studies may be used during the
Workshop which focus on current problems facing the community where the Workshop is
being held. The representatives of NEA and the FOUNDATION will determine whether
or not the Workshop will use hypothetical problems or a case study methodology.
G. Overnight Accommodations, Subsistence & Logistical Services: INDEPENDENT
CONTRACTOR will be responsible for providing
(i) suitable overnight accommodations and subsistence for all Workshop
participants, faculty members and speakers;
(ii) local travel arrangements, including charter bus or other transportation
services for tours or special events;
(iii) audiovisual or other special equipment rentals; and
(iv) any other logistical services required for the execution of the Workshop
program
H. Workshop Coordination: During the Workshop, INDEPENDENT CONTRACTOR will
be responsible for coordinating all activities, introducing the participants, speakers and
presenters, and generally supervising and facilitating the execution of the schedule.
I. Evaluation: At the conclusion of the Workshop, the Coordinator will administer the
prescribed evaluation questionnaire and will preserve the responses received from
participants for use in preparing the final report.
J. Report: The Coordinator will prepare a final Report for the FOUNDATION on the
presentation of the Workshop. The Report will summarize all the work performed by
INDEPENDENT CONTRACTOR in planning and conducting the Workshop. It will
include an evaluation by INDEPENDENT CONTRACTOR and by the participants of the
successes and the failures encountered. It will conclude with INDEPENDENT
CONTRACTOR's recommendations for steps that can be taken by the FOUNDATION to
improve both the substantive and logistical aspects of the Workshop. INDEPENDENT
CONTRACTOR will submit its Report to the Technical Representative of the
FOUNDATION for acceptance no later than June 29, 2007.

CERTIFICATION REGARDING
DEBARMENT, SUSPENSION, AND OTHER RESPONSIBILITY MATTERS
- LOWER TIER TRANSACTION
PURPOSE
Federal regulations prohibit participants in federal non-procurement transactions from purchasing
goods and services from organizations excluded from participation in federal programs due to
debarment or suspension. These regulations are set forth in the May 26, 1988 Federal Register. The
Certification below must be returned to the Research Foundation office from which it originated.
The form requires you to certify that neither your firm nor principals of the firm are debarred or
suspended from participating in federal non-procurement transactions. In addition, although the
certification refers to "proposals,"the form must be signed without modification even when an order,
subcontract, or consulting agreement is not preceded by submission of a proposal. See reverse for
certification instructions.
CERTIFICATION
(1) The prospective lower tier participant certifies, by submission of this proposal, that neither
it nor its principals is presently debarred, suspended, proposed for debarment, declared
ineligible, or voluntarily excluded from participation in this transaction by any Federal
department or agency.
(2) Where the prospective lower tier participant is unable to certify to any of the statements in
this certification, such prospective participant shall attach an explanation to this proposal.

Instructions for Certification
1.By signing and submitting this proposal,the prospective lower tier participant is providing the certification set out on
the reverse.
2. The certification in this clause is a material representation of fact upon which reliance was placed when this transaction
was entered into. If it is later determined that the prospective lower tier participant knowingly rendered an erroneous
certification, in addition to other remedies available to the Federal Government,the department or agency with which this
transaction originated may pursue available remedies, including suspension and/or debarment.
3.The prospective lower tier participant shall provide immediate written notice to the person to which this proposal is
submitted if at any time the prospective lower tier participant learns that its certification was erroneous when submitted or
has become erroneous by reason of changed circumstances.
4.The terms "covered transaction,""debarred,""suspended,""ineligible,""lower tier covered transaction," "participant,"
"person,""primary covered transaction,""principal,""proposal,"and"voluntarily excluded,"as used in this clause,have
the meanings set out in the Definitions and Coverage sections of rules implementing Executive Order 12549. You may
contact the person to which this proposal is submitted for assistance in obtaining a copy of those regulations.
5.The prospective lower tier participant agrees by submitting this proposal that, should the proposed covered transaction
be entered into, it shall not knowingly enter into any lower tier covered transaction with a person who is debarred,
suspended, declared ineligible, or voluntarily excluded from participation in this covered transaction,unless authorized by
the department or agency with which this transaction originated.
6.The prospective lower tier participant further agrees by submitting this proposal that it will include this clause titled,
"Certification Regarding Debarment, Suspension,Ineligibility,and Voluntary Exclusion-- Lower Tier Covered
Transaction,"without modification, in all lower tier covered transactions and in all solicitations for lower tier covered
transactions.
7. A participant in a covered transaction may rely upon a certification of a prospective participant in a lower tier covered
transaction that it is not debarred, suspended, ineligible,or voluntarily excluded from the covered transaction, unless it
knows that the certification is erroneous. A participant may decide the method and frequency by which it determines the
eligibility of its principals. Each participant may,but is not required to check the Nonprocurement List.
S.Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render
in good faith the certification required by this clause. The knowledge and information of a participant is not required to
exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.
9. Except for transactions authorized under paragraph 5 of these instructions, if a participant in a covered transaction
knowingly enters into a lower tier covered transaction with a person who is suspended,debarred, ineligible,or voluntarily
excluded from participation in this transaction, in addition to other remedies available to the Federal Government,the
department or agency with which this transaction originated may pursue available remedies, including suspension and/or

I sent contract to the SUNY Research Foundation and their lawyers took a look and responded as follows:
Article 11: They accepted the indemnification language as revised.
Article 13: They couldn't accept the change in the Governing Law section, so they suggested removing the
clause, which is what I have done.
If this is acceptable on your end, we are all set. I will need two signed copies of the contract and two signed
copies of the certification, all of which you can send to me at:

Our County Attorney has requested changes to the indemnification and governing law sections of the agreement
(see attached), which very standard for local governments, because of government immunity laws.

Please find attached a copy of the contract for the Weld County Your Town Workshop. As we discussed, to
expedite the process, I am sending you an electronic version that you can print out, review, and sign. Please
review the contract carefully and let me know if you have any questions or concerns. If it looks good, please print
two (2) copies of the contract, and have both copies signed. Note that there are two places to sign —the
signature page (page 6)and the certification page (page 7).
Please send both copies of the contract plus the signed certification pages back to me:
