HomeMy WebLinkAbout20071048 RESOLUTION RE: APPROVE PURCHASE OF SERVICES AGREEMENT FOR REGIONAL EMERGENCY PREPAREDNESS PLANNING AND AUTHORIZE CHAIR TO SIGN WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Purchase of Services Agreement for Regional Emergency Preparedness Planning between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Department of Public Health and Environment,and the Colorado Department of Public Health and Environment, commencing April 1, 2007, and ending August 31, 2007, with further terms and conditions being as stated in said agreement, and WHEREAS,after review,the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Purchase of Services Agreement for Regional Emergency Preparedness Planning between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Department of Public Health and Environment, and the Colorado Department of Public Health and Environment be, and hereby is, approved. Some of the deliverables in the contract with the Colorado Department of Public Health and Environment(CDPHE) require Weld County Health Department to assist the Northeast Colorado Health Department and Northeast Health District in completion of emergency preparedness planning. This agreement outlines the terms under which Mike Burnett will conduct and complete all applicable emergency preparedness planning activities for these two agencies as required by the 2006-2007 Public Health Emergency Preparedness and Response contract. For his services, Mr. Burnett will be paid a sum not to exceed $17,600 for the time period April 1, 2007 through August 31, 2007. Weld County will be reimbursed for these funds by the CDPHE. Enc. 2007-1048 PURCHASE OF SERVICES AGREEMENT zt THIS AGREEMENT is made and entered into this /� —day of )1/Jr 1 2007 by and between the County of Weld, State of Colorado,by and through the Board of County Commissioners of Weld County,hereinafter referred to as"Weld County"on behalf of the Weld County Department of Public Health and Environment,hereinafter referred to as "Health Department," and Mike Burnett,hereinafter referred to as"Contractor,"or"Consultant." WITNESSETH WHEREAS, ,In order to fulfill a requirement of a contract with the Colorado Department of Public Health and Environment,Health Department must assist the Northeast Colorado Health Department and Northeast Health District in completion of emergency preparedness planning ("the EPR contract"); and WHEREAS,Health Department desires the technical expertise of a Regional Emergency Preparedness Planning Consultant to provide services to assist the Health Department in the completion of all needed emergency preparedness planning activities for the Northeast Colorado Health Department and the Northeast Health District;and WHEREAS,Contractor has such technical expertise and desires to enter into an agreement with Health Department to perform such services; and WHEREAS,the parties desire to reduce the terms of their agreement to writing. NOW THEREFORE, for and in consideration of the covenants, conditions, agreements, and stipulations hereinafter expressed, the parties do hereby agree as follows: AGREEMENT I. Term of Agreement. This Agreement shall be effective from April 1. 2007 through August 31,2007. 2. Compensation. In consideration of the services to be provided by Contractor as set forth hereinafter and described in Exhibit A,(which is attached hereto and made a part hereof), Health Department agrees to pay Contractor seventeen thousand, six hundred dollars ($17,600.00). This amount shall be the total amount payable to Contractor under this Agreement; no additional amounts shall be payable for Contractor's time, and expenses, which expenses shall include,but not limited to,mileage, per diem, hotel expenses office supplies,photocopies, postage,cellular phone expenses, income taxes, automobile insurance and other automobile expenses, intemet expenses and any other expenses incurred in the performance of this Agreement. 1 tae 7-/G 5/'P The Health Department shall pay Contractor according to the following schedule: April 1. 2007, $5,280 May 1,2007 $3,080 June 1,2007 $3,080 July 1, 2007 $3,080 August I, 2007 $3.080 3. Regional Preparedness Planning Services A. Contractor/Consultant Qualifications. Consultant represents that he possesses the requisite qualifications,knowledge and experience to timely and satisfactorily perform the professional services required under the terms and conditions of this Agreement. B. Regional Preparedness Planning Services to be Provided. Consultant shall perform all services set forth in Exhibit A which is attached to and hereby incorporated herein,and identified under the heading as Scope-of Work,and shall include, but may not be limited to,the following professional services: I. Provide consultation to Northeast Colorado Health Department, (hereinafter"NCHD")regarding EPR planning activities and projects; 2. Review and update NCHD PHEOP (including all attachments/annexes); 3. Provide consultation to NCHD's Emergency Preparedness and Implementation Committee(hereinafter"EPIC")regarding the development of a mass fatality annex, and draft a written version for adoption; 4. Produce copies of NCHD's updated PHEOP on CD and distribute to emergency managers and RETAC representatives within the Northeast Health District. 5. Assist with the creation and drafting of after action reports resulting from any drill/exercise or real incident occurring within the Northeast Health District. Post final AAR on COHAN within 45 days; 6. Document in AAR's that all exercise objectives are related to at least one DHS Target Capability. 7. Assist NCHD's EPIC team in documenting multi jurisdiction or large- scale outbreak investigations for which the incident command system is used. 8. Assist NCHD with recruiting volunteers for enrollment in the Colorado Public Health and Medical Volunteer Management System. 9. Work with regional planners on the development of a plan that outlines how public health professional personnel surge issues will be coordinated throughout the northeast region. Incorporate this plan as an attachment to the NCHD PHEOP. 10. Provide information to and work with regional planners to update the local NCHD information in the regional Strategic National Stockpile Plan. 11. Assist NCHD in the development(including writing an ExPlan and EvalPlan using HSEEP format),and execution of a drill that will allow NCHD staff to coordinate and set-up a POD site in Morgan County on July 20,2007. Post all documentation on COHAN. 12. Assist NCHD in the development(including writing an ExPlan and EvalPlan using HSEEP format), for other SNS related drills or exercises deemed necessary by NCHD's EPIC Team. Post all documentation on COHAN. 13. Work with law enforcement officials in the Northeast Health District on developing and writing a final transportation plan and protocols for the movement of SNS assets throughout the district. 14. Assist NCHD in the finalization of its revised POD plan(s). Draft plan into its final form for adoption based on comments received from CDPHE review. 15. Ensure that adequate documentation is maintained regarding the status and completion of items contained in this list of services as proof of technical assistance provided to NCHD. Maintain on PRS as necessary in both the NCHD and Regional Planner sections. 16. Work with NCHD's Public Information Officer and emergency management officials within the Northeast Health District on efforts regarding special population planning as described in the EPR contract. 17. Provide additional SNS information as requested of NCHD from CDPHE or CDC officials. 18. Document meetings with partnering agencies in the Northeast Health 3 District regarding CHEMPACK planning,responsibilities and coordination. 19. Document work with partner agencies within the Northeast Health District to coordinate health care preparedness planning, including partnerships with medical communities and emergency responders to ensure cooperative planning,information sharing and management coordination. 20. Participate in regional planner conference calls scheduled prior to August 31,2007. 21. Provide WCDPHE with any requested documentation related to work completed on any item listed above at any time,as appropriate and reasonable. 4. Parties Relationship. The parties to this Agreement intend that the relationship between them contemplated by this Agreement is that of independent entities working in mutual cooperation. No employee, agent,or servant of one party shall be or shall be deemed to be an employee,agent,or servant of another party to this Agreement. 5. Limitations-Liabilities-Indemnification. Neither party shall be responsible or liable for acts or omissions or failure to act by the other party. Accordingly, to the extent permitted by law,Health Department agrees to indemnify and hold Contractor harmless from any and all liability incurred by acts or omissions or failures to act by Health Department,and, likewise, Contractor agrees to indemnify and hold Health Department harmless from any and all liability incurred by acts or omissions or failures to act by Contractor. Because Health Department is a department of Weld County government, Contractor acknowledges that its agreement to indemnify and hold harmless Health Department extends to Weld County, its employees, agents, subcontractors, and assignees. The term "liability" includes, but is not limited to,any and all claims, damages, and court awards including costs, expenses,and attorney fees incurred as a result of any act or omission by the applicable party who acted or failed to act. Notwithstanding any provision contained herein to the contrary,Weld County does not waive any immunities to which it is entitled pursuant to law. 6. Non-Assignment. This Agreement shall not be assignable without prior written consent of Health Department or Contractor,whichever is the non-assigning party. 7. Termination. Either party may terminate this Agreement upon twenty(20)days written notice of its intent to so terminate,given to the other party. If this Agreement is so terminated,Health Department shall pay to Contractor that compensation owed to it on a pro rata basis for work performed prior to the date of termination, pursuant to the schedule of payments set forth in this Agreement. 4 8. Notices. Any notice provided for in this Agreement shall be in writing and shall he served by personal delivery or by certified mail,return receipt requested,postage prepaid, at the addresses set forth in this Agreement, until such time as written notice of a change is received from the party wishing to make a change of address. Any notice so mailed and any notice served by personal delivery shall be deemed to be delivered and effective upon receipt or upon attempted delivery. This method of notification will be used in all instances,except for emergency situations when immediate notification to the parties is required. Modification and Breach. This Agreement contains the entire Agreement and understanding between the parties to this Agreement and supersedes any other agreements concerning the subject matter of this transaction,whether oral or written. No modification,amendment, novation, renewal,or other alteration of or to this Agreement and the attached exhibits shall be deemed valid or of any force or effect whatsoever, unless mutually agreed upon in writing by the undersigned parties. No breach of any term,provision,or clause of this Agreement shall be deemed waived or excused, unless such waiver or consent shall be in writing and signed by the party claimed to have waived or consented. Any consent by any party hereto,or waiver of,a breach by any other party, whether express or implied,shall not constitute a consent to,waiver of.or excuse for any other different or subsequent breach. 10. Severability. 1f any term or condition of this Agreement shall be held to be invalid, illegal,or unenforceable,this Agreement shall be construed and enforced without such a provision, to the extent this Agreement is then capable of execution within the original intent of the parties. 11. Funding. No portion of this Agreement shall be deemed to create an obligation on the part of the County of Weld, State of Colorado,or Health Department to expend funds not otherwise appropriated during the term of this Agreement. 12. Records and Compliance with HIPAA. To the extent any laws or regulations concerning 5 the confidentiality of records, such as 42 U.S.C. section 1320d ("HIPAA"),45 C.F.R. Parts 160, 162 and 164 or any other such law or regulation are deemed to be applicable to any work conducted by Consultant under the terms and conditions of this Agreement, each party agrees to keep any and all such records and information confidential and to comply with all applicable laws and regulations concerning the handling and confidentiality of such records. 13. Inurement. This Agreement shall inure to the benefit of the heirs, assigns, and successors in interest of the parties hereto. 14. No Third Party Beneficiary Enforcement. It is expressly understood and agreed that enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties, and nothing contained in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall he deemed an incidental beneficiary only. This scope-of-work includes applicable items from the 2006-2007 Regional Planner Task List which is attached to the aforementioned contract. All activities will be carried for the direct benefit of the Northeast Colorado Heath Department (NCHD) and the Northeast Health District (Logan, Morgan, Phillips, Sedgwick, Washington and Yuma counties), and the activities outlined in the following scope-of-work have been structured so as to be competed between April 1, 2007 and August 31, 2007. All work will be coordinated with NCHD's Emergency Preparedness and Implementation Committee (EPIC) and with WCDPHE as necessary. Reporting regarding the status of completion of these items will be entered into the Colorado Preparedness Reporting System (PRS). Additional information will be provided to WCDPHE upon request.
