Home My WebLink About20073577.tiff • • AGREEMENT The Weld County Sheriffs Department. (Agency) and Touch Sonic Technologies, Inc. (TST) agree that TST will provide the TST Law Library System (System)to Agency in exchange for considerations as detailed below: SYSTEM: shall be leased to Agency by TST and includes: 1. Hardware a. TST Monitor/Terminal Units - One four unit Pod plus a single unit for a total of five (5) units. b. Server- One(1) c. Connecting cables 2. System operating software. 3. Publisher's legal data to be supplied by JuriSearch. 4. Quarterly updates of the publisher's data to be supplied by JuriSearch. 5. System monitoring, service and support. 6. Training of Agency staff at time of installation. 7. Tutorials explaining system operation. 8. Installation support at Agency's cost. 9. Units shall have the ability to print COST: Agency agrees to pay TST $1895.00per month. This payment will include the JuriSearch content payment. TERM: This agreement shall begin upon the date of the completion of installation of the system and termination on the anniversary date at the end of one year. RENEWAL: This agreement will automatically renew on the anniversary date of the agreement, unless cancelled by either party 30 days prior to that renewal date. Such renewals shall include an annual 3% increase in payments to TST. LOCATION: The system shall be at Weld County Jail. AGENCY AGREES TO PROVIDE: I. Staff to make the quarterly updates of publisher's data. TST will train Agency staff in this simple procedure. 2. SCE /glo7/o� ist 0 • INSTALLATION: A schedule for installation will be agreed upon by the parties. Each party agrees to be responsible for failure to perform on that agreed upon schedule. Agency agrees to provide maintenance personnel for the installation to assure that Agency policy and procedural requirements are adhered to. TST technical staff will perform a final installation and operating check and at that point turn the System over to Agency staff. Agency agrees to pay TST costs incurred at time of installation up to a maximum of$1200.00 in installation costs. SHIPPING: Prices are FOB TST designated location and shipping costs are paid by Agency. Shipping costs will not exceed $500.00 dollars. SYSTEM DAMAGE: Agency shall be responsible for damage to the system by Agency staff or inmates beyond reasonable wear and tear. SYSTEM REPAIR: TST will provide repair or replacement of System components within 72 hours on Monday through Thursday and within 96 hours on Friday through Sunday upon being advised by Agency of the System problem. TST will provide Agency with a toll free telephone number to report such problems. SYSTEM OWNERSIHP: Agency agrees that TST retains ownership of the System and will provide TST reasonable access to the System as allowed by Agency facility rules and regulations. Agency further agrees to return System, in good condition, to TST upon termination of this agreement.
