HomeMy WebLinkAbout20073692.tiff AGREEMENT FOR JAIL MEDICAL UNIT SERVICE THIS AMENDMENT,dated for reference purposes only,the 12th day of November,2007 is made and entered into by and between the Board of County Commissioners of the County of Weld, 915 Tenth Street, Greeley, Colorado 80631 (hereinafter "County"), and Correctional Healthcare Management, Inc., (hereinafter "Provider"). It is hereby attached to and shall become a part of the Agreement by and between County and Provider,which was executed January 1,2006. WITNESSETH WHEREAS,County and Provider entered into a Jail Medical Unit Service Agreement("Agreement")January 1,2006. WHEREAS,Provider desires the Agreement be renegotiated with the following changes, subject to the approval of County. NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, County and Provider agree to the following changes to the Agreement: 1. Adjust the medical staffing plan from 16.35 FTEs to 24.77 FTEs effective January 1,2008 through December 31,2008. 2. The monthly compensation payable to Provider in the amount of$112,914.00 is hereby adjusted to $203,025.00 for the period January I,2008 through December 31,2008. 3. The per inmate per day escalator/de-escalator in the amount of$1.49 per inmate per day is hereby adjusted to: if, in any calendar month, the ADP of the Facility exceeds 650 inmates, then Weld County will pay CHM a per diem of $2.62 per inmate per day on the difference between the monthly ADP and 650. If, in any calendar month the ADP of the Facility goes below 550 inmates, then CHM will reimburse Weld County a per diem of$2.62 per inmate per day on the difference between 550 and the monthly ADP. 4. CHM will assist Weld County with the purchase of all new equipment needed for the expansion of the facility. It is understood that Weld County will reimburse back to CHM the actual cost of all equipment. CHM will submit an invoice for the equipment to include a copy of all invoices paid for the procurement of said equipment. 5. The Agreement, as amended hereby, shall remain in full force and effect through December 31,2008. County and Provider have each caused this agreement to be executed by their duly authorized officers as of the date first written above. PRICE QUOTE INMATE MEDICAL SERVICES -WELD COUNTY NORTH JAIL COMPLEX JANUARY 1, 2008 TO DECEMBER 31, 2008- OPTION C For healthcare services rendered the period January 1, 2008 to December 31, 2008 at the Weld County North Jail Complex including 24.77 FTEs of professional and ancillary healthcare staff as illustrated on Proposal Staffing Matrix—2008- Option C, Maximum Liability CHM's maximum liability for actual costs paid associated with outside medical services shall be $75,000.00 per year. Actual costs paid is defined as the net cost actually paid by CHM less any discounts or other considerations negotiated independently between any outside medical service provider and CHM. Any expense incurred or to be incurred for medical and other healthcare services provided offsite (e.g. hospital, specialists, etc.), in excess of$75,000.00 per year will be the responsibility of Weld County. Should the actual costs of outside medical services stay under the $75,000.00 annual capitation, CHM will reimburse Weld County 100% of the difference. CHM will be responsible to insure that the costs of outside medical services are paid in accordance to Colorado Revised Statutes § 17-26-104.5(1.3). CHM will charge: The monthly price for a twelve (12) month contract is $203,025.00. Per Diem If, in any calendar month, the Average Daily Population (ADP) of the Facility exceeds 650 inmates, then Weld County will pay CHM a per diem of $2.62 per inmate per day on the difference between the monthly ADP and 650. If, in any calendar month, the ADP of the Facility goes below 550 inmates, then CHM will reimburse Weld County a per diem of$2.62 per inmate per day on the difference between 550 and the monthly ADP. This per diem is intended to cover additional costs in those instances where short-term changes in the inmate population result in the higher utilization of routine supplies and services. V staffing positions that might prove necessary if the inmate population grows significantly and if the population increase is sustained. In such cases, CHM reserves the right to negotiate for an increase to its staffing complement and its contract price in order to continue to provide services to the increased number of inmates and maintain the quality of care. These negotiations would be conducted with the County and with approval of the Board of Commissioners. Pharmaceuticals CHM will provide a total pharmaceutical system for the Facility. The company will be responsible for the costs of all drugs administered with the exception of psychotropic medications, and HIV and Hepatitis medications and testing. The cost of AZT or any other AIDS- and/or Hepatitis-related medications and testing will be limited to $5,000.00 per year for the entire inmate population. Should the cost of these medications and testing stay below $5,000.00 per year, CHM will reimburse Weld County 100%of the difference. FORCE MAJEURE CHM shall not be deemed in violation of any Agreement with Weld County if CHM is prevented from performing any of its obligations hereunder for any reason beyond its control, including, without limitation, strikes or labor disputes, inmate disturbances, lack of the Facility and/or Weld County's financial or physical resources, failure of the Facility and/or Weld County to provide proper security services, acts of God, acts of terrorism, civil or military authority, acts of public enemy, war, accidents, fires, explosions, earthquakes, floods, failure of transportation, or any similar cause beyond the reasonable control of one or both of the parties.
