HomeMy WebLinkAbout20071195 RESOLUTION RE: APPROVE LETTER OF AGREEMENT CONCERNING ADJUSTMENT TO COMMISSION FOR VENDING SALES AND AUTHORIZE CHAIR TO SIGN - COMPASS GROUP USA, INC., DBA CANTEEN VENDING SERVICES DIVISION WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Letter of Agreement Concerning an Adjustment to the Commission for Vending Sales between the County of Weld,State of Colorado, by and through the Board of County Commissioners of Weld County, and Compass Group USA, Inc., dba Canteen Vending Services Division, commencing April 10, 2007, with further terms and conditions being as stated in said Letter of Agreement, and WHEREAS,after review,the Board deems it advisable to approve said Letter of Agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado,that the Letter of Agreement Concerning an Adjustment to the Commission for Vending Sales between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, and Compass Group USA, Inc., dba Canteen Vending Services Division, be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said Letter of Agreement. The above and foregoing Resolution was, on motion duly made and seconded,adopted by the following vote on the 30th day of April, A.D., 2007, nunc pro tunc April 10, 2007. The recent installation of Canteen's new I-Vend Accounting System, which enables electronic transfer of data from the vending machine, will enhance the reporting of each transaction at the operating level. Canteen's leadership in the area of technology is just another example of progressiveness in a traditional manual industry. Effectively, our enhanced system will no longer be calculating commissions as a percentage of reported sales but rather as a dollar rate for each unit sold based off the current product-selling price. The new reporting system enables us to track and report to you, individual product sales by selling price. Effective April 10, 2007 client commission will be calculated and paid on a per unit basis off Net Vending Sales. Net Vending Sales are defined as the reported units sold multiplied by the Existing Unit Selling Prices(excluding cold food machine sales) less applicable sales taxes, returns and spoilage. Existing Unit Selling Price—Represents the Client's current sell price, as of April 10, 2007. The terms and conditions of this letter supersede any verbal or written product commission arrangements the Client may have with Canteen. All other verbal or written terms and conditions will not change and will remain effective. Our reputation is built upon the trust that you place in us every working day. As the premier vending company in the world, we strive to provide our clients with the highest quality branded products coupled with world-class service and the latest innovative vending equipment. Over the past year, the economy has experienced a considerable rise in distribution related costs. While Canteen makes every effort to offset operating costs increases with productivity gains and on-going change in retail pricing, we have been unable to successfully do so as a result of the alarming rate of increase currently being realized. Even though implementing a direct fuel charge has become standard practice by many corporations over the past year, Canteen has yet to follow suit. However, the significance of the distribution expense trends, along with on-going increases in direct and indirect operating expenses, necessitates the need for a surcharge. Accordingly, effective immediately, we will begin assessing a fuel surcharge for each service trip. The amount of this charge will appear on your Canteen commission check. The charge in no manner will affect the commission rate you are currently enjoying from the sale of Canteen vending products. This is a difficult situation that will be coptinually monitored and assessed. We appreciate your understanding of this sensitive matter.
