SNYDER OIL CORPORATION, a Delaware corporation, with an office
at 1625 Broadway, Suite 2200, Denver, Colorado 80202 ("Grantor") in
consideration of TEN DOLLARS ($10.00) and other valuable
consideration in hand paid, the receipt and sufficiency of which
are hereby acknowledged, hereby grants, sells and conveys to ANGC
CORPORATION, a Delaware corporation, with an office at 370 17th
Street, Suite 900, Denver, Colorado 80202 ("Grantee") , its
successors and assigns, the following described real property:

being more particularly described as follows:

and demand whatsoever of the Grantor, in and to the above described
Lands.
TO HAVE AND TO HOLD the Lands unto Grantee and its successors and
assigns. The Grantor hereby covenants and agrees to warrant and
forever defend, all and singular, title to the interests in the
Lands unto Grantee, against any person who lawfully claims the same
or any part thereof by, through or under Grantor, but not
otherwise, subject to the following exceptions: the reservation
contained in the Deed recorded in Book 833 at page 65; oil and gas
leases of record; the mineral reservation and right of first
refusal and option to purchase property reserved by Guttersen &
Company, a limited partnership, in the Warranty Deed dated October
1, 1992, recorded in Book 1353, Reception No. 2305644; and further
subject to any easements and rights-of-way of record.
This deed is further subject to the following terms and conditions:
1. bservancr of Laws. This Special Warranty Deed is
subject to all applicable laws, ordinances, rules and regulations
affecting the Lands, and Grantee shall comply with the same.
2. Subrogation. Grantor hereby gives and grants to Grantee,
its successors and assigns, to the extent so transferrable, full
