DEED OF DISTRIBUTION
THIS DEED is made on behalf of SLW Ranch Company,a previously dissolved Colorado
corporation,GRANTOR,to SLW Ranch Company,a currently existing Colorado corporation,
GRANTEE,whose legal address is%Stow L.Witwer,Jr.,822 7'h Street,Suite 760,Greeley,
CO 80631.
WHEREAS,the GRANTOR,hereinafter sometimes referred to as the"Dissolved
Corporation",was dissolved in 1943 according to the laws of Colorado then in effect;
WHEREAS,the board of directors of the Dissolved Corporation serving at the time of the
dissolution,through oversight, failed to convey to the shareholders then owning the capital stock
of the Dissolved Corporation certain real property,being the real property described below and
conveyed by this deed;
WHEREAS,all members of the board of directors serving at the time of the dissolution have
since died;
WHEREAS,Colorado Revised Statutes Title 38,Article 30,Section I71(3)(b)confers on the
Public Trustee of the County in which previously undistributed property of a dissolved
corporation is located full power and authority to act on behalf of and in the name of such
dissolved corporation after the death of the last surviving director;
WHEREAS,the previously undistributed and un-conveyed property of the Dissolved
Corporation is located in Weld County,Colorado and therefore the Public Trustee of Weld
County has such statutory power and authority to execute this deed;
WHEREAS,the GRANTEE currently has all of the right,title,and interest of the
shareholders of the Dissolved Corporation who owned all of the issued and outstanding capital
stock of the Dissolved Corporation at the time of its dissolution;
NOW THEREFORE,pursuant to the powers conferred upon the Public Trustee of Weld
County by the statute referred to above,said Public Trustee,on behalf of and in the name of the
Dissolved Corporation,hereby distributes and conveys unto GRANTEE the following described
real property situate in the County of Weld,State of Colorado:
All real property in Sections 10 and 11,Township 5 North, Range 64 West of the
6th P.M., Weld County,Colorado,with any and all improvements and
appurtenances thereto,including,without limitation,all oil,gas and other mineral
rights and the GRANTOR'S fractional rights in existing and future oil and gas
wells including those wells designated as Trebor B 10-10,Trebor B 10-11,Trebor
B 10-14,and Trebor B 10-15,and including all production attributable to the
GRANTOR'S interest in those wells from the time of first production.
