("St. Michael") 14062 Denver West Parkway, Suite 225 Golden, Colorado 80401 The undersigned, and each of us, certify and guarantee that we are the legal owners of, and hereby warrant the title to, our respective interests, as set out in Exhibit A to this Division Order, in the oil, gas, casinghead gas, condensate and all elements and compounds and gaseous or liquid constituents comprising the materials pro- duced from Bickling 31-22 lease or unit described as: Township 6 North, Range 65 West, 6th P. M. AS TO CODELL AND "J" SANDSTONE FORMATIONS Section 22: NE/4 Containing 160.00 acres, more or less which materials are hereinafter called "production." Effective 7 A.M. , first day of the first run ( April 3, , 1983 ) , and until further notice, you will credit all proceeds from production in the proportions set forth in Exhibit A to this Division Order, pursuant to the terms set forth herein. St. Michael, for itself and as agent for any other leasehold owners, is autho- rized until further written notice to receive production from the parties severally in the proportions named and to sell such production to the same purchasers to whom it sells its working interest production from said lease or unit, upon the following conditions: 1. All production received by St. Michael shall become the property of the purchasers to whom sold by St. Michael when delivered to such purchasers. 2. The price of all production received by St. Michael hereunder shall be the same price received by St. Michael at the well and is authorized to receive payment therefor. Proceeds of the sale of such production after deducting any gross production, severance, occupation or other tax thereon imposed by law, transportation costs and cost of compression, if necessary, shall be paid monthly by check mailed to each party at the address designated below. 3. The qualities and quantities of the production sold hereunder shall be determined and computed in accordance with the methods prescribed by the purchasers to whom production is delivered by St. Michael. 4. Each of the undersigned agrees that the above interest is his entire owner- ship in said production. In case of any questions, controversy or adverse claim of title or in case title shall not be satisfactory to you at any time during the term of this Division Order, each of the undersigned agrees to furnish complete abstracts of title and other evidence of title satisfactory to you and authorizes you to retain the purchase . price of the production, without obligation to pay interest on the amounts so withheld, until satisfactory indemnity shall be furnished you against such question, controversy, adverse claims or any defects in title, or until title shall be made satisfactory to you. In the event suit is filed in any court affecting title to production purchased hereunder, either before or after severance, the undersigned agree to indemnify and save you harm- less for any and all costs in connection with such action, including attorneys' fees; and further the undersigned agree to indemnify and save you harmless and any carrier transporting production for your account against any and all liability for loss, cost, damage and expense, including attorneys' fees, which you or the carrier may suffer or incur on account of receiving, transporting and paying us for production. 5. Should the production from the land described herein be commingled with production from one or more separately owned tracts of land, the commingled production sold hereunder shall be deemed to be the interest of the party signing in that portion of the total commingled production delivered which is allocated to the land described herein on the basis of the formula developed by the lessees or operators of the leases, or their assigns, covering the tracts of land involved and the data supplied pursuant thereto and you are authorized to use such information in making settlement hereunder. Lessees and operators will use the utmost good faith in developing such formula, but such judgment, in the absence of fraud, shall be conclusive on the party signing. For pricing purposes, regardless of the actual date of the flow from the separate tracts to the measuring facility, the formula developed by such parties shall be applied to the daily runs made by you from the measuring facility. 6. Should all or any part of the land described herein or the production obtained from any formation underlying the same, become a part of a unit, then, with respect to each Owner who shall have accepted and agreed to the terms of the unit agree- ment or who has had his interest therein pooled or unitized by governmental order, the portion of the unitized production allocated to such land or formation by the said agreement, order or amendments thereto shall be deemed for all purposes to be the amount actually run from such land. Should any sums be due or owing you from a working interest owner who signs this Division Order, you are authorized to withhold any sums payable to that work- ing interest owner under this Division Order and offset and apply those payable sums to the sums due or owing you, without liability for interest upon or damages due to any such good faith offset and application which proves to be in error. 8. This Division Order shall become valid and binding upon each and every owner named on Exhibit A as soon as signed by him regardless of whether or not any of the other named owners sign. 9. St. Michael shall not be bound by change of ownership of the production unless it is notified in writing thereof and is furnished with the original conveyance, or certified copy thereof, by which such ownership is transferred and it may, without liability, continue payments as set forth in this Division Order until it is furnished a written Transfer Order or Division Order. 10. Each of the undersigned hereby warrants and covenants to forever defend title to the oil and gas credited to such undersigned owner according to the division of interests herein as well as any interest hereafter acquired. In addition to any of the indemnifications elsewhere contained herein, should any undersigned owner's title fail or should reliance upon the division of interests set forth herein by St. Michael result in incorrect payment or overpayment to any owner, St. Michael shall, in addition to any other remedy afforded hereby, have the right at any such time and from time to time to deduct from future payment any such overpayment. Notwithstanding the provisions of any operating agreement to the contrary, those undersigned owners who are working interest owners, agree that should any oil and gas interest or lease or interest therein be lost through failure of title, such loss shall be deemed a joint loss for purposes hereof and any incorrect or overpayment occasioned or suffered thereby by St. Michael shall be reimbursed by the undersigned working interest owners in accordance with their respective interests.
