RE: APPROVAL OF ADDENDUM OF SANITARY LANDFILL CONTRACT BETWEEN
WELD COUNTY, COLORADO AND COLORADO LANDFILL, INC. AND
AUTHORIZATION FOR CHAIRMAN TO SIGN THE SAME.
WHEREAS, the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS, on June 6 , 1979, the Board of County Commissioners
and Colorado Landfill, Inc. entered into a Sanitary Landfill Con-
tract setting forth the terms under which Colorado Landfill, Inc.
would operate sanitary landfills in Weld County, Colorado, and
WHEREAS, the Board of County Commissioners and Colorado
Landfill, Inc. , desire to amend said Contract to provide that
the Eaton Landfill shall be closed no later than January 1, 1983
rather than January 1, 1981, and
WHEREAS, an Addendum to said Contract has been prepared
setting forth said amendment.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Com-
missioners of Weld County, Colorado that the Addendum to the
Sanitary Landfill Contract between Weld County, Colorado and
Colorado Landfill, Inc. be, and hereby is , approved.
BE IT FURTHER RESOLVED by the Board of County Commissioners
of Weld County, Colorado that the Chairman of the Board is hereby
authorized to sign said Addendum.
The above and foregoing Resolution was, on motion duly made
and seconded, adopted by the following vote on the 17th day of
December, A.D. , 1980.

ADDENDUM TO
SANITARY LANDFILL CONTRACT
THIS ADDENDUM is made and entered into this 17th day of
December, 1980 , by and between WELD COUNTY, COLORADO, herein-
after referred to as "County, " and COLORADO LANDFILL, INC. , a
Colorado corporation, hereinafter referred to as "Landfill . "
WITNESSETH:
WHEREAS, on June 6, 1979 , County and Landfill entered into
a Sanitary Landfill Contract setting forth the terms under which
Landfill would operate sanitary landfills in Weld County, Colo-
rado, and
WHEREAS, Paragraph 12 of said Agreement provides that Land-
fill shall close the Eaton Landfill not later than January 1,
1981 , and
WHEREAS, the parties hereto desire to amend said Contract
to provide that Eaton Landfill shall be closed no later than
January 1, 1983 provided that the County may require closure
prior to January 1 , 1983 with sixty (60) days prior written
notice.
NOW, THEREFORE, the parties hereto, in consideration of the
mutual promises and covenants contained herein, do hereby agree
that Paragraph 12 of the Sanitary Landfill Contract dated June 6 ,
1979 is hereby amended to read as follows :
"12. In cooperation with Weld County officials,
Landfill agrees that they will close the
dumps and landfills at Fort Lupton, Prospect
Valley, Windsor and Eaton in accordance with the
following proposed time frame, and simul-
taneously replace these sites with alterna-
tive types of transfer stations or landfill
sites. The proposed time frame for closure
of the Fort Lupton, Prospect Valley, Windsor
and Eaton sites is as follows:

Notwithstanding any other provision of this
Contract to the contrary, County may require
closure of the Eaton Landfill within sixty
(60) days of the date on which County gives
notice to Landfill that earlier closure of
said Landfill shall be required. Upon being
given such notice, Landfill shall immediately
commence closure operations and shall fully
accomplish said closure within said sixty (60)
days. "
IN WITNESS WHEREOF, the parties hereto have caused this
Addendum to be executed by their duly authorized officers .
