For$10.00 and other good and valuable consideration,the receipt and sufficiency of which are hereby acknowledged by Assignor, Assignor hereby transfers, grants, bargains, sells, conveys and assigns to Assignee the following (all of which are herein called the "Assets"): (A) All of Assignor's right,title, interest and obligations in,to and under the oil and gas leases described in Exhibit A attached hereto and incorporated herein (the "Leases"), INSOFAR AND ONLY INSOFAR as the Leases cover the land described in Exhibit A (the "Land"), together with all the property and rights incident thereto, including without limitation Assignor's rights in, to and under all operating agreements, pooling, communitization and unitization agreements, farmout agreements,joint venture agreements, product purchase and sale contracts,transportation,processing,treatment or gathering agreements, leases, permits, rights-of-way, surface interests easements, licenses, options, declarations, orders, contracts, and instruments in any way relating to Assignors interest in the Leases; (B) All of Assignor's right, title and interest in and to the wells (the "Wells") s m and locations (the "Locations") together with all of Assignor's interests in and to all of the personal property, fixtures, improvements and other property, whether real,personal or mixed, now or as of the Effective lime e on, appurtenant to or used or obtained by Assignor in connection with the 3 Leases, Land, or Wells or with the production, injection, treatment, sale or cum€6 disposal of hydrocarbons and all other substances produced therefrom or $ attributable thereto (collectively, the "Equipment"), including, without c limitation, the Equipment described on Exhibit "B" and all other well mom'-amm$g equipment, casing, tubing, tanks, generators, boilers, buildings, pumps, -ra a motors, machinery, pipelines, gathering systems, power lines, telephone =o= and telegraph lines, roads, and all other improvements or appurtenances moin thereunto belonging; Nom a (C) All of the oil and gas and associated hydrocarbons in and under or otherwise attributable to the Leases and Land or produced from the Wells from and after the Effective Time; (D) To the extent assignable, all governmental permits, licenses and authorizations, as well as any applications for the same, related to the Leases,Land, Wells and Locations or the use thereof;and (E) All of the files,records,and data of Assignor relating to the items described in subsections (A), (B), (C) and (D) above (the "Records"), including, without limitation, lease records, well records, and division order records; well files and prospect files; title records (including abstracts of title, title opinions and memoranda, and title curative documents related to the Leases, the Land, and the Wells) and environmental reports; contracts and contract files; correspondence; computer software and data files; micro- fiche data files; geological and geophysical records, interpretations, data, maps, drawings, plans, surveys and information; production records, electric logs, core data, pressure data, decline curves and graphical production curves; and accounting records, to the extent only that the Records can be transferred without violation of any third-party restriction and are not protected by Assignor's attorney-client privilege. The Records do not include any appraisals or other evaluation materials related to Assignor's preparation of the Assets for sale hereunder nor any of Assignor's income tax returns or files related thereto, subject to Assignors right to retain copies thereof. To have and to hold the Assets unto Assignee and its successors and assigns, forever. Each of the parties named herein as Assignor for itself and its successors and assigns, represents, warrants and agrees to and with Assignee, and its successors and assigns,that Assignor has title to the Assets to the extent of the Land shown in Exhibit A attached hereto and to the extent of the Net Revenue Interests described on Exhibit"A" and to the extent of the Working Interests in the Wells described in Exhibit B attached hereto,in each event free and clear of all liens,encumbrances,burdens and defects of title arising by, through or under Assignor but not otherwise, subject only to agreements of record or otherwise provided or disclosed in writing to Assignee;and each of said parties does likewise covenant with Assignee and its successors and assigns to warrant and 2 forever defend the title of Assignee and its successors and assigns to the Assets against all persons claiming an interest therein by,through or under Assignor. Except as otherwise provided in the Purchase and Sale Agreement between Assignor and Assignee referred to below, this Assignment is accepted subject to, and Assignee releases Assignor from and assumes and agrees to perform, all liabilities and obligations,or alleged or threatened liabilities and obligations,arising under or relating to the Assets including but not limited to any and all obligations (i) to pay and deliver royalties, overriding royalties, and other burdens on production, or any ad valorem, severance or other taxes levied upon the Wells, Leases or Land or the production therefrom or the equipment or property thereon, and (ii) arising out of all laws and governmental regulations or orders relating to the Assets including,but not limited to,the lawful plugging and abandonment of the Wells and the restoration of the surface of the Land, whether or not any of the foregoing liabilities and obligations, or alleged or threatened liabilities and obligations,are caused by Assignor's negligence and whether or not such liabilities and obligations, or alleged or threatened liabilities and obligations, arise during the period prior to, during, or after, or in connection with, Assignor's ownership or operation of the Assets. Assignor also hereby grants and transfers to Assignee, its successors and assigns, to the extent so transferable, the benefit of and the right to enforce the covenants and warranties, if any, which Assignor is entitled to enforce with respect to the Assets against Assignor's predecessors in title to the Interests. Except as expressly provide for herein, or in the Purchase and Sale Agreement referenced below,with respect to the Assets conveyed herein, ASSIGNOR EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY NATURE, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES AS TO MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, IT BEING UNDERSTOOD THAT THE ASSETS ARE BEING CONVEYED ON AN "AS IS, WHERE IS"BASIS. This Assignment is made subject to the Purchase and Sale Agreement dated May 4, 2007, between Assignor and Assignee, the provisions of which are incorporated herein and survive the execution and delivery hereof in accordance with their terms. The references herein to liens, encumbrances, burdens, defects and other matters are for the purpose of defining the nature and extent of Assignor's warranty and shall not be deemed to ratify or create any rights in third parties. Unless provided otherwise,all recording references in Exhibit A are to the official real property records of the county in which the Land is located. Separate counterparts of this Assignment may be executed for filing with government agencies to satisfy applicable statutory and regulatory requirements. Those counterparts shall be deemed to contain all of the exceptions, reservations, warranties, rights,titles,power and privileges set forth herein as fully as though they were set forth in each such counterpart. The interests conveyed by such separate counterparts are the same,and not in addition to, the Assets conveyed herein. This Assignment shall bind and inure to the benefit of Assignor and Assignee and their respective successors and assigns.
