RE: APPROVE FORM OF WELD COUNTY CLERK AND RECORDER AGREEMENT FOR
ELECTIONS DIVISION FACILITY USAGE
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with the Form of the Weld County Clerk and
Recorder Agreement for Elections Division Facility Usage, which will be between the County of
Weld, State of Colorado, by and through the Board of County Commissioners of Weld County and
various entities and corporations, with terms and conditions being as stated in the form of said
agreement, and
WHEREAS, after review, the Board deems it advisable to approve the form of said
agreement, a copy of which is attached hereto and incorporated herein by reference, and to
delegate standing authority to the Weld County Clerk and Recorder, or his appointed designees,
to execute said individual agreements with eligible entities and corporations on behalf of the County
of Weld, by and through its Board of County Commissioners.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the form of the Weld County Clerk and Recorder Agreement for Elections
Division Facility Usage between the County of Weld, State of Colorado, by and through the Board
of County Commissioners of Weld County, and various entities be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Weld County Clerk and Recorder, or
his appointed designees, be, and hereby are, authorized to sign any agreements consistent with
the form of said agreement.

WELD COUNTY CLERK AND RECORDER
Elections Division Facility Usage Agreement
THIS AGREEMENT is made this 2nd day of July, 2007, by and between the Weld County Clerk
and Recorder Election Division, whose address is 1401 N. 17th Avenue, Greeley, CO 80631, hereinafter
referred to as "Election Division," and whose address is
hereinafter referred to as"Facility Provider."
WITNESSETI I:
WHEREAS, Election Division is responsible for conducting elections in Weld County, Colorado,
including the upcoming coordinated election on November 6, 2007 ("Election Day"), and
WHEREAS, Election Division is in need of a facility to use as a voting center in the course of
conducting said election in the area where Facility Provider's building is located, and
WEIEREAS, Facility Provider owns or leases a building located at
which is ADA accessible, has handicap parking, and has room, atrium,
or lobby space available ("Available Room") for use by Election Division as a voting center in the course
of conducting said election, and
WHEREAS, use of Available Room will include the use of tables, chairs, and bathroom facilities,
Web-access (either through an existing network or the ability for Weld County to install a Ti line to the
building), and access to a phone line for calling out, and
WHEREAS, by and through this Agreement, Facility Provider agrees to allow Election Division to
use the Available Room as a voting center during the hours of 6:00 a.m. to 9:00 p.m. on Election Day, on
the Friday through Monday immediately preceding Election Day for setup, and on the Wednesday
immediately following Election Day for equipment pickup, according to the terms and conditions stated
herein.
NOW, THEREFORE, in consideration of the mutual promises, terms and conditions set forth
herein, Facility Provider hereby agrees to allow Election Division to use the Available Room as a voting
center during the hours of 6:00 a.m. to 9:00 p.m. on Election Day, on the Friday through Monday
immediately preceding Election Day for setup, and on the Wednesday immediately following Election Day
for equipment pickup, according to the following terms and conditions:
1. TERM: This Agreement is for Election Day and the stated days before and after, only, but may be
renewed under the same terns and conditions set forth herein by letter agreement signed by both
of the parties for subsequent elections, if desired.
2. RENT: If Applicable use of the Available Room during the term of this Agreement is
which shall be due and payable on receipt of bill from Facility Provider.

3. ELECTION DIVISION AGREES:
a. To keep the Available Room clean and neat as used on Election Day.
b. To ensure that the voting center activities conducted in the Available Room during
Election Day proceeds in an orderly fashion and does not unreasonably interfere with
Facility Provider's operations.
c. To pay to Facility Provider the room rent agreed to above, if any, on or prior to Election
Day.
d. To provide Facility Provider with proof of adequate insurance to cover liability incurred
during and in the course of voting center activities conducted in the Available Room
during Election Day.
4. FACILITY PROVIDER AGREES:
a. To provide to Election Division the use of the Available Room for Election Day and the
stated days before and after without unreasonable interference.
b. To provide to Election Division the use of tables, chairs, and bathroom facilities, Web-
access (either through an existing network or the ability for Weld County to install a T1
line to the building), and access to a phone line for calling out.
c. Use restrictions:
5. MISCELLANEOUS PROVISIONS.
a. It is expressly understood and agreed that the enforcement of the terms and conditions of
this Agreement, and all rights of action relating to such enforcement, shall be strictly
reserved to the undersigned parties and nothing in this Agreement shall give or allow any
claim or right of action whatsoever by any other person not included in this Agreement. It
is the express intention of the undersigned parties that any entity other than the
undersigned parties receiving services or benefits under this Agreement shall be an
incidental beneficiary only.
b. This Agreement contains the entire Agreement and understanding between the parties to
this Agreement and supersedes any other agreements concerning the subject matter of this
transaction, whether oral or written.

The Weld County Election Department would like to request the use of your facility as A Vote
Center for the following elections:
COORDINATED ELECTION -- TUESDAY,NOVEMBER 6, 2007
Coordinated Election — access to the facility is needed the Friday before Election Day starts to
set up and test our equipment. Election Day is November 6, 2007, from 6:00AM - 9:00PM. The
equipment will be picked up on Wednesday, November 7, 2007.

Thanks Rudy. As we discussed, we will list the Resolution approving the Form documents and authorizing Steve
Moreno or his appointed designees to sign, as well as listing the Sr. Vrain Valley School District Contracts, on
Monday, July 9, 2007, so someone from C&R will need to attend the meeting. As long as C&R continues using
the approved form, you should be able to have them signed and just send a Memorandum to the Clerk to the
Board listing who entered into the agreement for that particular year, which will be listed on the Agenda as
Communications. If you have any questions, please let me know.
