RE: APPROVE AMENDMENT TO BYLAWS - WELD COUNTY EXTENSION ADVISORY
COUNCIL
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS,by Resolution dated September 17, 1979,the Board ratified the Bylaws for the
Weld County Extension Advisory Council, and
WHEREAS,the Board has been presented with an Amendment to said Bylaws forthe Weld
County Extension Advisory Council and
WHEREAS, after review, the Board deems it advisable to amend said bylaws, a copy of
said amended Bylaws being attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado,that the Bylaws forthe Weld County Extension Advisory Council be,and hereby
are, approved as amended.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 12th day of March, A.D., 2007.

BY-LAWS OF THE
WELD COUNTY EXTENSION ADVISORY COUNCIL
Article I
NAME
The name of the organization shall be: Weld County Extension Advisory Council.
Article II
PURPOSES AND OBJECTIVES
Section 1 —Serve as a review body to counsel, advise, and deliberate with the
Extension staff regarding the Extension program efforts.
Section 2 - Provide input into evaluation, planning and implementing Extension
programs.
a. Provide an annual review of on-going Extension Programs to
determine if priority exists for programs to be (a) continued as is, (b)
continued with increased/decreased emphasis or(c) to be phased out.
b. Provide input for potential new programs based on problems, needs or
services required as identified by organizations, commodity groups,
and etc.
Section 3 - Serve as an informal link in the public relations process of communicating
Extension role to the people of the County.
a. Present information about on-going Extension programs to the
different public.
b. To obtain feed back from the public to assist in determining
programs.
Section 4 - To assist in obtaining the resources necessary to carry out program requests
in an effective manner.
Section 5 —To provide an environment that will serve to stimulate professionalism of the
Extension Agent.
Article III
MEETINGS
Section 1 —The council will meet at least ten(10) times per year.

Section 2—Special meetings may be called by the officers.
Section 3 —The meetings will be announced and open to all who are interested in
Extension activities. These will be non-voting members.
Section 4—The council shall meet with and report to all other Extension Advisory
groups, councils, community groups and other as designated by the council, at least once
a year (October). This meeting shall be open to any individual interested in the County
Extension program.
Section 5 —Each meeting of the council will be attended by the County Extension
Director.
Section 6—The annual meeting will be held in January of each year.
Article IV
MEMEBERSHIP
Section 1 —The membership of the council shall consist of no less than seven (7)
members and not more than fourteen (14)members representing areas of focus specified
by Colorado State University. A minimum of two (2) members will be recommended, in
each of the areas of focus, by Extension Agents in cooperation with respective advisory
and/or commodity groups and requested to serve by the County Extension Director with
agreement of the council and approval of the Board of Commissioners of Weld County.
In addition, the Weld County Commissioner appointed as liaison to the Council will be a
member of the Council.
Section 2—The council members shall serve for three-year terms. The initial
membership will be divided into one, two, and three year terms and thereafter, appointed
for three-year terms. New terms will begin immediately after the annual meeting. No
member will serve over two consecutive three-year terms.
Section 3 —The Weld County Extension staff will serve as ex-officio members.
Section 4—Resource people may be invited to participate in any meetings at the request
of the council, but will not have a vote.
Section 5 —In case a member resigns by written notice, move from the County, or any
other reason, this member will be replaced within two months by appointment in
accordance with Section 1, Article IV.
Section 6—Each member of the council shall be entitled to one vote and must vote in
person.
Section 7—A simple majority of the appointed members must be present to constitute a
quorum.
Section 8 —Membership is open to all, irrespective of race, color, sex, or national origin.
Article V
OFFICERS
Section 1 —The offices of this council shall be Chairman and Chairman Elect.
Section 2 —The Chairman and Chairman Elect shall be elected each year at the annual
meeting.
Section 3 —The Chairman or Chairman Elect shall preside at all meetings of the council.
Article VI
AMENDMENTS
Section 1 —The By-laws may be amended at any meeting by a vote of one-half(1/2) of
the members present. To amend By-laws, notice of the proposed amendment must be
given to the members at lease 14 days prior to the meeting.
Section 2 —The amended by laws agreed to by the council must be approved by the
Board of Commissioners of Weld County.
Article VII
CONDUCT OF MEETINGS
Section 1 —All meetings shall be conducted in accord with Roberts Rules of Order.
March 1988, as amended November 1988 and October 2006.

Vicki - I was speaking with Fred Petersen about his recent conversation with you concerning the pending changes
in the by-laws of the Cooperative Extension Advisory Council. I went back into my archives and am resending the
file from last September requesting consideration/action by the commissioners and county attorney. When I sent
this to Fred last week(Tuesday, 1/30/07) I apparently mistyped his name and he didn't get it (my apologies).
Accordingly, I'm sending directly to you and copying him (pursuant to his and my phone conversation just a few
minutes ago). If you have any difficulty opening the attached, please let me know so we don't delay this process

Fred -This is a copy of the email to Vickie from last September. I received confirmation of receipt from her at
11:37 am (also the morning of 9/25/06). As I mentioned to Vickie, there is a copy of the red-line draft(sometimes
easier to see what we are proposing to change) and a copy with all changes accepted (cleaner copy to read for
context). Please let me know if you need additional information. As mentioned earlier, I'd like to accompany you
to a work session if one is desired by the Commissioners.
I'll be out for a bit this morning, but back before noon; I think for the rest of the day at North Weld Landfill

The attached files contain the proposed changes ('red-line draft"to easier see the changes and "with changes
accepted") to the by-laws of the Weld County Extension Advisory Council. As documented in the minutes of our
meeting on September 21, 2006, these changes were ratified with 100% participation of the current standing
board. Commissioner Masden is our current commissioner-liaison to the council; however, he was unable to
make the meeting last week. In respect to him, I would ask that you run this proposal by him before starting the
"official"track through the County Attorney office and back to the Commissioners, as a whole. If anyone has any
questions on the proposed changes, please invite them to call me directly. Thank you for your assistance. wjh.
