RE: APPROVE CONTRACTAMENDMENT#1 FOR DECREASING DIABETES DISPARITIES
IN WELD COUNTY PROJECT AND AUTHORIZE CHAIR TO SIGN
WHEREAS,the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS,the Board has been presented with Contract Amendment#1 for the Decreasing
Diabetes Disparities in Weld County Project between the County of Weld,State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Weld County
Department of Public Health and Environment, and the Colorado Department of Public Health and
Environment, commencing July 1, 2007, and ending June 30, 2008, with further terms and
conditions being as stated in said contract amendment, and
WHEREAS,after review,the Board deems it advisable to approve said contract amendment,
a copy of which is attached hereto and incorporated herein by reference.
NOW,THEREFORE,BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that Contract Amendment#1 for the Decreasing Diabetes Disparities in Weld
County Project between the County of Weld, State of Colorado,by and through the Board of County
Commissioners of Weld County, on behalf of the Weld County Department of Public Health and
Environment, and the Colorado Department of Public Health and Environment be, and hereby is,
approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said contract amendment.

SUBJECT: Contract Amendment#1 for the
Decreasing Diabetes Disparities In Weld
County Project
Enclosed for Board review and approval is Contract Amendment#1 between the Colorado
Department of Public Health and Environment and Weld County for the Health Disparities
Grant, Decreasing Diabetes in Weld County project. This amendment renews the contract for
one additional year commencing on July 1, 2007 and continuing through June 30, 2008 with
funding in the amount of$141,502 which is all attributable to the State of Colorado.
This amendment will fund diabetes awareness, education, screening and case management
services for the underserved, uninsured and underinsured residents in Weld County. The Staff
for this project includes a 1.0 FTE community diabetes specialist who coordinates the program
and a .75 FTE bilingual diabetes educator to work with the Hispanic community.

This Amendment is made this 25TH day of APRIL,2007,by and between the State of Colorado,for the use and
benefit of the DEPARTMENT OF PUBLIC HEALTH AND ENVIRONMENT, whose address or principal
place of business is 4300 Cherry Creek Drive South, Denver,Colorado 80246,hereinafter referred to as"the
State"; and, Board of County Commissioners of Weld County, for the use and benefit of the Weld County
Department of Public Health and Environment whose address or principal place of business is 1555 North 171h
Street,Greeley,CO 80631, hereinafter referred to as"the Contractor".
FACTUAL RECITALS
Authority exists in the Law and Funds have been budgeted, appropriated,and otherwise made available and a
sufficient unencumbered balance thereof remains available for payment; and
Required approval, clearance, and coordination has been accomplished from and with all appropriate agencies; and
The parties entered into a contract dated May 19,2006, for the Decreasing Diabetes Disparities in Weld County
project.The purpose for this amendment is described below.
The State desires to renew the original contract for an additional one year,award additional funding,and modify the
reporting and payment provisions;and
The State desires to update the Special Provisions of the original Contract. There are two new State of Colorado
laws regarding illegal aliens. House Bill 06-1343 (Article 17.5 of Title 8 of the Colorado Revised Statutes), "Illegal
Aliens- Public Contracts for Services",became applicable to state contracts on August 7,2006. House Bill
06S-1023 (Article 76.5 of Title 24 of the Colorado Revised Statutes), "Restrictions on Public Benefits", became
applicable to state contracts on August I, 2006. The definition of"public benefits" includes state contracts and
grants. This new Special Provision is entitled, "Illegal Aliens- Public Contracts for Services" and is to be included
in all contractual agreements.
NOW THEREFORE, it is hereby agreed that
1. Consideration for this Amendment to the original contract, contract encumbrance number PO
FAA ADM0700090,contract routing number 07 FAA 00090, dated May 19, 2006 consists of the
payments which shall be made pursuant to this Amendment,and the promises and agreements
herein set forth.
2. It is agreed the Original Contract is,and shall be, modified, altered, and changed in the following
respects only:
A. The Contract is renewed for an additional one(1)year period commencing on July 1,
2007,through and including June 30, 2008.

B. In consideration for the Contractor's timely and satisfactory completion of the work
required under the Original Contract,during the renewal term,the"not to exceed
amount" in the Original Contract is hereby increased by One Hundred Forty One
Thousand Five Hundred and Two dollars($141,502.00)for an amended total financial
obligation of the State of Three Hundred and One Thousand Eight Hundred and Fifteen
dollars,($301,815.001. The revised specifications to the original Scope of Work and
revised Budget, for this renewal term are incorporated herein by this reference and
identified as"Attachment A". All other terms and conditions of the Original Contract
are reaffirmed.
C. It is expressly agreed to by the parties that the original contract is, and shall be, modified,
altered,and changed in the following respects only:
1. Section 1 of Exhibit A, Additional Provisions, of the original contract reads:
To be considered for payment, billings for payments pursuant to this Contract must be
received within a reasonable time after the period for which payment is requested;but
in no event no later than sixty(60)calendar days after the relevant performance
period has passed. Final billings under this Contract must be received by the State
within a reasonable time after the expiration or termination of this Contract; but in no
event no later than sixty(60)calendar days from the effective expiration or
termination date of this Contract.
2. Section 1 is hereby modified to read:
To be considered for payment, billings for payments pursuant to this Contract must be

in no event no later than thirty(30)calendar days after the relevant performance
period has passed. Final billings under this Contract must be received by the State
within a reasonable time after the expiration or termination of this Contract; but in no

termination date of this Contract.
3. Exhibit A, Additional Provisions,of the original contract by adding#4 with the
following language:
To receive payment against this cost reimbursement contract,proof of expenditure is
required. The following forms of documentation for each category must be submitted
with the cost reimbursement statement:
a. Personnel Expenses:
Copy of timesheet, which includes employee's name,title and amount or
Documentation listing the employee's name,title,and amount
b.Travel:
If mileage/mileage rate are broken out on budget narrative,then a mileage
reimbursement form or documentation which includes name of traveler, #of
miles, mileage rate, amount and destination or if budget narrative is not specific
or detailed,then documentation showing the name of traveler,cost of travel and
destination

Funding levels within the Budget, attached to this contract, may be modified as
follows:
a. Up to ten percent(10%) of the funds originally set forth in each budget
category(e.g., Personnel Expenses, Travel, Contractual/Subcontracts,
Supplies, Equipment, and Facility Renovations) may be transferred to other
budget categories with prior approval by the Contract Monitor.
b. The Contractor must provide written justification to the Contract Monitor
prior to any anticipated budget changes.
D. The Special Provisions of the Original Contract are hereby deleted in their entirety and
the new Special Provisions substituted in their place; incorporated herein by reference
and identified as Attachment B.
3. The effective date of this Amendment is July 1,2007, or upon approval by the State Controller, whichever
is later.
4. Except for the "Special Provisions," in the event of any conflict, inconsistency, variance, or contradiction
between the provisions of this amendment and any of the provisions of the original contract, the provisions
of this amendment shall in all respects supersede,govern,and control, The "Special Provisions" shall
always be controlling over other provisions in the contract or amendments. The representations in the
Special Provisions concerning the absence of bribery or corrupt influences and personal interest of State
employees are presently reaffirmed.
5. FINANCIAL OBLIGATIONS OF THE STATE PAYABLE AFTER THE CURRENT FISCAL YEAR
ARE CONTINGENT UPON FUNDS FOR THAT PURPOSE BEING APPROPRIATED, BUDGETED,
AND OTHERWISE MADE AVAILABLE.

Weld County Department of Public Health and Environment
Budget Narrative
Personnel: This grant funds one full-time Community Diabetes Specialist and a part-
time Diabetes Health Educator (.75 FTE). The Community Diabetes Specialist is
responsible for managing the grant, arranging the contracts with a certified aerobics
instructor, implementing the chart review system in the Electronic Medical Record
System, and organizing the health care provider Cultural Competency trainings. The bi-
lingual/bicultural Diabetes Health Educator would have the primary responsibilities for
the health education in the home (platicas), the Dining with Diabetes classes in Spanish
in the schools, coordinating physical fitness activities, and referrals to the diabetes self-
management classes.
Travel Expenses: The county rate for mileage in 2007 is 46.5 cents a mile. This is
about 650 miles a month. The travel rate was changed effective January 1, 2007 when
the county's mileage reimbursement rate was increased from .425 to .465 per mile. The
monthly mileage allotment was reduced from 700 miles to 650 miles per month after
reviewing mileage averages from the grant's previous year.
Itemized Contractual and Sub-Contracts: The certified Zumba fitness instructor will
facilitate a group exercise class which uses Latin dancing as its premises. The class will
meet for one evening a week for 2 months. Class participants will consist of people who
have attended a platica, a Diabetes self-management class or a Dining with Diabetes
class, with at least 20 regular participants. We will encourage class participants to
continuing teaching the class within their neighborhood communities after our contract
with the Zumba instructor expires. This is the only group exercise class taught
completely in Spanish within Weld County, as well as, the only class that utilizes Latin
dance as its foundation. Funding is also included to contract with a bilingual Certified
Diabetes Educator (CDE) to teach the diabetes self-management classes. The Cultural
Competency contract will allow the Diabetes Disparities Project to continue to build
upon previous Cultural Competency Trainings and expand to reach additional community
groups and agencies, as well as, facilitate collaborative opportunities throughout the
county to sustain our efforts to establish a cultural competency coalition. Additionally,
the Health Department currently uses grant funds for a half-hour Health Talk show on
Saturdays at 1 p.m. on the Spanish language radio station. The station has converted to
FM which has a wide signal and reaches many listeners. This grant includes funding to
continue the programming, as well as pay bilingual diabetes educators to do several
programs each year.
Itemized Supplies: This category includes the gift cards used as incentives for the
hostesses in the health education in the home (platicas) to invite their family and friends
and provide healthy snacks. Also included are notebooks and materials for Dining with
Diabetes (25 persons per class x 4 classes each series x 8 series per year), printing, office
supplies, and meeting expenses.

SPECIAL PROVISIONS
The Special Provisions apply to all contracts except where noted in italics.
I. CONTROLLER'S APPROVAL CRS 24-30-202(I). This contract shall not be deemed valid until it has been approved by the Colorado State
Controller or designee.
2. FUND AVAILABILITY. CRS 24-30-202(5.5). Financial obligations of the State payable after the current fiscal year are contingent upon funds
for that purpose being appropriated,budgeted,and otherwise made available.
3. INDEMNIFICATION. Contractor shall indemnify, save, and hold harmless the State, its employees and agents, against any and all claims,
damages, liability and court awards including costs, expenses, and attorney fees and related costs. incurred as a result of any act or omission by
Contractor,or its employees,agents,subcontractors,or assignees pursuant to the terms of this contract.
/Applicable Only to Intergovernmental Contracts/No term or condition of this contract shall be construed or interpreted as a waiver, express or
implied,of any of the immunities,rights,benefits,protection,or other provisions,of the Colorado Governmental Immunity Act,CRS 24-10-101 et seq.,
or the Federal Ton Claims Act,28 U.S.C.2671 et seq.,as applicable,as now or hereafter amended.
4. INDEPENDENT CONTRACTOR 4 CCR 801-2. Contractor shall perform its duties hereunder as an independent contractor and not as an
employee. Neither contractor nor any agent or employee of contractor shall be or shall be deemed to be an agent or employee of the state. Contractor
shall pay when due all required employment taxes and income taxes and local head taxes on any monies paid by the state pursuant to this contract.
Contractor acknowledges that contractor and its employees are not entitled to unemployment insurance benefits unless contractor or a third party
provides such coverage and that the state does not pay for or otherwise provide such coverage. Contractor shall have no authonzation, express or
implied,to bind the state to any agreement,liability or understanding,except as expressly set forth herein. Contractor shall provide and keep in force
workers'compensation(and provide proof of such insurance when requested by the state)and unemployment compensation insurance in the amounts
required by law and shall be solely responsible for its acts and those of its employees and agents.
5. NON-DISCRIMINATION_ Contractor agrees to comply with the letter and the spirit of all applicable State and federal laws respecting
discrimination and unfair employment practices.
6. CHOICE OF LAW. The laws of the State of Colorado,and rules and regulations issued pursuant thereto,shall be applied in the interpretation,
execution, and enforcement of this contract. Any provision of this contract, whether or not incorporated herein by reference, which provides for
arbitration by any extra-judicial body or person or which is otherwise in conflict with said laws,rules,and regulations shall be considered null and void.
Nothing contained in any provision incorporated herein by reference which purports to negate this or any other special provision in whole or in pan shall
be valid or enforceable or available in any action at law,whether by way of complaint,defense,or otherwise. Any provision rendered null and void by
the operation of this provision will not invalidate the remainder of this contract, to the extent that this contract is capable of execution. At all times
during the performance of this contract,Contractor shall strictly adhere to all applicable federal and State laws,rules,and regulations that have been or
may hereafter be established.
7. [Not Applicable to Intergovernmental Contracts] VENDOR OFFSET. CRS 24-30-202(1)and 24-30-202.4. The State Controller may withhold
payment of certain debts owed to State agencies under the vendor offset intercept system for (a)unpaid child support debt or child support arrearages,
(b)unpaid balances of tax,accrued interest,or other charges specified in Article 21,Title 39,CRS; (c)unpaid loans due to the Student Loan Division of
the Department of Higher Education: (d)amounts required to be paid to the Unemployment Compensation Fund;and(e)other unpaid debts owing to
the State or its agencies,as a result of final agency determination or reduced to judgment,as certified by the State Controller.
8. SOFTWARE PIRACY PROHIBITION. Governor's Executive Order D 002 00 No State or other public funds payable under this contract
shall be used for the acquisition, operation, or maintenance of computer software in violation of federal copyright laws or applicable licensing
restrictions. Contractor hereby certifies that,for the term of this contract and any extensions,Contractor has in place appropriate systems and controls to
prevent such improper use of public funds. If the State determines that Contractor is in violation of this paragraph,the State may exercise any remedy
available at law or equity or under this contract,including,without limitation, immediate termination of this contract and any remedy consistent with
federal copyright laws or applicable licensing restrictions.
9. EMPLOYEE FINANCIAL INTEREST. CRS 24-18-201 and 24-50-507. The signatories awer that to their knowledge,no employee of the State
has any personal or beneficial interest whatsoever in the service or property described in this contract.
10. [Not Applicable to Intergovernmental Contracts]. ILLEGAL ALIENS - PUBLIC CONTRACTS FOR
SERVICES AND RESTRICTIONS ON PUBLIC BENEFITS. CRS 8-17.5-101 and 24-76.5-101. Contractor
certifies that it shall comply with the provisions of CRS 8-17.5-101 et seq. Contractor shall not knowingly employ
or contract with an illegal alien to perform work under this contract or enter into a contract with a subcontractor
that fails to certify to Contractor that the subcontractor shall not knowingly employ or contract with an illegal alien
to perform work under this contract. Contractor represents, warrants, and agrees that it (i) has verified that it
does not employ any illegal aliens, through participation in the Basic Pilot Employment Verification Program
administered by the Social Security Administration and Department of Homeland Security, and (ii) otherwise shall
comply with the requirements of CRS 8-17.5-102(2)(b). Contractor shall comply with all reasonable requests
made in the course of an investigation under CRS 8-17.5-102 by the Colorado Department of Labor and
Employment. Failure to comply with any requirement of this provision or CRS 8-17.5-101 et seq., shall be cause
for termination for breach and Contractor shall be liable for actual and consequential damages.
Contractor, if a natural person eighteen (18)years of age or older, hereby swears or affirms under penalty of perjury
that he or she (i) is a citizen or otherwise lawfully present in the United States pursuant to federal law, (ii) shall
comply with the provisions of CRS 24-76.5-101 et seq., and (iii) shall produce one form of identification required by
CRS 24-76.5-103 prior to the effective date of this contract.
