AFFIDAVIT OF SURFACE AND MINERAL OWNERSHIP
I, Stow L. Witwer, Jr., being first duly sworn upon my oath, depose and say as
follows:
(1) I am the president of SLW Ranch Company, a Colorado corporation
("SLW").
(2) SLW owns the surface of that part of the Northwest Quarter of Section 11,
Township 5 North, Range 64 West of the 6th P.M. which is subject to the Application for Special
Use Permit.
(3) Insofar as is known to the undersigned, and without a complete mineral title
examination, I believe that SLW Ranch Company owns 100% of the minerals underlying such
parcel, subject to an Oil and Gas Lease, presently held by Noble Energy Corporation as operator.
(4) Such Oil and Gas Lease does not permit oil and gas operations on the surface
of the land upon which the residence is to be constructed and, in fact, I believe that no further
surface operations are permitted, except in a dryland area, without the express written permission
of SLW Ranch Company.

Notwithstanding anything to the contrary herein contained, Lessee shall not
conduct any drilling or any other operationson irrigated land encompassed
within the fences surroundiigthe residential buildings, barns, garages, and
sheds without the express written consent of Lessor.
Notwithstanding anything to the contrary contained in this lease, its
term will not commence until July 8, 1981. nor will this lease be effective
until such date. However. if any recorded oil and gas lease valid and sub-
sisting as of the date of this lease and covering the lands described herein
shall be extended beyond its primary term through any of the provisions
contained therein, including but not limited to production, drilling opera-
tions, or reworking operations, then and in such case the term of this lease
will not commence nor will it become effective until immediately following
the termination of the existing oil and gas lease, provided, however, that
if the existing lease shall be extended for a period exceeding eight months
from the date set forth in the first sentence of this paragraph by reason
of the application of any of the provisions of the said lease terms, then
and in such event this lease shall be null and void.

DATE OF LEASE: April 16, 1981
Lands covered by this Lease are situated in Weld County, Colorado, and
are more particularly described on Exhibit "A".
The following provisions shall constitute an Amendment to the above-
referenced Lease and when in conflict with said Lease, the provisions
of this Exhibit shall control.
(a) Unless Lessor has actual knowledge of a title defect, Lessor
shall have no obligation to defend the title to the lands herein described
and shall not be liable for any damages resulting therefrom.
(b) Notwithstanding the broad language of the Lease, the operations
of Lessee shall be limited to those .notnally related to exploration, drilling
and production operations. There shall be no mining operations.
(c): Lessee shall .be liable for all general and special damages
caused by operations hereunder including, but not limited to, damages
to tangible- and intangible personal property, real property, crops, fences,
livestock, irrigation Wells, pumps, sprinklers and other equipment. Lessee
shall have no right:-to use any gas, oil or water unless produced by Lessee.
(d) Lessor shall have the privilege at its own risk and expense
of using "gaa: frow any; gas well on said land for all home purposes in the
existing dwellidgs.located on the leased premises by making its ownconnections
thereto.
