Date. For purposes of identification, the date of this Agreement is January 30th, 2007. The effective date of this Agreement is the date of signing by the party signing last. 2. Parties. The parties to this Agreement are the Seller and the Purchaser. The "Seller" means Russell L. Gurtler, Jr., Family Trust, and Dorthy K. Gurtler Trust, whose address is 7538 CR 49, Hudson, Colorado 80642. The "Purchaser" means SemCrude, L.P., a Delaware limited partnership, whose address is 11501 S-I44 Service Road, Oklahoma City, Oklahoma 73173. 3. Property. In this Agreement, the "Property" means, collectively, the Land, the Improvements, the Easements and Ownership Rights, the Air and Subsurface Rights, the Personal Property, and the Intangible Property. The "Improvements" means the buildings, structures, driveways and all other improvements on, in, under, across, or over the Land. The "Easements and Ownership Rights" means all easements, rights-of-way, tenements, hereditaments, appurtenances, licenses and privileges belonging to, benefiting, or in any way pertaining to the Land,. The "Air and Subsurface Rights" means all air, subsurface, water (if applicable), reversionary rights, excluding all oil, gas and other minerals, relating to the Land. The "Intangible Property" means all other rights owned by Seller and transferable without consent of third parties appurtenant to the operation of the Land and Improvements, including the right to all architectural and engineering drawings, contract rights and agreements, use, occupancy and business licenses, utility contracts, warranties, and guarantees. The "Land" means the parcels of land described as follows: The South%of the Southeast 1/4 of Section 24,Township 3 North,Range 65 West of the 6th P.M.,County of Weld,State of Colorado encompassing approximately 80 acres 4. Purchase Price and Pa ent. The total price for the urchase of the Property (the "Purchase Price") is . Seller has agreed to accept from Purchase on owar a pure ase o the Property, the terms and conditions of which are set forth in this Agreement. That, in connection with the Option, the Purchaser shall deposit the "Deposit") which shall being held by the Escrow Agent in an escrow account or app 'cation to the Purchase Price upon the closing of the transaction. If the sale is closed as contemplated under this Agreement, the Deposit will be paid by the Escrow Agent to Seller on the Closing Date and credited against the Purchase Price. If the sale is not closed for any reason, disposition of the Deposit is governed by other provisions of this Agreement. The "Escrow Agent" means LandAmerica Financial Group, Inc., National Commercial Services, 7251 W. 20th Street, Bldg. L, Suite 100, Greeley, Colorado 80634. Since LandAmerica Financial Group, Inc. is also serving as the title insurer in connection with this transaction, LandAmerica will be referred to as the "Escrow Agent" or the "Title Company" as appropriate to the context. In consideration of the purchase of the Property, the option price deposit o the "Deposit"), the receipt and sufficiency of which is acknowled ed Seller grants to Purchaser the exclusive option to purchase the Property. of the Deposit is non-refundable to Purchaser in the event Purchaser elects not to exercise this option, except in the following cases during the option period: (a) Seller's breach of this Option Agreement, (b) damage or loss to all or any part of the Property, (c) commencement or threat of condemnation proceedings or eminent domain proceedings where so much of the Property will be taken as to make the Property unsuitable for Purchaser's purposes (in Purchaser's discretion), or (d) Purchaser is unable to ascertain from federal, state, and/or local governmental authorities and jurisdictions, necessary permits, licenses, and approvals to utilize the Property for Purchaser's purposes (in Purchaser's discretion). 6. Option Period. The option period is six (6) months measured from the date of this Agreement, including the date of this Agreement and including the last day of the six-month option period. The option period expires at midnight on the last day of the six-month option period. However, the option period will be extended by Seller to Purchaser for up to an additional six (6) months if necessary to allow Purchaser the needed time to acquire necessary permits, licenses and approvals as stated in paragraph 5 (d)above. 7. Survey. During the option period,Purchaser may obtain from a registered Colorado land surveyor of Purchaser's choosing a current ALTA stake survey of the Land and Improvements certified to Seller, Purchaser, and LandAmerica Financial Group, Inc. (the Title Company under the Purchase Agreement, attached as Exhibit A). The parties agree that the resulting surveyed legal descriptions of the Land will thereafter be used between the parties in all documents pertaining to the Land. 8. Delivery of Information and Access to Property. Seller will deliver to Purchaser, within fifteen(15)days after the date of this Agreement, copies of any and all existing drawings, surveys, title insurance commitments, title insurance policies, site plans, blueprints, soil reports, engineering studies, environmental reports, analytical data, soil, groundwater and surface water sample results, consent orders, judgments or decrees. corrective action plans, interim measure plans, progress repdris, work plans, remedial investigations, feasibility*studies, due care plans and any other written reports, documents, deliverables or information relating to the Property which are in Seller's possession or under Seller's control. Since Purchaser's receipt from Seller of copies of this information must precede Purchaser's due diligence investigations, the length of the option period will be extended by one (1) day for each one (1) day of delay(after the 15 day delivery period) in Seller's delivery of the information. During the option period, Purchaser and its agents and consultants have the right to enter upon the Property at any time for the purpose of performing surveys, engineering studies, soil tests, groundwater and surface water sampling, inspections, investigations, and any other tests or studies which Purchaser may deem necessary or desirable. Purchaser has the right to conduct site reconnaissance, database searches, and interviews, as Purchaser deems necessary or appropriate, including any activities specified m current and future American Society for Testing and Materials standards (E-1527 and E-1903) and any activities to fulfill the "All Appropriate Inquiry Standard" as defined in 40 CFR Part 312. Purchaser shall have the right to contact and interview governmental agencies regarding the Page 2 of 4 environmental conditions of the Property. Purchaser's inspections, investigations and tests of the Property may include, without limitation, soil and groundwater samples, environmental assessments, engineering studies, inspection of Improvements, verification of availability and location of utilities and pipelines, verification of zoning classification, setback requirements and sign ordinances, title examination, surveys,availability of financing,arrangements for financing, an entity to serve as Purchaser by assignment, and all other tests, inspections and investigations that Purchaser deems necessary or desirable. 9. Commissions and Fees. With regard to the Property, each party is liable for any contract entered into by that party for payment of real estate brokerage commissions, realtor's commissions, finder's fees, consultant's fees and the like, and each party holds the other party harmless from the payment of such commissions,fees,and the like. 10. Risk of Loss. Except as provided in the "Delivery of Information and Access to Property" paragraph above, Seller bears all risk of damages, claims, causes of action, liability or loss (including, but not limited, to personal injury, property damages and natural resources damages) with respect to the Property during the option period. Seller will preserve, maintain and protect the Property in its present condition unless otherwise agreed to in writing by Purchaser. In the event of damage or loss to all or any part of the Property during the option period, or in the event condemnation proceedings or eminent domain proceedings are commenced or threatened and so much of the Property will be taken as to make the Property unsuitable for Purchaser's purposes (in Purchaser's discretion), Purchaser may, at Purchaser's option, terminate this Agreement and this Agreement thereafter will be null and void from the beginning and all of the option price (both the refundable and nonrefundable portions) will be returned to Purchaser. 11. Other Transfers. Seller agrees that during the period of this Option Agreement, Seller will not sell, convey, lease, contract to sell, convey, or lease, mortgage, encumber, assign or otherwise dispose of the Property (or contract to dispose of the Property), nor will Seller perform any act or omission to diminish or encumber title to the Property. 12. Exercise of Option and Purchase. Purchaser may exercise Purchaser's option to purchase the Property at any time during the Option Period by giving written notice to Seller that Purchaser elects to purchase the Property upon the terms and conditions stated herein. The parties acknowledge and agree that the purchase terms and conditions has been negotiated between them, and if Purchaser exercises Purchaser's purchase option, the sale and purchase of the Property will be closed within thirty(30) days of notice by Purchaser to Seller of its desire to exercise such option. 13. Closing. Payment of Purchase Price. The "Closing" means the face-to-face meeting or other procedure by which the parties consummate the transaction contemplated by this Purchase Agreement. The "Closing Date" means the date upon which the Closing occurs, and the parties agree that the Closing Date will be scheduled at their mutual convenience as soon as practical after Seller receives written notice pursuant to Section 10 of this Agreement. On the Closing Date, Purchaser will pay the Purchase Price (as adjusted) to Seller. The Purchase Price "-' will be adjusted at Closing to reflect the Deposit and all prorations, closing costs, and other Page 3 of 4 adjustments called for by this Agreement. Payment of the adjusted Purchase Price will be made by Seller by wire transfer c/o Escrow Agent. 14. Notices. Notices under this Option Agreement are deemed given upon personal delivery to Purchaser or Seller, as the case may be, at the address written below, or by ordinary first class mail, or by registered or certified mail, postage prepaid, or by a nationally recognized overnight delivery service, sent to such address. Paragraph 5 (d)is amended to read as follows: Purchaser,despite the exercise of its best good faith efforts,is unable to obtain from federal,state and/or local governmental authorities and jurisdictions,the necessary permits, licenses and approvals to utilize the Property for Purchaser's purposes(in Purchaser's discretion). 2. Paragraph 8 is amended by the addition of the following: The entry onto the Property by Purchaser,its agents and consultants,and the conduct of such tests,inspections and investigations shall be at the sole risk,cost and expense of the Purchaser. Purchaser agrees to indemnify and hold the Sellers harmless with regard to all costs and expenses of,and all injuries or damage to persons or property incurred in connection with such tests, inspections, studies, assessments and investigations. 3. Paragraph 12 is amended by the addition of the following: Upon exercise of the option by Purchaser, the parties will enter into a Contract for Purchase and Sale in substantially the form attached hereto as Exhibit"C". All other terms and conditions of said Contract shall remain unchanged,and said Contract, as amended by this Agreement,is hereby ratified. DESCRIPTION OF THE PROPERTY. S'ASE% of Section 24, Township 3 North,Range 65 West of the 6 t P.M. in Weld County, Colorado;reserving to the Sellers all oil, gas and other minerals in, on and under said lands; hereafter referred to as the "Property"; 2. PERSONAL PROPERTY INCLUDED. No personal property is included in the sale. 3. CONVEYANCE. The conveyance of the Property shall be in fee simple by good and sufficient general Warranty Deed,free of all liens and encumbrances except those encumbrances shown by the Title Documents which are accepted by Purchaser as provided by Section 6.a. of this Contract, and those rights of third persons in the Property which are accepted by Purchaser as provided by Section 6.b. of this Contact. 4. PURCHASE PRICE AND TERMS OF PAYMENT. The purchase price is -payable in U.S. dollars as follows: earnest money held by LandAmerica Financial Group,Inc.as"Escrow Agent for the benefit of Sellers and Purchaser pursuant to the terms of this Contract; and the balance at closing. All funds paid by Purchaser at closing shall be in funds which comply with all applicable Colorado laws, which includes cash, electronic transfer funds, certified check, savings and loan teller's check and cashier's check (Good Funds). 5. TAXES AND O!HER PRORATED ITEMS All taxes,including installments for special assessments, for the years prior to the current year shall be paid by the Sellers. Taxes, including installments for special assessments for the current year, shall be prorated at and to the time of closing between the parties based upon the taxes assessed against the Property for the preceding year. GURnERCONTRACTP&S 1 6. TITLE EVIDENCE. a. Within Ten(10)days after the date hereof,Purchaser may obtain,at Purchaser's sole cost and expense,a current owner's title insurance commitment covering the Property in an amount equal to the purchase price, including a certificate of taxes and special assessments due. Within seven (7) days after the receipt of such title commitment, Purchaser may request that copies of instruments listed in the schedule of exceptions in the title insurance commitment also be furnished to Purchaser at Sellers'expense within Five(5)days. The title insurance commitment,together with any copies of instruments furnished pursuant to this paragraph, constitute the Title Documents. Purchaser shall have a period of Ten(10)days after receipt of the Title Documents to notify Sellers of any objections to the title. If Purchaser shall fail to give notice to Sellers of any such objections within such time period, Purchaser shall be deemed to have waived any such objections. If Purchaser shall give such notice of title objections to Sellers,Sellers shall use reasonable efforts to cure such objections within Forty-five (45)days, and the closing shall be postponed accordingly. If Sellers are unable to cure said objections and to convey title acceptable to Purchaser in accordance with the provisions of this Contract,Purchaser at its option may(i)terminate this Contract by written notice delivered to Sellers on or prior to the scheduled closing date,(ii)extend the closing date to give Sellers additional time to cure the objections, or (iii) waive such defects and proceed with performance of the Contract. Sellers will deliver the title insurance policy to Purchaser after closing, and pay the premium thereon. b. Purchaser shall have the right to inspect the Property and the boundaries thereof to determine whether any third party may have any right in the premises not shown by the public records. Written notice of any such unsatisfactory condition of title disclosed by Sellers or revealed by such inspection shall be given to Sellers within twenty days of the date of this Contract. If Sellers do not receive any such notice from Purchaser by said date, Purchaser shall be deemed to have accepted title subject to any such rights of third parties. c. The Title Documents affect the title,ownership and use of the Property,and should be reviewed carefully. Furthermore,other matters not reflected in the Title Documents may affect the title, ownership and use of the Property, including, but not limited to, boundary lines and encroachments, area, zoning, unrecorded easements and claims of easements, leases and other unrecorded agreements, and various laws and governmental regulations concerning land use, development and environmental matters. THE SURFACE ESTATE MAY BE OWNED SEPARATELY FROM THE UNDERLYING MINERAL ESTATE, AND TRANSFER OF THE SURFACE ESTATE DOES NOT NECESSARILY INCLUDE TRANSFER OF THE MINERAL RIG FITS. THIRD PARTIES MAY HOLD INTERESTS IN OIL,GAS,OTHER MINERALS,GEOTHERMAL ENERGY OR WATER ON OR UNDER THE PROPERTY, WHICH INTERESTS MAY GIVE THEM RIGHTS TO ENTER AND USE THE PROPERTY. SUCH MATTERS MAY BE EXCLUDED FROM THE TITLE INSURANCE POLICY. Purchaser is advised to consult legal counsel with respect to all such matters in a timely manner,since there are strict time limits provided in this Contract. GURTL.ER\CONTRACr.r&s 2 7. SPECIAL TAXING DISTRICTS. SPECIAL TAXING DISTRICTS MAY BE SUBJECT TO GENERAL INDEBTEDNESS THAT IS PAID BY REVENUES PRODUCED FROM ANNUAL TAX LEVIES ON THE TAXABLE PROPERTY WITHIN SUCH DISTRICTS. PROPERTY OWNERS IN SUCH DISTRICTS MAY BE PLACED AT RISK FOR INCREASED MILL LEVIES AND EXCESSIVE TAX BURDENS TO SUPPORT THE SERVICING OF SUCH DEBT WHERE CIRCUMSTANCES ARISE RESULTING IN THE INABILITY OF SUCH DISTRICT TO DISCHARGE SUCH INDEBTEDNESS WITHOUT SUCH AN INCREASE IN MILL LEVIES. PURCHASER SHOULD INVESTIGATE THE DEBT FINANCING REQUIREMENTS OF THE AUTHORIZED GENERAL OBLIGATION INDEBTEDNESS OF SUCH DISTRICTS, EXISTING MILL LEVIES OF SUCH DISTRICT SERVICING SUCH INDEBTEDNESS, AND THE POTENTIAL FOR AN INCREASE IN SUCH MILL LEVIES. 8. CLOSING. Closing shall be held within thirty (30) days after notice by Purchaser to Sellers of its exercise of the option granted by that certain Option to Purchase Agreement between the parties dated January 30, 2007 at a time and place is designated by the Escrow Agent. 9. POSSESSION. Possession of the Property shall be delivered to Purchaser at closing. 10. CONDITION OF PREMISES. Purchaser has had the option period granted by that Option to Purchase Agreement dated January 30, 2007 within which to make such inspections and examinations of the Property as it has considered necessary and appropriate. The Sellers make no representations regarding the condition of the Property and the Purchaser accepts the Property in its present condition. 11. TAX DEFERRED EXCHANGE. Sellers may desire to complete the transaction contemplated by this Contract as a tax deferred exchange pursuant to Section 1031 of the Internal Revenue Code. Purchaser agrees to cooperate with Sellers in consummating such an exchange,so long as no additional cost is imposed on Purchaser. 12. LEGAL REVIEW. Both parties acknowledge that they and/or their respective attorneys have fully and equally participated in or had the opportunity to participate in the drafting, preparation and review of this Contract; and, therefore, no part hereof shall be more strictly construed, nor any ambiguity resolved, against any party based upon the identity of any person who purported to have been the drafter of such provision. 13. REMEDIES FOR FAILURE TO PERFORM. a. Time is of the essence. f b. If the Purchaser fails to make any of the payments required to be made by it, or to perform any other obligation required under this Agreement,Sellers,at their option,may declare this Agreement terminated, and retain all money paid to the Sellers under this Contract as liquidated damages. c. If the Sellers are unable to carry out this agreement by reason of a valid objection to the title which the Purchaser is unwilling to waive, or if in any other manner the Sellers fail to perform portions of this agreement required to be performed by them, then, at the option of the Purchaser, all payments made to the Sellers under this agreement shall be returned to it, and this Contract shall be at an end. d. In lieu of the foregoing remedies,either party may obtain specific performance of this contract, and the defaulting party shall pay all costs and expenses, including reasonable attorney's fees, incurred in obtaining specific performance. 14. CLOSING COSTS. All closing costs will be paid by Purchaser. 15. BROKERS. The Sellers and the Purchaser represent to each other that they have negotiated and dealt with each other directly,and not through any broker or agent. The Sellers and Purchaser represent to each other that they have not incurred any obligation or liability,contingent or otherwise,to pay any broker's or finder's fee with respect to the transaction contemplated by this Contract. If any such commission or fee should be due,the party incurring the obligation for such commission or fee shall indemnify and hold the other party harmless with respect thereto. 16. NOTICES. Any notice required or permitted to be given by this Contract shall be effective when mailed postage prepaid, by certified mail, return receipt requested addressed as follows: a. This Contract contains the entire agreement and understanding of the Parties,and no other agreement or understanding not contained herein shall be binding upon the Parties. All prior negotiations,discussions and understandings are merged into this agreement. No modification of this agreement shall be binding upon the Parties unless in writing and signed by both of them. 18. PERSONS BOUND BY AGREEMENT. This agreement shall be binding upon and operate for the benefit of the heirs,representatives, successors and assigns of the Parties. 19. NO ASSIGNMENT. This Contract may not be assigned by Purchaser without Sellers' prior written consent, except that it may be assigned to an entity solely owned by the Purchaser. 20. GOVERNING LAW; VENUE. This Contract shall be construed, enforce and interpreted in accordance with the laws of the state of Colorado (without regard to its conflicts of laws doctrine). In the event of any dispute arising out of this Contract,the parties hereby consent to the exclusive jurisdiction of any court of competent jurisdiction in the state of Colorado,submit to the jurisdiction of such court regardless of their residence, and agree that venue for any such action is proper in Weld County, Colorado.
