WITNESSETH:
That Grantors, for and in consideration of the sum of Ten
Dollars ($10.00) and other good and valuable consideration, to
Grantors in hand paid by Grantee, the receipt of which is hereby
confessed and acknowledged, have granted, bargained, sold, and
conveyed, and by these presents does hereby grant, bargain, sell,
convey, and confirm unto Grantee, his heirs, personal
representatives and assigns, forever, subject to the reservations
set forth below, that certain parcel of real property, together
with all improvements, if any, situate, lying, and being in the
County of Weld, State of Colorado, which is legally described on
Exhibit "A" attached hereto and incorporated herein by this
reference (the "Property") .
TOGETHER with all and singular the hereditaments and
appurtenances thereto belonging, or in anywise appertaining, and
the reversion and reversions, remainder and remainders, rents,
issues, and profits thereof, and all estate, right, title,
interest, claim, and demand whatsoever of Grantors, either in law
or equity, of, in, or to the Property, with the hereditaments and

TO HAVE AND TO HOLD the Property above bargained and
described with the appurtenances unto Grantee, his heirs, personal
representatives and assigns forever. And Grantors, for themselves
and their heirs, personal representatives and assigns, does
covenant, grant, bargain, and agree to and with Grantee, his
heirs, personal representatives and assigns, that at the time of
the ensealing and delivery of these presents they are well seized
of the Property; have good, sure, perfect, absolute, and
indefeasible estate of inheritance, in law, in fee simple; and
have good right, full power, and lawful authority to grant,
bargain, sell, and convey the same in manner and form as
aforesaid; and that, except as hereinafter provided, the same are
free from all former and other grants, bargains, sales, liens,
taxes, assessments, and encumbrances of whatever kind or nature
soever; and Grantors do hereby warrant the title to the same,
subject to all easements and rights-of-way in place or as now
existing or of record; any restrictions, reservations, or
exceptions contained in any United States or State of Colorado
Patents of record; lease in favor of Magpie Oil Company; oil, gas
and other mineral grants, reservations, exceptions and leases of
record; all zoning and other governmental rules and regulations;
general property taxes for 2006; and specifically subject to
reservation of oil, gas and other minerals, reservation of water
rights, and reservation of easement contained in that certain
Warranty Deed whereby Grantors acquired the Property from Twin
View Estates, LLC.
• Grantors, for themselves and their heirs, personal
representatives and assigns, do covenant and agree to and with
Grantee, his heirs, personal representatives and assigns, that
Grantee, his heirs, personal representatives and assigns, shall
and may lawfully and at all times hereafter peaceably and quietly
have, occupy, possess, and enjoy the Property hereby granted, or
intended so to be, with the appurtenances, without the lawful
hindrance or molestation of Grantors, their heirs, personal
representatives and assigns, or of any other person or persons
whomsoever, by or with its consent, privity, or procurement.
IN WITNESS WHEREOF, Grantors have executed this Warranty Deed

appurtenances.
TO HAVE AND TO HOLD the Property above bargained and
described with the appurtenances unto Grantees, their heirs,
personal representatives and assigns forever. And Grantor, for
itself and its successors and assigns, does covenant, grant,
bargain, and agree to and with Grantees, their heirs, personal
representatives and assigns, that at the time of the ensealing and
delivery of these presents it is well seized of the Property; has
good, sure, perfect, absolute, and indefeasible estate of

Magpie Oil Company; oil, gas and other mineral grants,
reservations, exceptions and leases of record; all zoning and
other governmental rules and regulations; general property taxes
for 2006 and subsequent years.
Reservation of Oil, Gas and Other Minerals. Grantor
expressly excepts and reserves unto itself and its successors and
• assigns, forever, all oil, gas and other minerals now owned by
Grantor and located in, on or under the surface of the Property,
together with rights of ingress and egress at all times for the
purpose of mining, drilling, exploring, operating and developing
said lands for oil, gas and other minerals, and storing, handling,
transporting and marketing same therefrom.
Reservation of Water Rights. Grantor expressly excepts and
reserves unto itself and its successors and assigns, forever, all
water and water rights, wells and well rights, irrigation and
irrigation rights, ditch and ditch rights and all other similar
rights or interests in water used in or on, or appurtenant to, the
Property.
Reservation of Easement. Grantor expressly excepts and
reserves unto itself and its successors and assigns, forever, a
perpetual, non-exclusive easement and right-of-way, 100 feet in
width (the "Easement") , over and across the Property, as more
fully described on Exhibit "C" attached hereto and incorporated
herein by this reference. The Easement shall be appurtenant to
and for the benefit of the parcel of real property owned by
Grantor, adjacent to the Property and which is being retained by
Grantor (the "Retained Property") as more fully described on
Exhibit "B" attached hereto and incorporated herein by this
reference.

• Said Easement shall be subject to the following terms and
conditions:
1. The Easement may be used for (i) the installation,
construction, repair, use, maintenance, replacement and/or removal
of road for the purpose of providing access (including vehicular,
pedestrian and equestrian) from Weld County Road 60 to the
Retained Property; and (ii) the installation, construction,
paving, use, operation, repair, maintenance, replacement and/or
removal of utilities (including, without limitation, pipes,
conduits, wires, lines, cables and similar improvements) for the
purpose of providing any and all utility service to the Retained
Property.
2. Following installation of any improvements upon the
Easement by Grantor, Grantor shall have the right, but not the
obligation to maintain, repair and restore any portion of the
Easement and any improvements thereon, without any rights of
contribution from any other owners except as may be agreed to in
writing. Without limiting the foregoing, Grantor may condition
Grantees' rights to use any such improvements on Grantees'
covenant to contribute to the cost and expense of maintenance,
repair and restoration of same. However, any extraordinary damage
caused to the Easement or any improvements installed thereon, by
either Grantor, Grantees or their respective agents, employees,
invitees, successors or assigns, shall be repaired at the sole
expense of the party causing such damage.
• 3. As aforesaid, the Easement shall be perpetual and
non-exclusive. Grantor shall have the right to use and to permit
others to use the Easement for any purpose authorized by this
Warranty Deed. In further clarification, the rights herein
reserved for the use of the Retained Property may be assigned to
any future owner or owners of any all or any portions of the
Retained Property, and use of the Easement is not confined to the
present use of the Retained Property.
Grantor, for itself and its successors and assigns, does
covenant and agree to and with Grantees, their heirs, personal
representatives and assigns, that Grantees, their heirs, personal
representatives and assigns, shall and may lawfully and at all
times hereafter peaceably and quietly have, occupy, possess, and
enjoy the Property hereby granted, or intended so to be, with the
appurtenances, without the lawful hindrance or molestation of
Grantor, its successors and assigns, or of any other person or
persons whomsoever, by or with its consent, privity, or
procurement.
