RE: APPROVE QUIT CLAIM MINERAL DEED AND AUTHORIZE CHAIR TO SIGN - ORR
RESOURCES, LLC
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Quit Claim Deed from the County of
Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on
behalf of the Department of Public Works, to Orr Resources, LLC, 1913 61st Avenue, Suite 200,
Greeley, Colorado 80634,commencing upon full execution,with further terms and conditions being
as stated in said Quit Claim Deed; said property being described as the W112 of Section 33,
Township 6 North, Range 66, West of the 6th P.M., Weld County, Colorado, and
WHEREAS, after review, the Board deems it advisable to approve said Quit Claim Deed,
a copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Quit Claim Deed from the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County,on behalf of the Department of Public
Works, to Orr Resources, LLC, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said Quit Claim Deed.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 10th day of December, A.D., 2008.

QUIT CLAIM MINERAL DEED
This QUIT CLAIM MINERAL DEED is made this 10th day of December,2008,by
and between The County of Weld,Colorado,a body corporate and politic of the State
of Colorado, by and through the Board of County Commissioners of Weld County,
915 10'" Street, Greeley, CO 80631 ("Weld County"), as Grantor; and Orr Resources,
LLC, 1813 6181 Avenue, Suite 200, Greeley, CO 80634("ORR"), as Grantee.
1. CONVEYANCE. For $10 and other valuable consideration, the receipt and
sufficiency of which are hereby acknowledged,Weld County does hereby quit claim and
set over unto ORR all of Grantor's right, title and interest in and to all oil, gas, and other
minerals on,in,under,and that may be produced from the lands in Weld County,Colorado
more particularly described on Exhibit A hereto.
2. NO SURFACE USE. No surface operations of any kind in connection with the
extraction of oil, gas and other minerals shall be conducted from the lands described on
Exhibit A.
3. NO WARRANTY. This conveyance is made without any warranty of title, express
or implied.

being more particularly described as follows: Beginning at a point on
the west right-of-way line of the county road (1989) from which the
NW corner of said Section 33 bears North 19°58'48"West a distance
of 3695.96 feet;
1. Thence South 89°01'31" East a distance of 25.00
feet to the center of the county road (1989);
2. Thence North 00°58'29" East a distance of 574.00
feet along the center of the county road (1989) to the
center of the Cache La Poudre River;
3. Thence North 49°07'31" West a distance of 65.18
feet along the center of the Cache La Poudre River;
4. Thence South 00°58'29"West a distance of 572.51
feet;
5. Thence South 29°01'31" East a distance of 50.00
feet, more or less,to the Point of Beginning.
The above described parcel contains.67 acres,more or less,of which
.335 acres are in the right-of-way of th present road,and is the same
parcel of land more particularly described in that certain Deed dated
October 12, 1989, recorded in Book 1249 under Rec. No.2198099,
between Ed Orr and Susie Ann Orr, as grantor, and Weld County,
Colorado, as grantee.
Basis of Bearings: Assuming the north line of said Section 33 as
bearing North 90°00'00"East from the NW corner of said Section 33.

Here is the Quit Claim Mineral Deed that we are requesting from the County and the
original deed by which Ed and Susie Orr conveyed this road/bridge parcel to the County.
