Weld County Service and/or Software Contract 2008 THIS Contract, made in Greeley, Colorado, is by and between Weld County ("Customer"), and Contact One Inc., a Texas corporation ("Contractor"). RECITALS: 1.1 The Customer desires to use the products and/or services of the Contractor for the purposes of providing GIS Services for 9-1-1 and public safety purposes; 1.2 The Contractor has agreed to provide the products and/or services outlined in the Contractor's "Statement of Work" as attached and made part of this Contract, upon the terms and conditions set forth in this Contract. STATEMENT OF WORK: The Contractor shall provide and furnish at its own proper cost and expense all materials, machinery, equipment, tools, labor, insurance, and other accessories and services necessary to provide services in strict accordance with the conditions and prices stated in this Contract. The Contractor shall cause Consultant and/or Data Analyst person(s) acceptable to the Customer to perform the work required by this Contract. The Contractor warrants that its services rendered will be compatible with existing software and equipment used at the Customer PSAP(s). TERM AND ACCEPTANCE OF WORK: The services to be provided under this Contract shall commence within fourteen (14) days of the execution of this signed Contract. The Project will be considered completed after all required deliverables found in the Statement of Work have been met, and project completion has been verified by the customer. It is anticipated that all work shall be completed no later than twelve months from the execution of the Contract. PRICE: The Customer shall pay the Contractor for the performance of the services and software required by this Contract, as stipulated in the Contractor's "Statement of Work". Invoices for work performed. describing the work performed, percent of project completed, and the hours spent will be submitted monthly to the Customer. Monthly invoicing will be based upon percentage of tasks completed. -:r Service and Software Contract ono 1 P O Ci I O Proprietary and Confidential Copyright©2008 Cc air(r; C'1YI (' 1 l 2008-2947 // P O —OF S J Ifo 5 OWNERSHIP AND CONFIDENTIALITY: Any software developed by the Contractor in the performance of this Contract shall be licensed to the Customer upon payment of software and services rendered by the Contractor. All information provided to the Contractor and the work-product of the Contractor shall remain confidential and shall not be disclosed to any individual or entity without the consent of the Customer. The Contractor acknowledges that it may have access to information provided by third parties and identified as confidential, or subject to a confidentiality and non-disclosure agreement, and the Contractor agrees to hold all such information in confidence. SOURCE CODE - DIRECT/NO ESCROW: If the Contractor or its successor corporation which assumes its obligations under this Agreement ceased to transact business or maintain its computer software research, development, and support services at levels sufficient to meet its obligations and responsibilities under this Agreement on an ongoing basis, then the Contractor, its trustees, receivers, or agents shall deliver to the Customer promptly upon the Customer's demand all program source codes, documentation, and descriptions of the software licensed under this Agreement. Delivery shall in no case occur more than thirty (30) days after receipt of the Customer's written demand. In the event of a release of the source code to the Customer, the Customer shall have the right to use, copy, modify, maintain, and enhance the program source code, documents, and descriptions for the Customer's internal use only. The Customer agrees that all program source codes, documentation, and descriptions delivered under this section are subject to the confidentiality restrictions recited elsewhere in this Agreement. The Customer may disclose such program source code, documents, and descriptions to consultants and agents for the sole purpose of supporting and maintaining the software licensed hereunder, provided such consultants and agents agree to be bound by the confidentiality restrictions which are applicable to the Customer hereunder. FINANCIAL OBLIGATIONS OF THE CUSTOMER: This Contract does not create a multiple fiscal year direct or indirect debt or other financial obligation of the Customer. Each request for service shall incur a requirement to pay for that request only. All financial obligations of the Customer under this Contract are contingent upon appropriation, budgeting, and availability of specific funds to discharge such obligations. The tasks and the delivery of products outlined within the attached "Statement of Work" will be performed until all deliverables are completed. If software is included in the attached "Statement of Work", a software license agreement document will be provided to the Customer for approval, and annual billing for software maintenance and support will be performed. CONTRACT DEFINED: This Contract incorporates, herein by reference, the terms and conditions of the following documents. If there is a conflict among the documents, their terms and conditions shall prevail in the following order: • Service and/or Software Contract • Contractor's "Statement of Work" MISCELLANEOUS OBLIGATIONS OF THE CUSTOMER: In order for the completion of the delivery of products and services by Contractor, the Customer will have miscellaneous obligations which are in its immediate control. Details regarding these obligations, if any, are outlined within the attached "Statement of Work". SERVICE OF NOTICE: All required notices shall be deemed to have been validly given if delivered in person or by first class mail to the Customer at the following address: Weld County ATTN: Rod Woods 1950 "O" Street Greeley, CO 80631 Or to the Contractor at the following address: Contact One, Inc. Capital of Texas Hwy, Suite 305 Austin, Texas 78746 COPYRIGHT: The Contractor hereby warrants that, when legally required, the Contractor shall obtain the written consent of both the owner and licensor to reproduce, publish, and/or use any material supplied to the Customer hereunder, including but not limited to software, hardware, documentation, and/or any other item. The Contractor further warrants that any material or item delivered by the Contractor hereunder will not violate the United States Copyright Law or any property right of another and, in such event. agrees that the Contractor will defend, indemnify, and hold harmless the Customer, its officials, officers, agents, volunteers, and employees, at the Contractor's own expense against any alleged infringement of any copyright or property right. m Service and Software Contract Page 3 of 19 Proprietary and Confidential Copyright©2008 Contact One,Inc. COMPLIANCE WITH LAWS: This Contract shall be governed and construed in accordance with the laws of the State of Colorado. The Contractor will perform all obligations under this Contract in strict compliance with all federal, state, and municipal laws, rules, statutes, charter provisions, ordinances, and regulations, including the Occupational Safety and Health Administration (OSHA) regulations, latest revised additions, which provide for job safety and health protection for workers, applicable to the performance of the Contractor under this Contract. The Customer assumes no duty to insure that the Contractor follows the safety regulations issued by OSHA. INSURANCE: The Contractor shall not begin any work until the Contractor proves to the Customer that it has obtained, at the Contractor's own expense, all required insurance as specified below. Liability insurance must be of the occurrence form. Deviations from the requirements listed below must be submitted to and approved by the Customer System Manager. COMMERCIAL GENERAL LIABILITY - Includes coverage for bodily injury, property damage, and automobile liability with minimum limits of $300,000 per person and $1,000,000 per occurrence. PROFESSIONAL LIABILITY— Includes coverage of not less than $1,000,000. WORKERS' COMPENSATION - Coverage must be provided, as statutorily required, for persons performing work under this Contract. Any subcontractor hired by the Contractor shall also carry Workers' Compensation and Employer's Liability coverage. Certificates of such insurance shall be furnished to the Customer prior to the commencement of work. CONTINUATION OF COVERAGE - The Contractor shall not cancel, materially change, or fail to renew insurance coverage. If any policy lapses or is canceled before final payment by the Customer to the Contractor, and if the Contractor fails immediately to procure other insurance as specified, the Customer may procure such insurance and deduct the cost from any sum due the Contractor. RESPONSIBILITY FOR PAYMENT OF DAMAGES: Nothing contained in these insurance requirements shall limit the Contractor's responsibility for damages resulting from the Contractor's operations under this contract. ^:?J C^ h.,Service and Software Contract Page 4 of 19 Proprietary and Confidential Copyright©2008 Contact One,Inc INDEMNITY: The Contractor hereby releases and agrees to indemnify, defend, and save harmless the Customer and its agents from and against all claims, causes of actions, demands, judgments, costs, expenses, and all damages of every kind and nature, incurred by and on behalf of any person or corporation whatsoever, predicated upon injury to or death of any person or loss of or damage to property of whatever ownership, including the parties to this Contract and their employees, and arising out of or connected with, in any manner, directly or indirectly, the Contractor's operations and performance of work under this Contract. STATUS OF CONTRACTOR: The Contractor shall perform all work under this Contract as an independent contractor and not as an agent or employee of the Customer. The Contractor will not be supervised by any official of the Customer, nor will the Contractor exercise supervision over any official of the Customer. The Contractor shall not represent that the Contractor is an employee or agent of the Customer in any capacity. The Contractor is not entitled to the Customer Workers' Compensation benefits and is obligated to pay federal and state income tax on money earned pursuant to this Contract as is appropriate by law. PROVISIONS CONSTRUED AS TO FAIR MEANING: The provisions of this Contract shall be construed as to their fair meaning, not for or against any party based upon any attributes to such party of the source of the language in question. HEADINGS FOR CONVENIENCE: All headings, captions, and titles are for convenience and reference only and of no meaning in the interpretation or effect of this Contract. NO IMPLIED REPRESENTATIONS: No representations, agreements, covenants, warranties, or certifications, express or implied, shall exist between the parties, except as specifically set forth in this Contract. NO THIRD PARTY BENEFICIARIES: None of the terms or conditions in this Contract shall give or allow any claim, benefit, or right of action by any third person not a party hereto. Any person other than the Customer or the Contractor receiving services or benefits under this Contract shall be only an incidental beneficiary. WAIVER: No waiver of any breach or default under this Contract shall be a waiver of any other or subsequent breach or default. TERMINATION: Either party may terminate this Contract by giving the other party thirty (30) days written notice of such termination. The Contractor will then be paid for satisfactory work completed up to the date of termination. DISPUTE RESOLUTION: The following is added to the agreement as Dispute Resolution. The Parties acknowledge that disputes under this Agreement may arise from time to time, and agree that, subject to the other provisions of this Agreement, each shall attempt to resolve such disputes according to the provisions of this section. The Parties do not intend to limit the kind of dispute or disagreement arising under this Agreement which may be submitted to the Dispute Resolution procedures set forth in this Article. A. Request for Clarification: In the event of an issue or question by either Party regarding any aspect of this Agreement, both Parties shall attempt to resolve that issue or answer that question amicably before proceeding to the remedies set forth in this Article. Such resolution efforts shall include communications between the Contractor and the Customer outlining the particular issues, proposed solutions, and any other items necessary to resolve the situation without reference to the remedies set forth below. The Parties agree that the request for clarification and any responses thereto should be completed no later than thirty (30) calendar days after the request for clarification is made. B. Escalation: In the event that a request for clarification pursuant to item A. Request for Clarification located directly above does not result in a mutually agreeable solution to the dispute, either Party shall have the right to have the other Party appoint a designated representative that has authority to settle the dispute and that is at a higher level of management than the persons with direct responsibility for administration of this Agreement. C. Arbitration: Any claim, controversy, or dispute between the Parties, their agents, employees, officers, directors, or affiliated agents that cannot be settled through negotiation or pursuant to items A. Request for Clarification and/or B. Escalation found above, may be resolved through non-binding arbitration. If both parties agree to submit the dispute to non-binding arbitration, the following arbitration provisions shall apply: (1) Arbitration shall be conducted by a single arbitrator engaged in the practice of law, under the then current rules of the American Arbitration Association ("AAA"); :Hry Service and Software Contract Page 6 of 19 Proprietary and Confidential Copyright©2008 Contact One,Inc. (2) The Federal Arbitration Act 9 USG Sections. 1-16, not state law, shall govern the arbitrability of all disputes; (3) The arbitrator shall not have authority to award punitive damages; (4) All expedited procedures prescribed by the AAA rules shall apply; (5) The arbitrator's award may be entered in any court having jurisdiction thereof; and (6) Each Party shall bear its own costs and attorneys' fees and shall share equally in the fees and expenses of the arbitrator. D. Litigation: Notwithstanding the provisions of this section, upon a breach of this Agreement by either Party or a dispute hereunder, including, but not limited to, any issue regarding federal preemption, failure to provide Service consistent with this Agreement, failure to pay approved costs, or failure to approve costs pursuant to this Agreement, the non-breaching Party shall be entitled to pursue any additional remedies it may have at law or in equity including, but not limited to, injunctive relief and specific performance. E. Waiver: The exercise of any of the remedies set forth in this section shall not limit or constitute a waiver of the Parties' rights to pursue additional remedies set forth herein, except where otherwise agreed to in writing by the Parties. GRATUITIES: It is unlawful and unethical for any person to offer, give, or agree to give any Customer agent or Customer member a gratuity or an offer of employment in connection with any decision, approval, disapproval, recommendation, or preparation of any part of a program requirement or a purchase request, influencing the content of any specification or procurement standard, rendering of advice, investigation, auditing, or any other advisory capacity in any processing or application, request for ruling, determination, claim, or controversy, or other particular matter, pertaining to any program requirement or a contract or subcontract, or to any solicitation or proposal therefore. RESERVATION OF RIGHT TO BAR PERSONS FROM THE WORK AND SITE: The Customer reserves the right to bar any person, including employees of the Contractor and Subcontractors, from the Customer work sites. This shall not be treated as a request for the employer's termination, but a request that the employee not be assigned to work on the Customer work sites. Introduction The following is a proposal and Statement of Work (SOW) for a 9-1-1 Geographic Information System (GIS) Data Management System for Weld County. Based on information gathered from our conversation; we can create a plan to deliver the needed solutions and services which best fit Weld County. Specifically, this proposal is for the MapSAGTM 9-1-1 GIS Data Management System. MapSAG is built on ESRI technology, the leader in GIS platform development, and is entirely integrated with the ESRI ArcMap product, and MapSAG has been operational within ArcGIS for over 5 years as continued refinement and enhancement has occurred. The MapSAG system solution is a highly effective tool for creating and maintaining accurate 9-1-1 data as well as ensuring that the mapping data and the 9-1-1 database are fully synchronized. The combined solutions essentially provides a "checks and balances" to ensuring consistency and accuracy throughout the various databases used for addressing and 9-1-1. Consistency in all related databases is the surefire means to obtaining accuracy. In addition, other features are provided for on-going maintenance. Any clarifications, project additions, or project deletions can be performed through further discussion. Proposal Format This Statement of Work details the areas of interest to Weld County. Any additional information provided here helps you better understand the full scope of offerings provided by Contact One. This SOW is divided into the following sections. 1. MapSAGTM - 9-1-1 GIS Data Management System For Weld County, this section includes detailed specifications of the MapSAG Data Management System and highlights a few of the features. This solution is for the ease of day-to-day data maintenance and increased data accuracy of the GIS and 9-1-1 databases. This integrated system is a highly effective solution to creating and maintaining highly accurate mapping data, synchronizing the GIS and 9-1-1 databases. This sub-section highlights the functionality and purposes of the Contact One MapSAG Data Management product. The essential objective is for much more easily managing and maintaining highly accurate GIS data with specific tools designed for certain data types — namely data necessary for addressing and related data. In addition, editing and maintaining of 9-1-1 related data is also a substantial benefit of MapSAG for the reduction of 9-1-1 response times. The MapSAG functionality operates easily through a simple interface within ESRI's ArcGIS (ArcView or higher). Various toolbars are available for accessing the many different tools and features available. All inherent ArcGIS functionality that resides in the ArcGIS framework can be accessed while using MapSAG. This includes editing, drawing, layouts and/or spatial queries. An example of the full integration of MapSAG and ArcGIS is that users can perform a spatial or attribute query use the resulting records for analysis by the MapSAG tools. The GIS data is stored in an ESRI format, and the software currently operates in ArcView 9.2 and will utilize a Personal Geodatabase or an Enterprise Geodatabase to leverage ESRI's Spatial Data Engine (ArcSDE), dependent upon the needs of Weld County. Also, MapSAG automatically flags any erroneous entry through a validation procedure. These errors may be in one or more GIS datasets, the MSAG data, or both. After performing a data validation, interface dialogs that are specific to the type of error the user is analyzing are automatically presented in order for the user to have the opportunity to correct the problem. An error-type specific dialog is automatically displayed when selecting each individual error from the data validation results list. The validation information can also be extracted to a standard .DBF file for sharing or reporting. MapSAG is the only product on the market that provides the combined functionality to both identify and quickly correct erroneous data located in either the GIS or MSAG as well as generate electronic MSAG output. MapSAG offers an automated interface with 3rd party 9-1-1 database systems, allowing the MSAG changes created as a result of GIS edits to be automatically generated and forwarded to the 9-1-1 database. These are generally the same services that will need to be performed with the roll-out of any such product. In order to install and configure MapSAG off-site, a Contact One 9-1-1 GIS Analyst / Consultant will need collect the GIS and MSAG prior to the installation date After this time, one 9-1-1 GIS experts will work off-site and on-site to complete the installation over the course of one week. The off-site and on-site installation work will involve the installation, configuration, and install testing of the MapSAG product, and any necessary formatting for any minor on-site functional requirements. Installation will also include the oversight of the functioning of MapSAG and training. This will ensure that all questions regarding use of the system are answered to the satisfaction to Weld County. On-line help and the review of the comprehensive help system will also be performed during the detailed training. On-site implementation provides on-going support for the first year free-of-charge. ESRI Software Requirements A licensed copy of ESRI's ArcGIS (ArcView or higher) is required for MapSAG use. Pricing for ESRI products required for the implementation of MapSAG is not included herein. These estimates are based on costs associated to carry-out the best possible project plan for your agency. The estimates are based on the extensive experience we have in delivering cost-effective services to agencies similar to yours. Because of the internal processes we have developed for our customers, we can provide you with a turn-key solution for maintaining high accuracy 9-1-1 and GIS data while insuring through personal and dedicated attention, your needs are met on an on-going basis. All travel expenses, mileage, training and on-site visit fees are included in this pricing. There are no surprises or added costs to this estimate. Additional discounts to MapSAG are also applied below. The project will require an undetermined amount of time, depending on the task. An on- site visit will be performed by one 9-1-1 expert to Weld County. Contact One, Inc. commits to the costs specified within this Statement of Work through the signing of a contract between Weld County and Contact One.
