RE: APPROVE ASSIGNMENT OF CONTRACT FROM SOUTHERN CORRECTIONS
SYSTEMS, INC., A DIVISION OF AVALON CORRECTIONAL SERVICES, INC., TO
COMMUNITY EDUCATION CENTERS, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS,on December 4,2006,the Board entered into a contract,on behalf of the Weld
County Community Corrections Board, with Southern Corrections Systems, Inc., a division of
Avalon Correctional Services, Inc. ("Avalon"), for the fiscal year July 1, 2006, through June 30,
2007, which contract was further extended to June 30, 2008, and
WHEREAS, the Board has been informed that Avalon and Community Education Centers,
Inc. ("CEC") have entered into an agreement by which Avalon will transfer all of its rights and
obligations under the above-referenced contract to CEC, effective on, or about, May 1, 2008, for
the remaining two months of the contract, and
WHEREAS, the Weld County Community Corrections Board has recommended to the
Board that the assignment be approved, and
WHEREAS, the Board has heard statements by members of the Weld County Community
Corrections Board indicating that the State of Colorado, Department of Corrections, approves the
assignment, and
WHEREAS, the Board has received letters of recommendation from other communities in
Colorado in which CEC operates community corrections programs, and
WHEREAS, the original contract requires Avalon to provide a thirty-day notice of change
of ownership, which the Board believes should be waived due to the fact that the top management
personnel of the Greeley Avalon facility have announced their resignations, and
WHEREAS, the Board has been given a copy of a letter of intent, a copy of which is
attached hereto and incorporated herein by reference, executed by representatives of CEC and
Avalon, to enter into a Management Agreement,whereby CEC would assume Avalon's duties and
responsibilities under its contract with the Board, and
WHEREAS,representatives of CEC appeared before the Board and represented that CEC
is prepared to fulfill Avalon's responsibilities under the contract, and
WHEREAS, after review, the Board believes that it is in the best interests of the citizens of
Weld County that the contract assignment be allowed to proceed, and deems it advisable to
approve said assignment prior to the effective date.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that based upon the foregoing findings,the assignment by Avalon to CEC of its
rights and obligations under its contract with the Board be, and hereby is, approved.

Re: County Contracts With Southern Corrections Systems, Inc.
A Wholly Owned Subsidiary of Avalon Correctional Services Inc.
Gentlemen:
We are pleased to inform you that Community Education Centers, Inc, ("CEC") and
Avalon Correctional Services, Inc. ("Avalon") have been recently engaged in discussions
regarding CEC's assuming the Colorado operations of Southern Corrections Systems, Inc.
("SCS"),a wholly owned subsidiary of Avalon.
The business arrangement we are planning to enter, at the end of a short and expedited
due diligence period is to be, at the outset, a Management Agreement that would allow for CEC
to immediately assume the operations in each of SCS's facilities in Colorado. CEC will have
the ability to purchase the facilities and contracts during the life of the Management Agreement,
which is intended to track the life of the existing contracts.
We are aware that a contract currently held by Avalon/SCS in Weld County is out to bid
with a return date of May 15, 2008 for the proposal submissions. Avalon and CEC are jointly oving the cts

We should note, however, CEC's assumption of operations in Weld County, and in the
state itself, is contingent upon the full execution of the aforementioned Management Agreement,
which is still in the negotiation process. Consequently, this request for assignment is currently
being submitted only for the Board's consideration;the parties to this letter would not agree to an
assignment unless said Agreement is first executed. Additionally, in order to assume the
operations in Weld County, part of CEC's diligence will necessarily involve an analysis of a
minimum census amount,particularly at the Villa,in order for the program to be fiscally

operable. Our analysis would factor in full utilization of the intended contracted amount of 132
beds.
Please advise as to next steps. We will keep the Board advised and updated as to the

Dear Weld County Commissioners:
The Weld County Community Corrections Board has considered the proposed assumption of
operation of The Restitution Center community corrections program in Weld County by
Community Education Centers (CEC). Pursuant to the proposed Management Agreement, it is
our understanding that CEC would assume complete and total control of diversion and transition
community corrections services previously operated by Southern Corrections Systems, Inc., a
subsidiary of Avalon Corrections Services, Inc. (Avalon) at The Restitution Center in Greeley.
This proposed assumption of operations would be for the remainder of the current fiscal year
which ends June 30, 2008.
It is the opinion of a majority of the Weld County Community Corrections Board that the Weld
County Commissioners should approve the substitution of CEC for Avalon as operators of the
community corrections program operated at The Restitution Center. Board members have
consulted with the Division of Criminal Justice which oversees all community corrections
programs in the State of Colorado. CEC is considered a reputable provider of community
corrections services and operates several other programs in several locations in Colorado. The
Board has considered issues of public safety and compliance with DCJ community corrections
standards and is of the belief that CEC can operate The Restitution Center safely. On behalf of
the Weld County Community Corrections Board, I therefore recommend that the Weld County
Commissioners approve whatever contracts or agreements may be necessary to effectuate
assumption of Weld County community corrections services by CEC for the remainder of this
fiscal year.

I am pleased to announce that an agreement has been reached between Southern
Correctional Services, Inc. ("SCS'), a wholly owned subsidiary of Avalon, and Community
Education Centers, Inc("CEC"). Effective, March 16, 2008,pursuant to the lease agreement
between the parties CEC will immediately assume operations of all SCS facilities in Colorado.
Therefore, at this time,we are requesting Weld County's approval for the assignment of the
current contract with SCS. Below are the relevant terms of the Agreement between the parties:
• The term of the Agreement will track the standard life of the County contracts, namely an
initial one (1)year term with automatic renewals at CEC's option;
• CEC will pay a monthly rent to SCS for the exclusive use of the buildings used to
provide the aforementioned programs and services
• CEC will be responsible for all costs associated with the operations of the programs and
the maintenance of the facilities, including staffing, utilities, instructional materials,
equipment and supplies, and food services;
• SCS has granted to CEC an exclusive purchase option with right of first refusal; CEC -
may exercise the option at any time, for the cost of cash value to SCS and
assumption/satisfaction of the outstanding debt. Upon exercise of the option, all facilities
will become the property of CEC;
As the need for CEC to commence control of the SCS operations is immediate, and certain
documentation will not yet be in place prior to CEC's assumption of the operations, CEC's
obligation to continue to perform under the Agreement, is contingent upon the award of all
contracts through Weld and Adams County to CEC for the fiscal year July 08-July 09.

The parties are committed to provide uninterrupted services to the County, and to ensure that the
services to be provided meet or exceed the County's expectations. CEC assures the County that
it will assume and honor all obligations set forth in the Agreement between SCS and the County,
including,but not limited to the already existing per diem. Additionally, CEC, as a company,
commits to achieving ACA accreditation wherever the physical plant of the facility will allow.
CEC will continue that commitment in the Weld County facilities and maintain/achieve
accreditation where possible.
CEC is excited about this new endeavor and look forward to successful relationship with Weld
County.

Community Corrections Board also refers transition inmates to the Cheyenne
Mountain Re-Entry Center for enhanced services and treatment prior to entering
the community corrections facility in the 18th Judicial District. The Board has
found the company to be consistently responsive and professional.

Noteworthy Accomplishments
The Office of Community Corrections completed nine full audits, one Intensive
Residential Treatment audits and four follow-up audits this year. Each year the DCJ
staff would like to take the opportunity to recognize an exceptional community
corrections program. This year we would like to recognize Arapahoe County Residential
Center(ACRC).
Arapahoe County Residential Center
ACRC is a 206-bed female community corrections program in Littleton operated by
Community Education Centers. ACRC contracts with the l8"' Judicial District
Community Corrections Board in Arapahoe County. ACRC provides residential and non-
residential services to adult female offenders in the l8"' Judicial District, Department of
Corrections, Community Return to Custody (parole revocation) and out of county
jurisdictions.
All clients participate in the Women's Correctional Recovery Academy. This recovery
based treatment approach to substance abuse and crime is specifically designed for
female offenders re-entering society. The structure, content and methods of the Academy
are determined by empirically proven principles. The curriculum focuses on the
proscribed attitudes and behaviors among female offenders/addicts that often lead to drug
and alcohol relapse, re-arrest, and re-incarceration.
Program participants attend the following classes: Substance Abuse, Employment,
Relationship Issues, Self-Esteem, Core Skills for Success, Parenting Techniques, Anger
Management, Wellness, Gang Intervention, GED and Relapse Prevention. The Academy
is performance based and residents are held accountable. ACRC's proposed outcome is to
reduce chronic recidivism of crime and substance abuse by providing residents with the
tools they need to increase their success in the community and, with their family's help,
ensure positive outcomes. All residents participate in the development of a
comprehensive continuing recovery plan prior to returning to the community.
Residents of ACRC are required to seek full-time employment. Program requirements
include financial obligations that must be met such as paying rent, restitution, court _ _
ordered fees and support payments, etc.
Residents are assigned a case manager that works closely with them to determine
therapeutic and re-entry needs. Outside therapists are contracted for additional treatment
needs. The re-entry program includes recruiting and identifying employers willing to hire
felons and linking residents with services in their community. It also focuses on
education, housing, family reunification and job skills.
The objective of ACRC is to prepare residents for independent living by using their
newly learned skills and lifestyle changes to remain healthy and crime free.
